Structure, governance and management
The charity is a Charitable Incorporated Organisation (CIO) foundation incorporated on 20th January 2025.
Method of recruitment and appointment of trustees
The charity trustees are appointed in accordance with the provisions set out in the governing document.
Apart from the first charity trustees, all appointed trustees are appointed for a term of three years by a resolution passed at a properly convened meeting of the charity trustees. In selecting individuals for appointment, the trustees have regard to the skills, knowledge and experience required for the effective administration of the CIO.

The governing document provides for the following methods of appointment:
Appointed Trustees
Trustees are appointed by resolution of the existing charity trustees at a properly convened meeting. Appointments are for a term of three years.
Ex-officio Trustee
The Chief Executive Officer of Beicio Cymru (Welsh Cycling Union Ltd) is automatically appointed as a trustee for as long as they hold that office.
Nominated Trustees
Beicio Cymru (Welsh Cycling Union Ltd) is entitled to appoint up to two nominated trustees at any time, provided that the number of nominated trustees does not exceed 50% of the total number of trustees (excluding the ex-officio trustee). Nominated trustees are appointed for a term of three years and may be removed and replaced by the appointing body by written notification to the CIO. Appointments are made at meetings held in accordance with the ordinary practice of the appointing body, and individuals appointed need not be members of that body.
The appointing body for nominated trustees is Beicio Cymru (Welsh Cycling Union Ltd).

2. OBJECTIVES AND ACTIVITIES
Beicio Cymru Foundation Objects
The Beicio Cymru Foundation objects are to promote cycling for the public benefit across Wales in order to support public health, environmental conservation and protection, public safety, healthy recreation and education. The charity works to encourage, support and protect the use of bicycles and similar vehicles on public roads and accessible routes, and delivers this through a range of activities including the provision of cycling facilities, services, training, educational programmes, and advocacy and campaigning on matters relating to cycling and transport.
Beicio Cymru Foundation Main Activities
During the year, the Beicio Cymru Foundation delivered its charitable objects through the following key activities across Wales
Promoting Cycling Participation
Delivering programmes and initiatives that increase opportunities for people across Wales to take part in cycling, supporting wider participation in healthy and active lifestyles.
Championing Diversity & Inclusion
Developing and supporting targeted initiatives to reduce barriers to participation and increase engagement in cycling, including work to improve access for underrepresented groups such as women and girls.
Advocating for Cycling Safety & Infrastructure
Engaging with partners and stakeholders to promote safer cycling conditions and improved cycling infrastructure across Wales, supporting increased confidence and safety for all riders
Securing Investment for Grassroots Cycling
Working to secure funding and investment to support the delivery and sustainability of grassroots cycling programmes

2. OBJECTIVES AND ACTIVITIES
Public Benefit Statement
The Trustees continuously review the activities of the Beicio Cymru Foundation against its charitable objects. The Board is satisfied that all activities are aligned with these objects and that no issues have been identified that would be detrimental to their delivery.
The trustees have had due regard to the guidance provided by the Charity Commission for England and Wales, which explains how charities should demonstrate the link between their aims and the public benefit they provide. This guidance has been considered in the development and review of current and future plans.
The Beicio Cymru Foundation is satisfied that the charity’s activities promote cycling for individuals, groups and communities across Wales and contribute to public health, environmental sustainability, public safety, education and healthy recreation. These outcomes directly reflect the Foundation’s core areas of activity, including participation, inclusion, infrastructure advocacy and investment in grassroots cycling.
These outcomes are delivered through programmes, training, development initiatives and advocacy work. This includes activity designed to increase participation in cycling, improve access to opportunities, and reduce barriers to engagement across communities. Through its work, the charity develops confidence, skills and opportunities for participation in cycling across Wales, enabling individuals and communities to take part more fully in active lifestyles, volunteering and community-based cycling activity. This includes targeted initiatives to improve access and engagement for underrepresented groups, including women and girls, supporting more inclusive participation in cycling.
The trustees are satisfied that any private benefit arising from the charity’s activities is incidental and necessary in order to deliver its charitable purposes.

The first year: The Beicio Cymru Foundation’s Journey
l The year ended 31 March 2026 marks the end of the Beico Cymru Foundation’s first full year of operation. The initial focus of the year was focused on establishment of the trustee board and implementing the governance frameworks, policies and procedures required to operate effectively.
The Foundation focused on identifying funding opportunities aligned with it’s objects and developing grant applications to prospective funders. Securing the Foundation’s first award during the year was an important milestone in creating opportunities for Beicio Cymru to delivery programmes as the Foundation’s delivery partner.
The Foundation enters its second year with its governance in place, its first programmes underway, and a clear sense of purpose ready to grow its impact for cyclists and communities across Wales.
Looking ahead
As the Foundation moves into its second year of operation there is significant momentum to build on and a focus on continued programme delivery, expanding funding opportunities and developing partnerships to drive sustained impact.
The Tour de France coming to Wales in 2027 represents a landmark opportunity for cycling across the nation. A social impact programme will be in place around the event and the Beicio Cymru Foundation will be well placed to support and contribute to ensure the legacy of the event is felt in communities across Wales.
The trustees look forward to reporting on further progress in the year ahead.

3. ACHIEVEMENTS AND PERFORMANCE
Grant Funded Projects
Denbigh and Ruthin Participation Project (Community and Voluntary Support Conwy/Clocaenog Forest Wind Farm Fund)
The Denbigh and Ruthin Participation Project will run from April 2026 until September 2026 and will be delviered by Beicio Cymru, focusing on supporting cycling participation in rural areas of Denbigh and Ruthin in North Wales through the delivery of Festiva events and community engagement.
The project aims to increase opportunities for participation in cycling, strengthen local engagement, and support healthier and more active lifestyles in rural areas. Expected outcomes include increased community involvement in cycling activity, improved access to inclusive cycling opportunities, and the development of stronger local pathways for sustained participation beyond the life of the project.
Pedal & Picnic (National Lottery Awards for All)*
The Beicio Cymru Foundation began the development of the Pedal & Picnic project focused on inspiring teenage girls to take part in cycling and delivered by Beicio Cymru. This project was delivered in response to research carried out in partnership with Cardiff Metropolitan University into the barriers and motivators affecting girls' participation in cycling. The project aims to build confidence, encourage social connection and increase engagement in cycling.
The project will deliver a series of social led rides and activities in areas of higher deprivation across ales including Llanrumney and Riverside in Cardiff, Ystradgynlais and Bangor. During the reporting period the project focused on development, planning and preparation of the delivery of led rides and activities, including training six ride leaders, planning routes and destinations, purchasing equipment, and engaging with local authorities.
*Funding for the Pedal & Picnic project was secured through an application made by the Beicio Cymru Foundation. Due to the administrative process, the funds were paid directly to Beicio Cymru rather than the Beicio Cymru Foundation and as such the project funds are not reflected in the Beicio Cymru Foundation finanical reporting for the period. This highlights the close and collaborative relationship between the two organisations, with Beicio Cymru continuing to act as delivery partner for projects developed and funded through the Beicio Cymru Foundation.

4. FINANCIAL REVIEW
Financial Position
The Foundation's first financial year reflects its status as a newly established charity, with activity focused on governance, programme development and the securing of initial funding rather than programme expenditure.
Total income for the year ended 31 March 2026 was £7,916, comprising two principal sources: a grant of £7,360 received from the Community and Voluntary Support Conwy (CVSC) Clocaenog Forest Wind Farm Fund in relation to the Denbigh and Ruthin Participation Project, and £556 received in public donations through the Beicio Cymru Awards. No expenditure was incurred during the reporting period, resulting in a net surplus of £7,916 carried forward at the year end.
The Foundation held no investments during the year and has no investment policy in place at this stage of its development.
Reserves Policy
The trustees recognise the importance of maintaining adequate reserves to ensure the financial stability and sustainability of the Foundation in achieving its charitable objectives. The Foundation's Reserves Policy, approved by the Board of Trustees, sets out two categories of reserve.
The Operational Reserve is maintained to provide protection against significant delays or loss of funding and mitigate general business risks, fluctuations in income and unforeseen costs. The appropriate level of the Operational Reserve is determined by reference to the Foundation's Risk Register and will be reviewed at least annually.
Designated Funds may be developed from income generated by the Foundation to support future projects and strategic objectives. Designated Funds are held separately from the Operational Reserve and are categorised as either unrestricted, where the Foundation has discretion over their use, or restricted, where the funding provider has specified the purpose for which the funds must be used.
At 31 March 2026, the Foundation held total funds of £7,916. Of this, £7,360 represents restricted funds received from the Community and Voluntary Support Conwy (CVSC) Clocaenog Forest Wind Farm Fund, designated for delivery of the Denbigh and Ruthin Participation Project. The remaining £556 represents unrestricted funds received through public donations. Given the Foundation's early stage of development, the trustees are satisfied that the current level of unrestricted reserves is appropriate and will continue to review the position as income and activities grow
