1. Chair’s introduction

Our first reporting period focused on establishing Obhijatra Foundation as a new charity and putting in place the organisational and financial foundations needed to pursue its registered charitable purposes.

From registration in December 2024 to October 2025, the trustees concentrated on governance development, financial controls, policy preparation and raising funds to support future work. No substantive charitable programmes were delivered during this initial period.

The trustees are grateful to those who supported the charity during its establishment. The priority was to build a responsible and sustainable foundation from which activities that directly advance the charity’s registered objects can be developed in the next reporting period, subject to sufficient funding, planning and due diligence.

Who we are

Obhijatra Foundation is a Charitable Incorporated Organisation registered in England and Wales on 13 December 2024. The Charity Commission register records that the charity operates throughout England and Wales and in Bangladesh, helps the general public, makes grants to organisations, and sponsors or undertakes research.

3. Activities and achievements

During its first reporting period, the charity focused on establishing the organisational and financial foundations needed to deliver its charitable purposes. The trustees developed governance arrangements, adopted key policies, established financial controls and sought donations and future funding opportunities.

No grants were made, research was conducted or commissioned, research findings were published, or substantive charitable programmes were delivered during the period. Accordingly, the charity did not materially advance its registered charitable purposes through programme delivery during this initial period.

Establishment and fundraising

The trustees concentrated on establishing proportionate governance and financial arrangements and raising unrestricted funds for future work. Donations received during the period were retained, after a small bankcard setup cost, to support the development and delivery of activities in the next reporting period.

4. Public benefit and approach

Public benefit

The trustees confirm that, when planning the charity’s future activities, they complied with their duty under section 17(5) of the Charities Act 2011 to have regard to the Charity Commission’s public benefit guidance where relevant. No substantive charitable programmes were delivered during the reporting period and, therefore, the charity had no programme-related public benefit outcomes to report for the year.

The trustees’ preparatory and fundraising work was intended to create an appropriate foundation for future activities that directly advance the charity’s registered purposes for the public benefit. Before approving future work, the trustees will consider its connection to the registered objects, the intended public benefit, any potential harm or private benefit, available resources and the controls needed for responsible delivery.

5. Structure, governance and management

Legal and governance structure

Obhijatra Foundation is a Foundation-model Charitable Incorporated Organisation. Its governing document is its Foundation CIO constitution, which took effect when the charity was registered on 13 December 2024. Under this structure, the charity trustees are also its only voting members and are collectively responsible for its governance, management and administration.

Trustee appointment

Trustees are appointed in accordance with the charity’s constitution and applicable eligibility requirements. When considering an appointment, the existing trustees consider the skills, knowledge and experience needed by the board and whether the candidate can act in the charity’s best interests. Appointments are approved and recorded through the charity’s formal decision-making arrangements.

Governance development

Grant-making

No grants were made during the reporting period and no recipient organisations received grant funding from the charity. The charity’s poverty-relief object was therefore not advanced through grant-making during this first reporting period. Before making grants in future, the trustees intend to adopt proportionate arrangements for assessing applications, carrying out due diligence, approving awards, monitoring the use of funds and managing conflicts of interest.

Risk management

The trustees review the risks facing the charity and maintain appropriate financial, governance and safeguarding controls. During this establishment period, the principal risks related to securing sufficient funding, maintaining proper financial records and ensuring that future activities remain within the charity’s registered objects. The trustees will review the charity’s risk register before commencing substantive activities, making grants or entering into material partnerships.

Reserves and going concern

The trustees have adopted a policy of maintaining free reserves at a level that supports the continuity of Obhijatra Foundation’s charitable activities and enables the charity to respond to unexpected financial pressures. The current reserves target is £500 , determined by reference to essential unrestricted expenditure, committed costs, anticipated income and the charity’s ability to reduce discretionary spending if income falls. At the end of the reporting period, the charity held unrestricted cash funds of £1,550.05 , with no restricted or endowment funds and no liabilities. Its free reserves were therefore £1,550.05 , which was £1,050.05 above the target . The trustees consider this level appropriate for a newly established charity, providing financial resilience while plans for future charitable programmes, research and capacity-building are developed. Reserves will be monitored at least quarterly and the target and policy will be reviewed at least annually, or sooner if there is a significant change in the charity’s funding, commitments or operating model. Based on the funds held, the absence of liabilities and the charity’s ability to manage discretionary expenditure, the trustees consider that Obhijatra Foundation has adequate resources to continue operating and have prepared the accounts on a going-concern basis.

Funds and assets

The CC16a accounts show only unrestricted funds and no restricted or endowment funds, investments, other monetary assets, assets retained for the charity’s own use or liabilities.

7. Looking ahead

Subject to securing sufficient funding and completing appropriate planning and due diligence, Obhijatra Foundation intends to begin activities in the next reporting period that directly further its registered purposes. Priorities are to:
