## **2. Structure, governance and management** 

MIRACLES is a Charitable Incorporated Organisation (CIO) with a Foundation model, registered with the Charity Commission on 3 December 2024. The CIO was established as the intended successor vehicle to the existing unincorporated MIRACLES charity (registered charity number 1041449). 

During this first accounting period, the operational activities, assets, banking and financial transactions of the unincorporated MIRACLES charity had not yet been transferred to the CIO. The unincorporated charity continued to conduct the organisation's actual operations throughout the period. 

## **3. Activities and public benefit** 

The trustees confirm that the CIO itself did not undertake operational or charitable activities during the period because the transition from the existing charity had not yet taken place. Accordingly, no income or expenditure relating to the activities of the existing charity is included in these accounts. 

The trustees have had regard to the Charity Commission's guidance on public benefit in considering the future operations of the CIO.

## **4. Financial review** 

The CIO had no bank account during the accounting period and received no income, incurred no expenditure, held no assets and had no liabilities. No employees were employed and no contracts were entered into in the CIO's name during the period.

## **7. Reserves** 

At 31 December 2025 the CIO held no funds and therefore had no reserves. The trustees will review an appropriate reserves policy when operational activities and assets are transferred to the CIO. 

## **8. Trustees' responsibilities and approval** 

The trustees are responsible for keeping proper accounting records and for preparing the annual report and accounts in accordance with the requirements applicable to the CIO. The trustees confirm that, to the best of their knowledge, these accounts accurately reflect the position of the CIO for the period.
