2. Structure, Governance and Management
2.1 Governing Document
Zino Prince Foundation (Zinovate) is a Charitable Incorporated Organisation (CIO) governed by its Constitution adopted on 12/12/2023. The charity is registered with the Charity Commission for England and Wales.
2.2 Appointment of Trustees
Trustees are appointed in accordance with the provisions set out in the Constitution. Candidates are selected based on relevant skills, experience, and commitment to the charity’s mission. New trustees receive an induction outlining their duties and the charity’s operating policies.
2.3 Management Structure
The Board of Trustees has overall responsibility for the direction and control of the charity. Operational delivery is supported by local volunteer teams in both Tanzania and the United Kingdom. Trustees meet regularly to review progress, approve budgets, and monitor compliance.
2.4 Risk Management
The trustees have assessed the major risks to which the charity is exposed, particularly in relation to financial management, safeguarding, and operational delivery. Appropriate systems and controls are in place to mitigate those risks, including clear financial oversight, safeguarding training, and partner vetting processes.
3. Objectives and Activities
3.1 Charitable Objectives
The charitable objects of Zino Prince Foundation are:

To relieve poverty and advance education among disadvantaged children and young people.

To promote good health and wellbeing through sports and community engagement;

To advance equality of opportunity and support youth empowerment; and

To promote community-led sustainable development and environmental stewardship.
3.2 Public Benefit Statement
The trustees confirm that they have complied with their duty under section 17 of the Charities Act 2011 to have due regard to the Charity Commission’s guidance on public benefit.

All activities are undertaken with a clear charitable purpose, providing direct benefit to disadvantaged individuals and communities in both Tanzania and the United Kingdom.
4. Achievements and Performance
4.1 Activities in Tanzania (2024–2025)
A. Sports for All – Moshi
In partnership with Winner of Hope , the Foundation delivered the Sports for All Project across seven government schools in Machame, Moshi, reaching over 500 students. The project promoted health, teamwork, and gender equality through multisport sessions and culminated in a community sports festival. Alongside physical activity, participants learned about healthy living and environmental care.
B. Restoring Hope in Education – Isila Village, Tabora Region
Working with Isila Primary School in Ilolanguru Ward, Uyui District, Zinovate supported the renovation of classrooms, windows, doors, and furniture. The improvements created a safe and conducive learning environment for local children. Parents were also encouraged to enroll and retain children in school, especially girls.
C. Ndala The Best Festival – Tabora Region
Held from 2nd–5th October 2025, the festival brought together more than 500 people in Ndala, Tabora. Activities included educational talks on gender equality, reproductive health, climate change, and voluntary blood donation. The event celebrated community pride and encouraged collective action on local development issues.
D. Supporting Vulnerable Children – Tanga
In collaboration with Michungawani Orphanage Centre , Zinovate supported 40 vulnerable children, many living with HIV and facing stigma. The project provided school supplies, community awareness workshops, and advocacy on health and inclusion. During a January 2025 visit, trustees identified an urgent need for a clean water source, and plans are underway to fund a borehole in 2026.
E. Youth Empowerment through Basketball – Kigoma
Zinovate worked with the Tanzania Basketball Federation , TBT Tanzania Africa , Basketball Kigoma , and Mamabo Basketball to use sport as a tool for empowerment. Workshops covered leadership, gender equality, job readiness, and environmental care. Several trained youths have since gone on to lead community sports sessions.
F. Growing Futures – Agricultural Training, Kashagulu
The Growing Futures project trained 30 young people in sustainable farming techniques. Participants received training, starter kits, and access to land. The project encouraged self-reliance and food security. Following its success, the Foundation plans to expand it to Tabora next year.
G. Wellness Circle – Mental Health Support, Mwanza
In Mwanza, Zinovate implemented the Wellness Circle Project to support youth mental health. The project provided safe spaces for dialogue, healing, and connection, addressing stigma around mental well-being.
4.2 Activities in the United Kingdom (2025)
A. Connecting the Community Through Sports – Walsall
Zinovate ran a weekly multi-sport programme engaging 50 disadvantaged young people in Walsall. Activities included football, basketball, tennis, and badminton.
The project improved physical health, built teamwork, and developed leadership skills. Several participants have since become volunteer coaches, strengthening the project’s long-term sustainability.

B. Wellbeing Workshops and Peer Mentoring Programme
Twelve wellbeing workshops were delivered across the West Midlands, supporting over 30 young people aged 13–25 from Black and Minority Ethnic backgrounds. Topics included mental health awareness, trauma-informed care, and self-esteem building.
A peer mentoring programme was launched, empowering young people to support one another. This youth-led approach has created a strong sense of community and continues to expand.
5.2 Reserves Policy
The trustees aim to maintain unrestricted reserves equivalent to at least three months of core operating costs. This ensures continuity of service in the event of funding delays or unforeseen circumstances.
5.3 Principal Funding Sources
The charity’s income during the year was derived from grants, donations, and community fundraising activities, both in Tanzania and the United Kingdom.
5.4 Going Concern
The trustees are satisfied that the Foundation has sufficient resources to continue operations for the foreseeable future.
6. Plans for the Future
The trustees have identified the following priorities for 2026:

Fundraising for a clean water borehole at Michungawani Orphanage Centre in Tanga.

Expansion of the Growing Futures agriculture programme into additional communities in Tabora Region.

Continued development of sports and wellbeing programmes across the West Midlands.

Investment in youth leadership and volunteer training.

Strengthening monitoring, evaluation, and impact reporting systems to improve accountability and learning.

1. General information
The charity is a public benefit entity and a private company limited by guarantee, registered in England and Wales and a registered charity in England and Wales. The address of the registered office is 52 VICARAGE PLACE, WALSALL, WEST MIDLANDS, WS1 3NA, UK.
2. Statement of compliance
These financial statements have been prepared in compliance with FRS 102, 'The Financial Reporting Standard applicable in the UK and the Republic of Ireland', the Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (Charities SORP (FRS 102)) and the Companies Act 2006.
3. Accounting policies
Basis of preparation
The financial statements have been prepared on the historical cost basis, as modified by the revaluation of certain financial assets and liabilities and investment properties measured at fair value through income or expenditure.
The financial statements are prepared in sterling, which is the functional currency of the entity.
Going concern
There are no material uncertainties about the charity's ability to continue.
Fund accounting
Unrestricted funds are available for use at the discretion of the trustees to further any of the charity's purposes.
Designated funds are unrestricted funds earmarked by the trustee for particular future project or commitment.
Restricted funds are subjected to restrictions on their expenditure declared by the donor or through the terms of an appeal, and fall into one of two sub-classes: restricted income funds or endowment funds.

Incoming resources
All incoming resources are included in the statement of financial activities when entitlement has passed to the charity; it is probable that the economic benefits associated with the transaction will flow to the charity and the amount can be reliably measured. The following specific policies are applied to particular categories of income:

income from donations or grants is recognised when there is evidence of entitlement to the gift, receipt is probable and its amount can be measured reliably.
-
legacy income is recognised when receipt is probable and entitlement is established.
-
income from donated goods is measured at the fair value of the goods unless this is impractical to measure reliably, in which case the value is derived from the cost to the donor or the estimated resale value. Donated facilities and services are recognised in the accounts when received if the value can be reliably measured. No amounts are included for the contribution of general volunteers.

income from contracts for the supply of services is recognised with the delivery of the contracted service. This is classified as unrestricted funds unless there is a contractual requirement for it to be spent on a particular purpose and returned if unspent, in which case it may be regarded as restricted.
Resources expended
Expenditure is recognised on an accruals basis as a liability is incurred. Expenditure includes any VAT which cannot be fully recovered, and is classified under headings of the statement of financial activities to which it relates:

expenditure on raising funds includes the costs of all fundraising activities, events, non-charitable trading activities, and the sale of donated goods.
-
expenditure on charitable activities includes all costs incurred by a charity in undertaking activities that further its charitable aims for the benefit of its beneficiaries, including those support costs and costs relating to the governance of the charity apportioned to charitable activities.

other expenditure includes all expenditure that is neither related to raising funds for the charity nor part of its expenditure on charitable activities.
All costs are allocated to expenditure categories reflecting the use of the resource. Direct costs attributable to a single activity are allocated directly to that activity. Shared costs are apportioned between the activities they contribute to on a reasonable, justifiable and consistent basis.
Financial instruments
A financial asset or a financial liability is recognised only when the charity becomes a party to the contractual provisions of the instrument.

Financial instruments (continued)
Basic financial instruments are initially recognised at the amount receivable or payable including any related transaction costs.
Current assets and current liabilities are subsequently measured at the cash or other consideration expected to be paid or received and not discounted.
Debt instruments are subsequently measured at amortised cost.
Where investments in shares are publicly traded or their fair value can otherwise be measured reliably, the investment is subsequently measured at fair value with changes in fair value recognised in income and expenditure. All other such investments are subsequently measured at cost less impairment.
Other financial instruments, including derivatives, are initially recognised at fair value, unless payment for an asset is deferred beyond normal business terms or financed at a rate of interest that is not a market rate, in which case the asset is measured at the present value of the future payments discounted at a market rate of interest for a similar debt instrument.
Other financial instruments are subsequently measured at fair value, with any changes recognised in the statement of financial activities, with the exception of hedging instruments in a designated hedging relationship.
Financial assets that are measured at cost or amortised cost are reviewed for objective evidence of impairment at the end of each reporting date. If there is objective evidence of impairment, an impairment loss is recognised under the appropriate heading in the statement of financial activities in which the initial gain was recognised.
For all equity instruments regardless of significance, and other financial assets that are individually significant, these are assessed individually for impairment. Other financial assets are either assessed individually or grouped on the basis of similar credit risk characteristics.
Any reversals of impairment are recognised immediately, to the extent that the reversal does not result in a carrying amount of the financial asset that exceeds what the carrying amount would have been had the impairment not previously been recognised.
