Governing Document
The organisation is a charitable trust constituted under a Trust Deed dated 29 October 2024.
Recruitment and Appointment of Trustees

Charitable Purposes

As this is the initial period of operation, activities focused on the formal establishment of the charity and the development of strategic partnerships.

Partnership Development : CCF opened formal discussions with the International Nepal Fellowship (INF). These consultations are aimed at identifying specific projects in Nepal that align with CCF’s mission to support inclusive learning and teacher training.

5. Plans for the Future (2025-2026)
Following the successful establishment of the charity, the trustees have set the following priorities for the next financial year:

Nepal Partnership: To conclude discussions with the International Nepal Fellowship (INF) and commit to the first round of funding for specific inclusive learning and teacher training projects in Nepal.

Due Diligence Framework: To finalise a robust monitoring and evaluation framework for overseas grants to ensure that all consultancy services provided meet high standards of public benefit.

Results for the Period
The charity’s total income for the period was £25,099. This was comprised of:

A donation of £24,999 from Austin Investments Unlimited (a Family Investment Company associated with the trustees).

Total expenditure amounted to £240, consisting entirely of bank charges. The net movement in funds shows a surplus of £24,859, which is carried forward as unrestricted reserves.
Reserves Policy
The trustees aim to maintain reserves at a level that allows for the fulfilment of multi-year grant commitments. Currently, the majority of the foundation's capital is held in cash to facilitate upcoming projects in Nepal and the wider region.

Note on Related Parties: During the financial period, the charity received a donation of £24,999 from Austin Investments Unlimited , a Family Investment Company. The trustees, have a relationship with Austin Investments Unlimited, Cloud Bai-Yun as Director and David Newman as Company Secretary. This donation was made as an unrestricted gift to support the charity’s establishment and core objectives. The trustees confirm that:

Note 1: Basis of Preparation These accounts have been prepared on a Receipts and Payments basis in accordance with the Charities Act 2011.

Note 2: Related Party Transactions The donation of £24,999 was received from Austin Investments Unlimited, a company in which Trustees David Newman and Cloud Bai-Yun hold a controlling interest. This was an unconditional donation to the charity's general funds. No remuneration or expenses were paid to any trustee or person connected to them during this period.
Note 3: Restricted vs Unrestricted Funds All funds received during this period were unrestricted, to be used at the discretion of the trustees in furtherance of the charity's objects.

Independent Examiner's Report to the Trustees of Cloud Charitable Foundation Group (CCF)
I report to the trustees on my examination of the accounts of the Cloud Charitable Foundation Group ('the Trust') for the period ended 30 June 2025.
Responsibilities and basis of report
As the charity trustees, you are responsible for the preparation of the accounts in accordance with the requirements of the Charities Act 2011 ('the Act').
I report in respect of my examination of the Trust's accounts carried out under section 145 of the 2011 Act and in carrying out my examination I have followed all the applicable Directions given by the Charity Commission under section 145(5)(b) of the Act.
Independent examiner's statement
I have completed my examination. I confirm that no material matters have come to my attention in connection with the examination giving me cause to believe that in any material respect:

accounting records were not kept in respect of the Trust as required by section 130 of the Act; or
-
the accounts do not accord with those records; or
-
the accounts do not comply with the applicable requirements concerning the form and content of accounts set out in the Charities (Accounts and Reports) Regulations 2008 other than any requirement that the accounts give a 'true and fair view' which is not a matter considered as part of an independent examination.
I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.
