1. Reference and administrative details
Pendo International Projects UK is a Charitable Incorporated Organisation established under the Foundation Model constitution. The charity's constitution was dated 17 September 2024. The principal office of the CIO is in England. The charitable objects of the CIO are: “For the public benefit, to advance the education of young people in Kenya by making grants and providing advice and information.” The word “Pendo” is Swahili and translates as “love”.

2. Structure, governance and management
The charity trustees are responsible for the management and administration of the CIO and are also its voting members. Trustees exercise their powers in accordance with the constitution and applicable charity law.
The constitution permits decisions to be made at meetings, including virtual or hybrid meetings, or by written or electronic resolution in accordance with its provisions.
The trustees are responsible for maintaining appropriate accounting records and preparing the annual report and accounts.
3. Objectives and activities
The charity's purpose is to advance the education of young people in Kenya by making grants and providing advice and information.
During the year ended 31 December 2025, the charity did not receive any income and incurred no expenditure.
No grants were made and no charitable funds were distributed during the year.
The trustees subsequently reviewed the charity's position and concluded that the charity would not continue its operations and should proceed towards voluntary dissolution.
4. Achievements and performance
The charity did not undertake funded charitable activities during the year. No grants were made and no expenditure was incurred. The trustees concluded that, in the circumstances, it was appropriate to bring the charity's activities to an end and proceed with voluntary dissolution following completion of its statutory reporting obligations.
5. Financial review

6. Reserves policy
The charity had no funds at 31 December 2025. As the trustees intend to proceed with voluntary dissolution, no ongoing reserves are required.
7. Risk management
The trustees remain responsible for ensuring that the charity's affairs are properly managed and that its statutory obligations are fulfilled. In view of the decision to cease the charity's activities and proceed towards dissolution, the trustees' focus is on completing the necessary reporting and regulatory requirements and ensuring that the dissolution is undertaken in accordance with the constitution and applicable charity law.
8. Safeguarding
The trustees recognise their responsibility to safeguard beneficiaries and other individuals who may come into contact with the charity's activities. No funded charitable activities involving beneficiaries were undertaken during the reporting period.
The trustees are not aware of any safeguarding incident requiring notification to the Charity Commission during the year.
9. Trustee remuneration, expenses and conflicts
No trustee received remuneration from the charity during the year. No trustee expenses were paid during the year. No other financial benefits were provided to trustees.

10. Future plans and proposed dissolution
Following consideration of the charity's circumstances and future prospects, the trustees have concluded that Pendo International Projects UK will not continue its activities beyond completion of its statutory reporting and filing obligations for the year ended 31 December 2025. The trustees intend to proceed with the voluntary dissolution of the CIO in accordance with clause 29 of the constitution and the applicable Charity Commission requirements.
The trustees confirm that the charity had no income, expenditure, funds, assets or liabilities at 31 December 2025.
The trustees will complete the required annual reporting and then take the necessary steps to apply for the CIO to be removed from the Register of Charities.
11. Statement of trustees' responsibilities
The trustees are responsible for preparing the Trustees' Annual Report and accounts in accordance with applicable law and regulations. The trustees are responsible for keeping proper accounting records and for safeguarding the assets of the CIO.
