The trustees present their annual report and financial statements of the charty for the period
September 3r1 2024 tojuly 1 2025.
Strurture, Governance and Management
The Wooster Family Foundation was incorporated as a Charitsble Foundation on 3 September 2024,

number 1209858. The charity is governed by its consts"tution. dated 28 August 2024. This is the
trustees. fi'rst report since the charity s incorporation. I￿ring the reportFng period, the charity was
governed by its five founding trustees, and t¥vo additsonal trustees.
The trustees meet four times a year in February. May. Au8USt and November land at other times
communicate through electronic meansl where they agree the broad strategy and areas of ath.vity of
the charity, the policies. investments and consider grant applTrcations. The initial handling of the
applicatF"ons is delegated to the administrator. Mawe Wooster Keyte, who selects th05e which adhere
to the crrteria found in the Grant Mèking policy of the Foundation.
All trustee5 give their time freely and no trustee renumeration v￿5 paid in the reporting period.
The charity was established with an initial grft from Margaret Wooster Keyte Imaggiel in memory of
her husband Arthur Chades Wooster IBen] and her 50nJohn Duncan Wooster. She intendsto add funds
tothe Foundation foi the foreseeable future by morrthly instslmertsfor distribution tosmall charitsble
organisètions and other larBer sum5, which will be invested to provide funds for distribukn'on once she
s unable to continue with the regular standin8 orders.
The charfty does not actively fiJndRise and seeks to o)ntinue the charitsble work of providing grants
to small organisations in line with the aims of the donor through the careful stewardship of its existing
resource5.
New trustees are appointed by the existing trustees by a resolution passed at a meetin8 of the charlty
trustees. In selecting individuals for appointment, the charity trustees must have regard to the skills,
knowledge and expertise required for the effectFve administration of the CIO. On appointment new
trustees sign a model trustee declaration cornmitting thern to giving of their time and expertise. The
charity trustees will make available to each new tntstee, on or before his appointmen( copie5 of the
constitution and the latest Annual Report and Statement of Accounts. New trustees will Serve for
term of three years, after vthich they rnay put themsel¥￿ forward for reappointmenL The charity's
constitution provides for a minimum of three trustee5.

Applicants are invited to apply via our web slte where our Guidance will help applicants to determine
whether they are e1￿Ible. As a small charity we can only make small grants of £250- £5￿ at present
so we prioriti5e making grants to small comrnunity-based organisations where our financial support15
more meaningful.

The trustees confirm that they have referred to the guidance contained in the Charity Comrni5sion's
general guidance on public benefit when reMewin8 the charitvs aim5 and objecttves and in planning
future aciivitie5 and setting the grant making policy for the year.
The charity intends to begin in a modest w and. initialty, will make small grdnts of £250- £Sc￿, for
core, project and capital costs. for 6 - 12 owanisatr'ons annualty. We can only fund projects and
activities that are exclusively charitable. We make grants to small communrty-based charities and
organisations workire, primarily but not exclusively in Buckinghamshire and the surrounding counties.

The charity will consider all applications that fall within our charitsble purposes and meet ourfundine
¢riteria and, for vthich. the due diligence process has not identified any unatteptsble issues.

Charities must have a written constitution, with exclusively eharitable aims. and be run by a minimum
of at least 2 trustees.
In rnaking grants. trustee5 will comply with Charity Commission guidance. to ensure that it is in the
charity's best interests. check that any moneyis used as it is expected Étto be and the decision recorded
in the minutes. Please check the lists below of our priorities and what we do not fund.

invited to try again the following year due to limited funding available in the current year.

All grantees will be required to provide a report on how their grnnt was used and the impart this has
had. The content and nature of information to be reported will be appropriate for the size and type
of grant awarded. The charity will monitor suth reports to not only ensure that grdnts are being used
for the purposes intended, but also to asse55 the impart 8rants have made. This learning will be used
to inform future decision making and policy to maxirnise the charitys impact.

Decision makin
Applications will be considered by our trustee Ix)ard. who work to the Charity Commission C27
guidelines on trustee decision making. If appropriate, the trustees may accept referrals from surtsb
professional organisations and, if necessary, seek independent specialist advice on technical aspects
of applications. However. decision making rests at all times with the trustees, grnnts are awarded
entirely at their discretion and their decision is final.
Notification
A51 applicants will be notified of the outcome of their bid and successful applicants will have funding
made available. For small grants, we advise applicants of their avmrd and include their obligations in
receiving IL Iconfirming receipt, spending it 501ely on the purpose for whith it vrns given, returning
any unused portion of the grdnt. giving detsils of how it was spent and reporting on the impact the
grant had].
Data Protection

Checks and Due Dili

The charity will carry out sufficient due diligence on grant applicants to cot)fim the identity of the
applicant and that any funding will be applied in arcordance with the charity's charitsble purposes,
funds wll not be knowingly used for illegal purposes. such as rnoney launderin& bribery or financing
terrorism and that the applicant does not hold views or have any involvement in activities contrnry to
the charity's Ydlues and charitable purposes.

Achlevements and PerfomiaKe
The instial focus was on estsblishing the charity. its operating structure and grant-making proce5se5.
The trustees established the charity's bank account in September 2024 and the donor commenced
stsnding order payments to be used for grdnt-making purposes. andalso made a larger donation which
was invested as a Fixed Rate bond with Cambridge and Counties Bank Ltd. A web site was established
to enable applicants to assess whether to apply for funding. The selected applicats"on5 will be
considered by the trustees at their quarterty meetiTr85 and following their decisions, Joyce Wooster, as
treasurer will deal with distributing the grants. We have provided small grnnts to Six organisations. and
in an effort to attrdct applications from local small organisations, have commenced sending detsils of
our charity to local councils. Ourgrants will contributeto the charitable purposes of each organi5ation.

The trustees are responsible fof preparing the Trustees, Annual Report and the financial statements in
accordancewith applicable lawand United Kingdom Accountin8 Standards IUnFted Kingdom Generallv
Accepted Accounting PFactice}- Law applicable to t￿rItieS in England and Wale5 requires the trustees
to prepare tinancial ststements for each financial year which give a true and fair View of the charty
and of the incoming resources and application of the resources of the charityfor that year. In preparing
these fi'nancial ststements the trustees are required to: Select suitable accounting policies and then
apply them conSisten￿y. observe the methods and principles in the Charitie5 50RP' make judgements
and estimates that are reasonable and prudent- stste whether applicable UK Accounting Stsndards
have been followed, subject to any material departures disc105ed and explained in the financial
statements,. and prepare the financial ststements on the going concern basis unless it is inappropriate
to presume that the charty will continue in operntion. The trustees are responsible for keeping proper
¢¢ounting records which disclose with reasonable accuracy at any time the financial position of the
charity and enable them to ensure that the financial ststements comply with the Charities Act 2011
and the Charity IAccounts and Reports) Regulations 2£￿. They are also responsible for safeguarding
the assets of the charity and hence for tsking reasonable steps for the p￿VentiOn and detection of
fraud and other irregularities.
The report of the charity's finances durin8 this financial period covers the time between the
incorporation of the charity in September 2024 and the end of the reporting period on I" July 2025.

1.1 Basls of preparatlon of )Inanoal strtem
The financial ststements have been prepared in accordance with the Chanties SORP IFRS 1021-
Accounting and Reporting by Charitres: Ststement of Recommended Practice applicable to charities
preparing thelr accounts in accordance wtth the Finantial Reports"ng 5tsndard applicable in the UK and
Republic of Ireland IFRS 102) (effective ljanuary 20191. the Financial Reporting Standard applicable in
the UK and Republic of Ireland IFRS 102) and the Charit?es Act 2011. The financial ststements have
been prepared to give a 'true and fair, view and have departed frorn the Charities (Accounts and
Reports) Regulations 2￿8 only to the extent required to provide a 'true and fairf view. This departure
has involved foll$￿11n8 the Charities SORP IFRS 1021 published in October 2019 rather than the
Accountin8 and Reporting by Charitse5: Ststement of Recommended Practice effective from l April
2005 which has since been withdrdwn. The Wooster Family Foundation meets the deflnition of a public
benefit entity under FRS 102.
The financial statements are presented in sterling and ￿ve been rounded to the nearest £.
1.2 Golng c￿Cern
After making approprtate enquiries. the trustees have a reasonable expectstion that the charity has
adequate resources to continue in operational existence for the foreseeable future. For this reason.
they continue to adopt the goin8 concern basis in preparin8 the financial ststements.
1.3 Income
All income is recognised once the Charity has entltlementtothe income. it is probablethatthe income
will be received and the amount of incorne receivable can be measured reliably. Income tax
recoverable in relation to investment income is recognised at the time the investment income is
receivable.
1.4 EXpendI￿re
Expenditure is recognised once there is a legal or constructive obligation to transfer economic benefit
to a third party, Ft is probable that a trdn5fer of economic benefits will be required in settlement and
the amount of the obligation can be measured reliably. Charitsble activities and Governance costs are
costs incurred on the charity's operations. Grants payable are thar8ed in the year when the offer is
made. General funds are unrestrirted funds which are available for use atthe discretion of theTrustees
in furtherance of the eeneral objectives of the Charity and which have not been desi8Trated for other
purposes.
2. DonaOons for Investn
Income from the founder's lar8e donation was £30.￿￿) and subsequently invested with Cambridge
and Counties Bank Ltd as a fixed rate bond.
The trustees will review options for holding future don*ions as reserves across a number of third
parties, as appropriate, to reduce risk.

The founder is placing funds of £250 monthly into the charity unb'l the investments are generating
enough funds to continue once she becomes unable to maintsin this input.
