## **Trustees Annual Report** 

## For the period 30[th] August 2024 to 4[th] April 2025 

The trustees present their annual report and financial statements of the charity for the period ended 4[th] April 2025. The financial statements have been prepared in accordance with the accounting policies set out in Note 2 to the Accounts, the Charities Act 2011, the Accounting and Reporting by Charities: Statement of Recommended Practice and the Financial Reporting Standard (FRS 102). 

## **Objectives and Activities** 

The purpose of the charity, as set out in its governing document, is: 

- For the public benefit, to promote the education (including social and physical training) of people up to, and including, the age of 24 years who live in the Parish of Well with Snape, in such ways as the charity trustees think fit, in particular, but not exclusively, by: 

   - Awarding to such persons scholarships, maintenance allowances or grants tenable at any university, college or institution of higher or further (including professional and technical) education; and 

   - Providing grants to assist such persons to pursue their education (including the study of music or other arts), or to prepare for entry to any occupation, trade or profession on leaving any educational establishment. 

The charity has been set up as a CIO which will merge with an existing charity whose Trust Deed is significantly out of date. The transfer of assets required charity commission permission, which has now been granted, however, the transfer has not yet taken place. As a result, the charity has not undertaken any activities in the period. We expect the transfer to be completed in the next financial year. 

The trustees have had regard to the Charity Commission guidance on public benefit.

## **Structure, Governance and Management** 

## _Governing Document_ 

The charity is governed by its Constitution dated 30.08.2024 and constitutes a Charitable Incorporated Organisation (foundation structure). 

## _Recruitment and appointment of trustees_ 

The governing document provides for a Board of Trustees which consists of up to seven persons including: 

- Two Representative Trustees to be appointed each for a term of three years: — One by the Snape Parish Council, and One by the Well Parish Meeting; and 

- Up to five Co-optative Trustees to be appointed by a resolution passed at a properly convened meeting of the Trustees, each for the term of three years.

## **Notes to The Financial Statements** 

## 1. Basis of Preparation 

These accounts have been prepared under the historical cost convention with items recognised at cost or transaction value, with the exception of investments which are included at market value. 

The accounts have been prepared in accordance with: the Statement of Recommended Practice: Accounting and Reporting by Charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) issued on 16 July 2014; the Financial Reporting Standard applicable in the United Kingdom and Republic of Ireland (FRS 102); and, the Charities Act 2011. 

The charity constitutes a public benefit entity as defined by FRS 102. 

## 2. Accounting Policies 

## _2.1 Income_ 

- Income is recognised in the Statement of Financial Activities (SoFA) when the charity becomes entitled to the resources, it is more likely than not that the trustees will receive the resources and the monetary value can be measured with sufficient reliability. 

- Income from interest, royalties and dividends is included in the accounts when receipt is probable and the amount receivable can be measured reliably. 

- Investment Gains and Losses includes any realised or unrealised gains/losses on the sale of investments and any gain/loss resulting from revaluing investments to market value at the end of the year. 

## _2.2 Expenditure and Liabilities_ 

- Liabilities are recognised where it is more likely than not that there is a legal or constructive obligation committing the charity to pay out resources and the amount of the obligation can be measured with reasonable certainty. 

- Where the charity gives a grant with conditions for its payment being a specific level of service or output to be provided, such grants are only recognised in the SoFA once the recipient of the grant has provided the specified service or output. 

- Where there are no conditions attaching to the grant that enables the donor charity to realistically avoid the commitment, a liability for the full funding obligation must be recognised. 

- The charity accounts for basic financial instruments on initial recognition as per paragraph 10.7 FRS102 SORP.  Subsequent measurement is as per paragraphs 11.17 to 11.19, FRS102 SORP. 

## _2.3 Investments_ 

- Investments are a form of basic financial instrument. Fixed asset investments are initially recognised at their transaction value and are subsequently measured at their fair value (market value as quoted by our investment managers) as at the balance sheet date. The Statement of Financial Activities includes the net gains and losses arising on revaluation and disposals throughout the year.

## 4. Trustee Renumeration and Benefits 

No trustees were paid any remuneration or received any other benefits from an employment with their charity or a related entity this year or last year. No trustee expenses were incurred this year or last year.
