## **Trustees’ Annual Report** 

For the period 29 August 2024 to 1 April 2025 

## **1. Structure, Governance and Management** 

The Bootroom is a Charitable Incorporated Organisation registered with the Charity Commission for England and Wales, charity number 1209806. 

The charity is governed by its Constitution and managed by its board of trustees in accordance with the governing document and the Charities Act 2011. 

The trustees serving during the reporting period were: 

- Rhys Jack Brown 

- Tracey King 

- Karl Bradley 

- Nanette Radford 

Trustees are appointed in accordance with the Constitution. The board collectively holds responsibility for governance, financial oversight, safeguarding compliance, and strategic direction. 



The trustees confirm that they have had due regard to the Charity Commission’s public benefit guidance in exercising their duties. 

The charity has adopted key governance policies including: 

- Internal financial controls policy 

- Safeguarding policy and procedures 

- Serious incident reporting procedures 

- Conflicts of interest policy 

- Complaints policy 

- Risk management policy 

- Bullying and harassment policy 

- Social media policy 

Appropriate DBS checks have been obtained for all eligible roles. 

## **2. Objectives and Public Benefit** 

The charity’s object is to advance participation in sport, particularly grassroots football, for children and young people who may otherwise face financial barriers. 

The charity seeks to achieve this by: 

- Providing access to football boots and essential kit 

- Supporting inclusion in organised grassroots football 



- Reducing economic barriers to participation 

- Promoting wellbeing, confidence and community engagement through sport 

The trustees confirm that all activities are carried out for the public benefit. 

## **3. Activities and Achievements** 

The reporting period represents the charity’s initial establishment phase following registration. 

During this period, the trustees prioritised: 

- Establishment of governance structures 

- Implementation of safeguarding and DBS compliance 

- Adoption of financial control procedures 

- Development of operational frameworks 

- Preparation and submission of funding applications 

- Volunteer engagement planning 

Four volunteers were registered during the period in preparation for funded charitable delivery. 

Although no financial transactions occurred during this reporting period, substantial preparatory work was undertaken to ensure the charity entered its operational phase with appropriate governance and compliance structures in place. 

## **4. Financial Review** 



Total income for the period: £0 

Total expenditure for the period: £0 

The charity did not receive income or incur expenditure during the financial period 29 August 2024 to 1 April 2025. 

This reflects the fact that The Bootroom was newly established and operated in a structured development and compliance phase during this period. The trustees made a deliberate decision to ensure governance, safeguarding and financial control systems were fully embedded before commencing funded delivery. 

Funding applications were prepared and submitted during the reporting period. However, grant approvals and funding awards were not confirmed until the subsequent financial year (2025–2026). As a result, no income was received prior to the year end. 

No trustee remuneration or expenses were paid during the period. 

At 1 April 2025, the charity held no assets and had no liabilities. 

## **5. Reserves Policy** 

The charity did not hold reserves at the reporting date. 

As funded delivery commences in 2025–2026, the trustees will implement a formal reserves policy to ensure appropriate unrestricted reserves are maintained to support operational stability and risk management. 

## **6. Risk Management** 



The trustees have reviewed the major risks facing the charity. 

During the reporting period, risk exposure was limited due to the absence of financial transactions. Key identified risks include: 

- Safeguarding risk 

- Funding dependency risk 

- Governance and compliance risk 

- Reputational risk 

Control measures include: 

- Enhanced DBS checks for eligible roles 

- Written safeguarding procedures 

- Financial control framework 

- Trustee conflict of interest procedures 

- Serious incident reporting processes 

The trustees are satisfied that appropriate systems are in place to manage material risks. 

## **7. Plans for the Next Financial Year** 

In the 2025–2026 financial year, the charity will commence funded delivery following successful grant approvals. 



Planned activities include: 

- Distribution of football boots and essential equipment 

- Structured volunteer engagement 

- Partnership development with grassroots football providers 

- Monitoring and reporting of charitable impact 

The trustees will prioritise sustainable funding streams, measurable outcomes, and robust financial oversight as the charity transitions into active delivery.
