## **Charity structure** 

## **Structure** 

The structure includes: 

- Trustees 

- A managing committee 

- Members 

- Annual General Meetings 

- A constitution 

There must be at least five charity trustees. The maximum number of charity trustees is 9.  The Treasurer operates banking accounts, with at least one other Trustee acting as authoriser of electronic payments. 

A governing management committee (hereafter called the Committee) is constituted. The Committee: 

- 1) Govern and control all charity operations, fundraising, donations, productions, events, membership, insurances and finance. 

- 2) Exercise due care and skills to ensure the solvency of Pastiche. 

- 3) Ensure it holds all required insurances. 

- 4) Be responsible for maintaining an inventory of all assets owned by Pastiche. 

- 5) Select the beneficiary organisation(s) for charitable donations. The Committee may consider the views of the Members in arriving at this decision. 

The Committee members include all Trustees and any co-opted Members. The Committee roles include: 

- 1) Chair 

- 2) Vice chair 

- 3) Secretary 

- 4) Treasurer 

- 5) Any other roles determined by the Committee. 

The Committee can co-opt additional Members from time to time. 

The Committee meet a minimum of four times between each Annual General Meeting.  There must be an annual general meeting (AGM) of the Members of Pastiche. AGMs are held at intervals of not more than 15 months. Other general meetings of the Members may be held at any time. Decisions of the Members may be taken by vote at a general meeting. 

## **Recruitment of trustees** 

All Trustees must be proposed and seconded by Pastiche Members. If the number of nominations exceeds the number of vacancies, election will take place during a General Meeting by simple majority.

The vacancies so arising may be filled by the decision of the Members at the Annual General Meeting; any vacancies not filled at the annual general meeting shall be filled as follows: 

- a) Trustee vacancies that occur during the membership year may be filled by an Extraordinary General Meeting, at the discretion of the Trustees if the minimum number of Trustees is met. 

- b) Trustee vacancies that occur during the membership year must be filled by an Extraordinary General Meeting, at the discretion of the Trustees if the minimum number of Trustees is not met. 

Every charity trustee must be a natural person. No individual may be appointed as a charity trustee of Pastiche: 

- 1) if they are under the age of 16 years; or 

- 2) if they would automatically cease to hold office under the provisions of clause [15(1)(f)] of the constitution. 

No one is entitled to act as a charity trustee whether on appointment or on any re-appointment until they have expressly acknowledged, in whatever way the charity trustees decide, their acceptance of the office of charity trustee. 

At least one of the trustees of Pastiche must be 18 years of age or over. 

## **Activities and objectives in the year** 

## **Objectives** 

The objects of Pastiche Musical Theatre are: 

1. For the public benefit, promote the arts of drama, music and dance in Hillingdon and the surrounding areas through in particular but not exclusively the arts of musical theatre; 

   - a. by enabling the instruction of dance, music and drama which supports people of all levels of experience and ability; 

   - b. by enabling the local community to have affordable access to the dramatic arts; and 

   - c. to further develop local community appreciation of said art through staging of performances and other activities.

Activities in 2024-2025 included: 

- Producing and performing two shows: 

   - Musical Mashup (October 2024) 

   - Witches of Eastwick (April-May 2025) 

- Fundraising activities 

- Operating the charity

- Producing and performing two high standard shows at a local community venue, Compass theatre in Hillingdon: 

   - Musical Mashup 

   - Witches of Eastwick 

- Increasing bank balance by approximately £2,000.

## **Public benefit:** 

- A total audience of 1,000 (MM24 386 and WofE 614) with an average ticket price of £15.92 – achieving affordable community access to local theatre. We extended our concession rate to those under 16, over 60 and to those in full time education making sure that those who can’t always afford to visit and experience live theatre are able to do so. 

- The participation of approximately 30 volunteers in show production, for scenery, costume, sound and lighting, props, stage management, and front of house activities. This provided opportunities to a wide range of people to engage in the arts in their local area and within their borough, who would otherwise not have the occasion to develop within the Hillingdon drama community. 

- Pastiche used local and emerging musicians, providing them with the opportunity to play in a pit band. 

- The participation of over 20 amateur members in the performance of shows, with instruction in dance, drama and singing. We maintained our policy of inclusivity with open access to individuals to be able to take part in Musical Theatre productions. Membership remains free. 

- One work experience placement from local school. 

- Each production raised money for a dedicated charity, selected by our membership, through an audience donation given at the end of each performance. We raised money for two other charities:

## **Financial review** 

**Reserves policy-** To hold £10,000 in reserve to cover the possibility of uninsured losses and unexpected increases in operating costs.
