## **INTRODUCTION** 

The Trustees, who are also the Directors for the purposes of company law, present the annual report together with the financial statements of the charitable company for the period ended 31 August 2025. 

## **STRUCTURE, GOVERNANCE AND MANAGEMENT** 

## _**Nature of governing document**_ 

Redemption Church London (the “Church” or the “Charity”) is a registered charity, number 1209646, and is constituted under its Memorandum and Articles of Association. The Church was registered as a charity on 19 August 2024. 

## _**Recruitment and appointment of Trustees**_ 

The management of the Charity is the responsibility of the Trustees who are appointed under the terms of the Articles of Association. 

## _**Organisational structure**_ 

The Charity is governed by its Trustees who take legal responsibility for the financial and statutory compliance of the Charity. New Trustees are appointed in accordance with the Articles of Association. 

## _**Related party relationships**_ 

The Church enjoys informal but close relationships with other churches in the UK which enhances the ability of this Charity to further its charitable objects. In particular a wealth of support and experience was generously provided by Clarendon Trust and Emmanuel Church London during the period, for which the Trustees are profoundly grateful. 

The Church is a member of the Evangelical Alliance and affirms the basis of faith found on their website. In addition, the Church is part of a family of churches called Newfrontiers, partnering with thousands of churches across the world. 

## _**Risk management**_ 

The Trustees have assessed the major risks to which the Charity is exposed, in particular those related to the operations and finances of the Charity, and are satisfied that systems and procedures are in place to mitigate exposure to the major risks. 

Of particular note, the Trustees are consistently monitoring safeguarding risks and the Charity maintains its safeguarding policy and an up-to-date training schedule. All Trustees and all those volunteering in our teams serving children and young people were required to complete background checks and confirm their understanding of and commitment to the Church's safeguarding policy. 

## **OBJECTIVES AND ACTIVITIES** 

## _**Objects and aims**_ 

The Church exists to advance the Christian faith for the benefit of the public in accordance with the Statement of Beliefs. The Church holds to the central beliefs of the Christian faith as historically expressed in statements such as the Nicene Creed. 

Our heart is to grow into a community of wholehearted disciples of Jesus, full of his love, truth and compassion. The world we live in is increasingly complex and confused and we want to discover together the beauty and wisdom of following Jesus as Lord. The word redemption speaks of forgiveness and freedom. Our prayer is that we would be able to lead many people to the grace and truth of Jesus and that they would discover - in him - the forgiveness and freedom they long for. Our vision extends to helping believers - whether new to their faith or experience - to stand firm in that grace and truth, and to train them to share it with others.

## _**Public benefit**_ 

The Trustees confirm that they have complied with the requirements of section 17 of the Charities Act 2011 to have due regard to the public benefit guidance published by the Charity Commission for England and Wales. 

## _**Going concern**_ 

After making appropriate enquiries, the Trustees have a reasonable expectation that the charity has adequate resources to continue in operational existence for the foreseeable future. For this reason, they continue to adopt the going concern basis in preparing the financial statements. 

## **ACHIEVEMENTS AND PERFORMANCE** 

## _**Main activities:**_ 

- Sunday afternoon church services in London Bridge open to all; 

- Prayer meetings; 

- Bible studies, discussions and discipleship settings; 

- Serving those in the local community in London through social action; 

In planning our activities the Trustees have applied the guidance on public benefit issued by the Charity Commission. 

## _**Review of activities**_ 

## _**Sunday afternoon church services**_ 

The Church hosted Sunday church services at 4pm throughout the period in the St Hugh’s Church building on Crosby Row in London Bridge. These included expository preaching from the Bible, sung worship, prayer, communion and kids and youth activities. Kids and youth activities during our Sunday afternoon services aimed to enable all children and young people to discover, understand and discuss the good news of Jesus. 

During September 2024 the Church hosted a Sunday with guests from Emmanuel Church London who have supported the planting and establishment of Redemption. These guests prayed for the congregation at Redemption and commissioned them for the task of launching and growing a vibrant, compassionate, God-centred church in London Bridge. 

## _**Prayer meetings**_ 

The Church hosted weekly prayer meetings on Mondays and Sundays during the period and additional prayer meetings on some Thursday evenings. A major focus and passion during the launch phase of the Church has been on the foundational teaching of Jesus on prayer in his Sermon on the Mount. 

## _**Bible studies, discussions and discipleship settings**_ 

The Church hosted a series of afternoons and evenings during the period dedicated to teaching and discussing the core values of Redemption. These values include being a community which is deeply God-centred. This characteristic most shaped the first churches we read about in the Bible, and empowers discipleship, witness to the world, and life-changing love. The core priorities also include learning from Jesus how to genuinely honour one another, and to love sacrificially. 

Within these formative evenings we have devoted time discussing what it means to be effective representatives of Christ in London. The Church values a commitment to praying for, listening to, eating with, and serving friends and neighbours in our communities. 

There were also a large number of informal discipleship meetings: one-to-one meet ups, held as twos or threes, as families and other groupings.

## _**Serving those in the local community in London through social action**_ 

During the period the Church established a Community Fund, taking steps towards the radical generosity modelled and commanded in the Bible. This fund is a separate, restricted fund, which church members can give into at any point, used to support those in particular need. This encompasses both (i) directly serving those in need within the church community, and (ii) supporting church members to meet the needs of those around them. 

## _**Providing a church family and community in a hectic city**_ 

The Church hosted meals and gatherings at homes to provide opportunities for people in the church, and new people considering joining the Church, to connect in a less formal setting than a Sunday morning. 

## _**Baptisms**_ 

In September 2024 we were excited to baptise one of our Church community and hear their story of God’s transformative work in their life. All glory to God. 

## _**Employment**_ 

From 1 April 2025 the Church employed a part time employee, Stu Gibbs as Church Pastor. 

## _**Advertising**_ 

The Church has advertised our Sunday afternoon services in multiple ways including leaflets in the London Bridge area and through online advertising. 

## _**Volunteers and training**_ 

The Trustees would like to thank every volunteer who has given their time during the period. Volunteers are fundamental to everything that happens in our Sunday meetings and all other Church activities. 

During the period we hosted safeguarding training led by our Safeguarding Officer. 

## _**The future**_ 

There are thousands of students in London Bridge and the surrounding areas, and we are developing activities throughout the coming years to serve this student community and provide opportunities for students to explore faith in Jesus. 

## _**Financial review**_ 

During the period income exceeded expenditure by £106,309 due to the generous donations of both the Church community and other churches in the UK. The Church is very grateful for the generosity of the church community who give consistently of their finance and their time towards the work and vision of the Church. Our systems allow us to make Gift Aid claims on every donation that is eligible. 

The Trustees’ policy is to give away at least 10% of income each period and any unspent money is carried forward. 

All financial payments from the Church's online banking facility with CAF Bank require validation/ authorisation from a second member of the Trustee team. 

The Charity prepares accounts using the accruals basis. 

## _**Policy on reserves**_ 

The Trustees have established a policy whereby free reserves held by the Charity should be maintained at approximately three months rate of spend. The Charity has substantially more than that in reserve at the moment and the Trustees are comfortable with this position.

## **STATEMENT OF TRUSTEES' RESPONSIBILITIES** 

The Charities Act and the Companies Act require the Board of Trustees to prepare financial statements for each financial year which give a true and fair view of the state of affairs of the charity as at the end of the financial year and of the surplus or deficit of the charity. In preparing the financial statements the Board is required to:- 

- select suitable accounting policies and then apply them consistently; 

- make judgements and estimates that are reasonable and prudent; 

- prepare the financial statements on the going concern basis unless it is inappropriate to presume that the charity will continue in business and; 

- state whether applicable accounting standards and statements of recommended practice have been followed, subject to any material departures disclosed and explained in the financial statements. 

The Trustees are also responsible for maintaining adequate accounting records which disclose with reasonable accuracy at any time the financial position of the charity and which are sufficient to show and explain the charity's transactions and enable them to ensure that the financial statements comply with the Companies Act 2006 and comply with regulations made under the Charities Act. They are also responsible for safeguarding the assets of the charity and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities. 

The Trustees are also responsible for the contents of the Trustees' report, and the responsibility of the independent examiner in relation to the Trustees' report is limited to examining the report and ensuring that on the face of the report, there are no inconsistencies with the figures disclosed in the financial statements. 

These accounts have been prepared in accordance with the provisions applicable to companies subject to the small companies regime.

## **INDEPENDENT EXAMINER’S REPORT ON THE ACCOUNTS** 

I report to the charity trustees on my examination of the accounts of the Company for the period ended 31 August 2025. 

## **RESPONSIBILITIES AND BASIS OF REPORT** 

As the charity’s trustees of the Company (who are also the directors of the company for the purposes of company law), you are responsible for the preparation of the accounts in accordance with the requirements of the Companies Act 2006 (“the 2006 Act”). 

Having satisfied myself that the accounts of the Company are not required to be audited for this period under Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of your charity’s accounts as carried out under section 145 of the Charities Act 2011 (“the 2011 Act”). In carrying out my examination, I have followed the Directions given by the Charity Commission (under section 145(5)(b) of the 2011 Act. 

## **INDEPENDENT EXAMINER'S STATEMENT** 

I have completed my examination. I confirm that no material matters have come to my attention which gives me cause to believe that: 

- accounting records were not kept in accordance with section 386 of the Companies Act 2006; or 

- the accounts do not accord with such records; or 

• the accounts do not comply with relevant accounting requirements under section 396 of the Companies Act 2006 other than any requirement that the accounts give a ‘true and fair’ view which is not a matter considered as part of an independent examination; or 

- the accounts have not been prepared in accordance with the Charities SORP (FRS102). 

I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.

## **Directors' Responsibilities:** 

For the financial period ending 31 August 25 the charity was entitled to exemption from audit under section 477 of the Companies Act 2006 relating to small companies. 

• The members have not required the charity to obtain an audit of its accounts for the period in question in accordance with section 476; and

## **1. ACCOUNTING POLICIES** 

## **Summary of significant accounting policies and key accounting estimates** 

The principal accounting policies applied in the preparation of these financial statements are set out below. These policies have been consistently applied to all the periods presented, unless otherwise stated. 

## **Statement of Compliance** 

The financial statements have been prepared in accordance with Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019) - (Charities SORP (FRS 102)), the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102). They also comply with the Companies Act 2006 and Charities Act 2011. 

## **Basis of Preparation** 

Redemption Church London meets the definition of a public benefit entity under FRS 102. Assets and liabilities are initially recognised at historical cost or transaction value unless otherwise stated in the relevant accounting policy notes. 

## **Going Concern** 

The trustees consider that there are no material uncertainties about the charity's ability to continue as a going concern nor any significant areas of uncertainty that affect the carrying value of assets held by the charity. 

## **Income and endowments** 

All income is recognised once the charity has entitlement to the income, it is probable that the income will be received and the amount of the income receivable can be measured reliably. 

## **Donations and legacies** 

Donations are recognised when the charity has been notified in writing of both the amount and settlement date. In the event that a donation is subject to conditions that require a level of performance by the charity before the charity is entitled to the funds, the income is deferred and not recognised until either those conditions are fully met, or the fulfilment of those conditions is wholly within the control of the charity and it is probable that these conditions will be fulfilled in the reporting period. 

Legacy gifts are recognised on a case by case basis following the grant of probate when the administrator/executor for the estate has communicated in writing both the amount and settlement date. In the event that the gift is in the form of an asset other than cash or a financial asset traded on a recognised stock exchange, recognition is subject to the value of the gift being reliably measurable with a degree of reasonable accuracy and the title to the asset having been transferred to the charity. 

## **Deferred income** 

Deferred income represents amounts received for future periods and is released to incoming resources in the period for which it has been received. Such income is only deferred when: 

- The donor specifies that the grant or donation must only be used in future accounting periods; or 

- The donor has imposed conditions which must be met before the charity has unconditional entitlement. 

## **Gift Aid** 

Incoming resources from tax reclaims are included in the Statement of Financial Activities at the same time as the gift to which they relate. 

## **Interest receivable** 

Interest on funds held on deposit is included when receivable and the amount can be measured reliably by the charity; this is normally upon notification of the interest paid or payable by the institution with whom the funds are deposited. 

## **Expenditure** 

All expenditure is recognised once there is a legal or constructive obligation to that expenditure, it is probable settlement is required and the amount can be measured reliably. All costs are allocated to the applicable expenditure heading that aggregate similar costs to that category.

## **1. ACCOUNTING POLICIES (Continued)** 

## **Charitable activities** 

Charitable expenditure comprises those costs incurred by the charity in the delivery of its activities and services for its beneficiaries. It includes both costs that can be allocated directly to such activities and those costs of an indirect nature necessary to support them. 

## **Taxation** 

The charity is considered to pass the tests set out in Paragraph 1 Schedule 6 of the Finance Act 2010 and therefore it meets the definition of a charitable company for UK corporation tax purposes. Accordingly, the charity is potentially exempt from taxation in respect of income or capital gains received within categories covered by Chapter 3 Part 11 of the Corporation Tax Act 2010 or Section 256 of the Taxation of Chargeable Gains Act 1992, to the extent that such income or gains are applied exclusively to charitable purposes. 

## **Tangible fixed assets** 

Individual fixed assets costing £2,000 or more are initially recorded at cost, less any subsequent accumulated depreciation and subsequent accumulated impairment losses. 

## **Depreciation and amortisation** 

Depreciation is provided on tangible fixed assets so as to write off the cost or valuation, less any estimated residual value, over their expected useful economic life as follows:

## **Debtors** 

Trade and other debtors are recognised at the settlement amount after any trade discount offered. Prepayments are valued at the amount prepaid net of any trade discounts due. 

## **Cash and cash equivalents** 

Cash and cash equivalents comprise cash on hand and call deposits, and other short-term highly liquid investments that are readily convertible to a known amount of cash and are subject to an insignificant risk of change in value. 

## **Liabilities** 

Liabilities are recognised when there is an obligation at the Balance sheet date as a result of a past event, it is probable that a transfer of economic benefit will be required in settlement, and the amount of the settlement can be estimated reliably. 

Liabilities are recognised at the amount that the company anticipates it will pay to settle the debt or the amount it has received as advanced payments for the goods or services it must provide. 

## **Pensions and other post retirement obligations** 

The charity operates a defined contribution pension scheme which is a pension plan under which fixed contributions are paid into a pension fund and the charity has no legal or constructive obligation to pay further contributions even if the fund does not hold sufficient assets to pay all employees the benefits relating to employee service in the current and prior periods. Contributions to defined contribution plans are recognised in the Statement of Financial Activities when they are due. If contribution payments exceed the contribution due for service, the excess is recognised as a prepayment.

The monthly average of employed staff was 1 (full time equivalent 0.4). Activities are mainly carried out by volunteers. 

The key management personnel of the charity comprise the Trustees and the Church Pastor. The total employee benefits (including employer national insurance and employer pension contributions and self employed personnel) of the key management personnel of the charity were £15,220. No employees received emoluments in excess of £60,000. 

## **11. DIRECTORS AND OTHER RELATED PARTIES** 

No payments were made to directors or any persons connected with them during this financial period. During the period the charity received donations totalling £28,125 from related parties (which includes trustees, any other members of key management and anyone closely connected to them). 

## **12. RISK ASSESSMENT** 

The directors actively review the major risks which the charity faces on a regular basis and believe that maintaining the free reserves stated, combined with the annual review of the controls over key financial systems carried out on an annual basis will provide sufficient resources in the event of adverse conditions. The directors have also examined other operational and business risks which they face and confirm that they have established systems to mitigate the significant risks.
