2. STRUCTURE, GOVERNANCE, AND MANAGEMENT

I. Governing Document

Kenya Poverty Action is a Charitable Incorporated Organisation (CIO), incorporated on 6 June 2024. The charity is governed by its Foundation Constitution.

II. Trustee Recruitment and Appointment

The incumbent trustees were appointed upon registration. Future trustees will be recruited based on their professional expertise in international development, financial management, and community engagement, skills and expertise we believe will strengthen the management, accountability, and impact of the charity. All trustees are provided with the Charity Commission’s guidance on trustee responsibilities (CC3).

III. Risk Management

The trustees have identified that the primary risk to the charity during this period is the delay in securing a dedicated charity bank account. To mitigate this, the trustees have deferred all public fundraising and financial commitments until a reliable banking account is opened and active to ensure full transparency and compliance.

3. OBJECTIVES AND ACTIVITIES

I. Charitable Objects

As per our guiding Constitution, the objects of KPA are for the public benefit to prevent or relieve poverty in Kenya, specifically in underserved and climatevulnerable regions, through:

• a) Poverty Prevention and Relief: To prevent and relieve poverty in Kenya for the public benefit by supporting sustainable community projects.

• b) Capacity Building for Local NGOs: Sourcing and raising funds in the UK and internationally to develop the skills and capacity of selected registered NGOs in Kenya focused on poverty mitigation.

• c) Promotion and Advocacy: Promoting the work of selected Kenyan NGOs to increase visibility and support for grassroots solutions to poverty.

• d) Strategic Collaboration: Partnering and collaborating with international and local organizations that share the Charity’s objects to enhance the delivery of lasting improvements in Kenyan communities.

II. Public Benefit Statement

The trustees confirm that they have referred to the guidance contained in the Charity Commission’s general guidance on public benefit when planning future activities. All planned activities are aimed at benefiting the public in Kenya without restriction.

4. ACHIEVEMENTS AND PERFORMANCE

During the reporting period of 6 August 2024 to 5 April 2025, Kenya Poverty Action was in its pre-operational administrative phase. While the charity is now 32 days overdue for this filing due to administrative delays in the banking sector, the trustees have utilized this time to:

• Digital Infrastructure: Successfully launched the official website

• (https://kenyapovertyaction.org.uk/) to serve as a transparency hub.

• Governance Framework: Drafted internal policies regarding grant-making, safeguarding, and anti-money laundering.

• Stakeholder Mapping: Identified key community-led organizations in Kenya for future partnership.

• Banking: Actively pursued the opening of a UK-based charity bank account.

Note on Financial Activity: No income was received, and no expenditure was incurred during this period. The charity remained dormant in terms of cash flow to maintain strict adherence to UK financial regulations while awaiting bank account approval.

5. FINANCIAL REVIEW

Financial Position

The Statement of Financial Activities shows a Nil position for the period ending 5 April 2025.

Reserves Policy

The trustees aim to maintain a reserve equivalent to 3–6 months of operating costs once the charity is fully operational. At present, the charity holds no reserves.

Going Concern

The trustees have a reasonable expectation that the charity has adequate resources (in terms of volunteer time and strategic planning) to continue in operational existence for the foreseeable future once financial infrastructure is in place.

Declaration:

The Trustees acknowledge their responsibilities for complying with the requirements of the Charities Act 2011 with respect to accounting records and the preparation of accounts.

The Trustees confirm that for the period ending 5 April 2025 , they have prepared a True and Fair report of the charity's activities and financial position. They further certify that:

• The accounts have been prepared on a "Nil" basis as the charity remained in its pre-operational phase awaiting bank facilities.

• No income or expenditure was handled, and no assets or liabilities existed at the period end.

• All information provided is consistent with the charity's Constitution and mission.
