TRUSTEES’ REPORT

FOR THE YEAR ENDED 30 JUNE 2025

The trustees present their annual report and financial statements for the year ended 30 June 2025. This is the charity’s first annual report since its establishment in June 2024.

The financial statements have been prepared in accordance with the accounting policies set out in note 1 to the financial statements and comply with the charity’s governing document, the Charities Act 2011, FRS 102 “The Financial Reporting Standard applicable in the UK and Republic of Ireland” and the Charities SORP “Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102)”.

Objectives and activities

The objects of the CIO are:

For the public benefit the relief of sickness and the preservation of health in particular by providing grants to fund medical research into Soft Tissue Sarcoma, specifically those Sarcomas caused by chromosomal translations, and by promoting and supporting the publication and dissemination of the useful results of such research.

Public benefit

The trustees confirm that they have complied with their duty under section 17 of the Charities Act 2011 to have due regard to the Charity Commission’s guidance on public benefit when planning and undertaking the charity’s activities.

Achievements and Performance

Transcend Sarcoma’s founder and chair of trustees Jack Holmes was diagnosed with stage 4 CIC::DUX Sarcoma at the age of 33 in November 2023 – a rare type of Soft Tissue Sarcoma caused by a chromosomal translocation. Jack’s treatment options were limited to extension of life plans as no targeted treatment exists for this type of Sarcoma. Jack spent significant time researching sarcoma and potential treatment developments, especially thanks to the support of the Sarcoma Pathology team at the Royal National Orthopaedic Hospital NHS Trust. Through this connection Jack was inspired to establish a charity dedicated to raising funds for research into translocationdriven sarcomas. This is when Transcend Sarcoma was born.

Jack sadly passed away on 3 October 2024, just 12 months after diagnosis but the work of Transcend Sarcoma continues, led by the remaining board of trustees.

The work of the charity is supported mainly through:

Transcend Sarcoma is a voluntary-run charity, led by its board of trustees. The trustees are responsible for the overall management and control of the charity, meeting on a monthly basis and collectively making any major decisions. Day-to-day operations are managed by trustees, with support at specific fundraising events from volunteers from the wider Transcend Sarcoma community. Funds raised during this first year as a charity came from a number of different sources, including individual donations, small grants, and community fundraising activities. Events organised by Transcend Sarcoma during its first year took a number of different forms, reflecting a varied programme designed to engage the community and support its objectives. These included a Summer Festival featuring a Makers’ Market alongside live music, an evening of opera held in York, and a live music event in Hoxton, London.

Grant-making Policy

The charity’s primary activity is to award grants to support research into soft tissue sarcomas, particularly those caused by chromosomal translocations.

The trustees have established a formal grant-making policy to ensure that funds are applied effectively and in furtherance of the charity’s objectives.

All grant applications are assessed by the board of trustees, who have ultimate responsibility for approving funding decisions. In making these decisions, the trustees may seek advice from qualified medical researchers and specialists in the field of sarcoma.

Applications are evaluated against defined criteria, including:

The trustees undertake appropriate due diligence on grant recipients and require that funds are used solely for agreed charitable purposes. Grants are typically awarded for specific research activities and may be subject to reporting requirements to monitor progress and outcomes.

All grant decisions are made at the discretion of the trustees and are formally documented.

During the year, the charity awarded its first research grant in accordance with this policy.

On 9[th] September 2024, Transcend Sarcoma made its first grant of £25,000 to University College London (“UCL”) to support research to develop “targeted protein degradation drugs in translocation driven sarcomas”, led by Dr Nischalan Pillay at the UCL Cancer Institute.

The research is focused on developing a first-of-its-kind targeted therapy for clear cell sarcoma (CCS) - one of the rarest and most challenging forms of the disease. This project is helping to lay the groundwork for a new treatment approach to degrade translocation cancer proteins.

The trustees are actively exploring additional research opportunities aligned with the charity’s objectives and intend to continue supporting promising projects as suitable opportunities arise.

Financial review

Total income for the year was £86,725.91.

Total expenditure was £32,884.51.

This resulted in a net surplus of £53,841.40 for the year.

The principal sources of income were fundraising events, merchandise sales, supporter-led fundraising activities and donations from individuals.

Going Concern

The trustees consider that the charity has sufficient resources to continue in operational existence for the foreseeable future, given its positive cash position and low level of ongoing costs. Accordingly, they continue to adopt the going concern basis in preparing the financial statements.

Reserves Policy

The charity currently holds unrestricted reserves of £53,841.40.

As a voluntary-run organisation with minimal overhead costs, the trustees do not consider it necessary to maintain reserves based on a fixed number of months of operating expenditure.

Instead, the trustees aim to retain sufficient reserves to:

Structure, governance and management

A Board of Trustees of up to five members meet regularly to administer the Charity.

The charity’s constitution was adopted on 24[th] June 2024.

New trustees would be appointed in accordance with the governing document, though no changes to the board have taken place to date. No external person or organisation has the power to appoint trustees.

The following Trustees were reimbursed for expenses incurred in the course of their duties for the charity:

No Trustee received any remuneration or other benefits from the charity during the year. No expenses were reimbursed to any other Trustees.

The charity has a policy in place to manage conflicts of interest. Trustees are required to declare any potential conflicts and, where appropriate, withdraw from decisionmaking. No conflicts of interest were identified during the year.

The trustees are responsible for preparing the Trustees’ Report and the financial statements in accordance with applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice).

The law applicable to charities in England and Wales required the trustees to prepare financial statements for each financial year which give a true and fair view of the state of affairs of the charity and of the incoming resources and application of resources of the charity for that year.

In preparing these financial statements, the trustees are required to:

Responsibilities and basis of report

As the charity trustees of the Trust, you are responsible for the preparation of the accounts in accordance with the requirements of the Charities Act 2011 (“the Act”).

I report in respect of my examination of the Trust’s accounts carried out under section 145 of the 2011 Act and in carrying out my examination, I have followed the applicable Directions given by the Charity Commission under section 145(5)(b) of the Act.

1. Accounting policies

Basis of preparation

The financial statements have been prepared under the historical cost convention and in accordance with the Charities Act 2011, the Charities (Accounts and Reports) Regulations 2008 and the Charities Statement of Recommended Practice (SORP) (FRS 102) applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102).

The charity constitutes a public benefit entity as defined by FRS 102.

Going concern

The trustees consider that the charity has sufficient resources to continue in operational existence for the foreseeable future. Accordingly, the financial statements have been prepared on a going concern basis.

Fund accounting

General funds are unrestricted funds which are available for use at the discretion of the trustees in furtherance of the general objectives of the charity.

All funds held during the year were unrestricted.

Income recognition

Income is recognised when the charity has entitlement to the funds, any performance conditions attached to the income have been met, it is probable that the income will be received and the amount can be measured reliably.

Income comprises donations, fundraising events and merchandise sales.

All income received during the year was unrestricted.

Expenditure recognition

Expenditure is recognised on an accruals basis as a liability is incurred. Expenditure includes VAT which cannot be recovered and is reported as part of the expenditure to which it relates.

Expenditure is classified under the following headings:

Grants payable are recognised in the financial statements when the trustees have made a formal commitment to make the grant and this has been communicated to the recipient.

Cash and cash equivalents

Cash and cash equivalents include cash at bank and in hand.
