## **Structure, Governance and Management** 

4UM THEATRE is a Charitable Incorporated Organisation registered with the Charity Commission for England and Wales. The charity uses the foundation model constitution. The trustees are responsible for the general control and management of the CIO and for ensuring that its activities further the charity's objects. 

The constitution requires trustees to declare conflicts of interest, withdraw from conflicted discussions where necessary, and keep records of trustee decisions and meetings. 

## **Objects** 

The charity's objects are the relief of and rehabilitation of adults who are in recovery from alcohol or drug addiction and/or who are at risk of entering the criminal justice system, in particular through the provision of drama therapy. 

## **Objectives, Activities and Public Benefit** 

During this first reporting period, 4UM THEATRE began operating as a newly registered CIO focused on drama therapy type activity for adults in recovery and justice settings. The charity's work is designed to improve mental health and emotional wellbeing, confidence, engagement, routine, purpose, and connection. 

The trustees have had regard to the Charity Commission's public benefit guidance. The programme uses fictional character work, group process, an anonymity protocol, session safety reminders, host support structures, and safeguarding processes. It is a complementary intervention and does not replace medical, mental-health, addiction, or justice support services. 

## **Achievements and Performance** 

- Established the CIO structure, constitution, trustee board, and first-period records. 

- Secured early income including National Lottery Community Fund / Awards for All funding for Anonymous Drama / Hot Seats work. 

- Received unrestricted support from Landsec and from 4UM Theatre Ltd, with the latter linked to B&Q; / Neighbourly funding received before the CIO Co-op account was opened. 

- Began or supported Anonymous Drama / Hot Seats activity, including venue hire, delivery/facilitation costs, project director duties, and induction/training work. 

- Maintained safeguarding, evaluation, attendance, and reporting approaches for the developing work.

The Co-op bank export also contains a GBP 19,000 Duncan Property payment and matching GBP 19,000 refund within the period. These are explained in the accounts as a cancelled/refunded transaction with no net effect on year-end funds. 

The GBP 7,500 support from 4UM Theatre Ltd originated from B&Q; / Neighbourly funding received before the CIO Co-op account was opened and then transferred to the CIO. The trustees have treated it as unrestricted support based on the available confirmation. 

## **Restricted Funds** 

The charity received GBP 19,900 from the National Lottery Community Fund / Awards for All for Anonymous Drama / Hot Seats activity. This is treated as restricted funding. First-period restricted spend was GBP 7,778.75, leaving GBP 12,121.25 carried forward. 

## **Reserves Policy** 

As a newly registered CIO, the charity aimed to hold sufficient free reserves to meet committed costs, manage timing differences in grant income and project expenditure, and ensure restricted funds are used only for their intended purposes. 

## **Principal Risks and Uncertainties** 

- Maintaining clear separation between CIO records and 4UM Theatre Ltd records. 

- Tracking restricted grant income and project expenditure during the charity's setup period. 

- Ensuring trustee and connected-person payments are properly authorised, managed, and disclosed. 

- Maintaining evidence for early payments, refunds, and post-period reimbursements. 

## **Serious Incidents** 

The trustees are not aware of any serious incidents during the reporting period that required reporting to the Charity Commission. 

## **Related Parties and Connected Organisations** 

4UM THEATRE CIO is separate from 4UM Theatre Ltd. The CIO received GBP 7,500 from 4UM Theatre Ltd during the period. The trustees understand this originated from B&Q; / Neighbourly funding received before the CIO Co-op account was opened. 

Mark Nicol was a trustee during the period and received GBP 6,875 for project director duties and Hot Seats induction/training work. The trustees confirm that conflicts were declared, recorded, and managed in accordance with the charity's conflicts of interest policy and Charity Commission guidance. Where a conflict existed, the affected trustee did not participate in discussion or decision-making, was not counted towards the quorum, and the remaining trustees were satisfied that decisions were in the charity's best interests. The trustees confirm that no unauthorised trustee or connected person benefit arose. 

Creative Change Co / CCC reimbursed the same GBP 6,875 after the period in two receipts of GBP 3,437.50 on 17 October 2025 and 31 October 2025. This is disclosed as post-period evidence supporting the treatment of the original payment.

## **1. Restricted funds** 

Restricted funds relate to the National Lottery Community Fund / Awards for All funding for Anonymous Drama / Hot Seats activity. GBP 19,900 was received and GBP 7,778.75 was spent during the period, leaving GBP 12,121.25 carried forward. 

## **2. B&Q; / 4UM Theatre Ltd support** 

The CIO received GBP 7,500 from 4UM Theatre Ltd on 27 February 2025. The trustees understand this originated from B&Q; / Neighbourly funding received before the CIO Co-op account was opened. The trustees have treated this as unrestricted support based on the available confirmation.

## **Independent Examiner’s Report to the Trustees of 4UM Theatre** 

I report to the trustees on my examination of the accounts of 4UM Theatre for the year ended 1[st] September 2025. 

## **Responsibilities and basis of report** 

As the charity trustees of the CIO, you are responsible for the preparation of the accounts in accordance with the requirements of the Charities Act 2011. 

I report in respect of my examination of the charity’s accounts carried out under section 145 of the Charities Act 2011 and in carrying out my examination I have followed all applicable Directions given by the Charity Commission under section 145(5)(b) of the Act. 

## **Independent examiner’s statement** 

I have completed my examination. I confirm that no material matters have come to my attention in connection with the examination giving me cause to believe that in any material respect: 

- accounting records were not kept in respect of the charity as required by section 130 of the Charities Act 2011; or 

- the accounts do not accord with those records; or 

- the accounts do not comply with the applicable requirements concerning the form and content of accounts set out in the Charities Act 2011 other than any requirement that the accounts give a “true and fair view” which is not a matter considered as part of an independent examination.
