## **Structure, Governance and Management** 

Mending Minds is a Charitable Incorporated Organisation (CIO) governed by its constitution. The trustees are responsible for the overall management and control of the charity and for ensuring that it operates in accordance with its charitable objects and applicable charity law. 

As a newly established charity, trustees were recruited through existing professional and personal networks based on their skills and commitment to the charity’s purposes. 

During the reporting period, the charity was in its establishment phase and governance arrangements were kept proportionate to the scale of activity. 

The trustees are aware of their responsibilities under charity law and have acted in accordance with the charities constitution throughout the period. 

## **Objectives and Activities** 

The objects of the charity are to preserve and protect the mental health of adults suffering from mental ill-health by: 

providing counselling and psychotherapy sessions to individuals who, through lack of means, would otherwise be unable to access such support; and 



supporting the training of counsellors and psychotherapists, with the aim of increasing access to mental health services. 

During this reporting period, the charity did not deliver frontline services. Trustee activity focused on setting up the charity and laying the foundations for future delivery of its charitable purposes. 

## **Significant Activities During the Year** 

During the period, the trustees: 

- completed the legal establishment and registration of the charity as a CIO; 

- undertook early-stage fundraising via a JustGiving campaign to support initial operating costs; and 

- secured a charity bank account, enabling funds to be held and administered in the charity’s name. 

- The charity’s activities during this period were preparatory in nature, aimed at enabling service delivery and charitable activity in subsequent financial years. 

## **Achievements, Performance and Public Benefit** 

As the charity was in its start-up phase, no direct services were delivered to beneficiaries during the reporting period. The trustees consider that the preparatory work undertaken during the year was necessary to enable the charity to provide public benefit in future periods by establishing appropriate legal, governance and financial arrangements to support its charitable activates. 

## **Financial Review** 

During the reporting period, the charity received £360 in donation income via a JustGiving fundraising campaign. These funds were applied towards professional legal fees incurred in establishing the charity. 

At the end of the reporting period, the charity held no funds, and there were no assets or liabilities. 

No trustee received remunerations or expenses during the reporting period.

## **Reserves policy** 

Given the charity’s start-up status and the absence of funds held at the year end, the trustees did not maintain reserves during the reporting period. The trustees intend to develop a reserves policy as fundraising activity increases in future periods. 

## **Plans for future periods** 

In the next financial year, the trustees intend to focus on: 

- developing a sustainable fundraising strategy; 

- strengthening operational and governance processes; and 

- commencing delivery of the charity’s intended services as resources allow.
