Structure, Governance and Management

Governing Document: Compassionate Humanity is constituted as a Charitable Incorporated Organisation (CIO) governed by its constitution adopted on 26 Jun 2024.

Recruitment and Appointment of Trustees: Trustees are appointed by the existing Board of Trustees based on their skills, experience, and commitment to the charity’s objectives. New trustees undergo an induction process to familiarize them with the charity’s operations, policies, and their legal responsibilities.

Trustee Induction and Training: New trustees receive an induction pack including the charity’s governing document, recent financial statements, and key policies. Ongoing training is provided as needed to ensure trustees are up-to-date with their responsibilities and best practices in charity governance.

Organisational Structure: The Board of Trustees is responsible for the overall governance and strategic direction of the charity. Day-to-day operations are managed by the trustees, supported by dedicated volunteers.

Related Parties: Compassionate Humanity works closely with BAYAN CIC, a related community interest company, on various projects to achieve shared community benefit objectives. Transactions with related parties are conducted at arm’s length and disclosed appropriately.

Risk Management: The trustees have a duty to identify and review the risks to which the charity is exposed and to establish systems to mitigate those risks. A comprehensive risk management policy is in place, and the risk register is reviewed regularly by the

Board of Trustees to ensure all significant risks are identified, assessed, and managed effectively.

Objectives and Activities

Charitable Objectives: Compassionate Humanity’s objectives, as set out in its governing document, are:

• to promote human rights (as set out in the Universal Declaration of Human Rights and subsequent United Nations conventions and declarations) throughout the world by all or any of the following means: monitoring abuses of human rights; obtaining redress for the victims of human rights abuse; relieving need among the victims of human rights abuse; researching into human rights issues; educating the public about human rights; providing technical advice to government and others on human rights matters; contributing to the sound administration of human rights law; commenting on proposed human rights legislation; raising awareness of human rights issues; promoting public support for human rights; promoting respect for human rights among individuals and corporations; international advocacy of human rights; and cultivating a spirit of international understanding and goodwill.

Summary of the Main Activities Undertaken for the Public Benefit: In 2025, Compassionate Humanity continued its mission to support human rights and community well-being. Our primary activities focused on providing essential support to vulnerable individuals and collaborating with partner organizations to extend our reach. Key activities included:

• Community Support Initiatives: Direct financial support was provided to individuals and families in need, helping to alleviate immediate hardships. This included assistance with basic necessities and emergency aid.

• Partnership with BAYAN CIC: We continued our close collaboration with BAYAN CIC, providing financial contributions to support their community-focused projects. This partnership enabled us to amplify our impact and reach a broader segment of the community requiring assistance.

• Volunteer Engagement: Our dedicated team of approximately 7 volunteers remained crucial to our operations, contributing their time and skills to various administrative and outreach activities, ensuring the smooth running of the charity.

Achievements and Performance

Despite a challenging economic environment, Compassionate Humanity maintained its commitment to its beneficiaries. Our achievements in 2025 include:

• Sustained Support: We successfully provided continuous support to our beneficiaries, demonstrating resilience in our operations.

• Effective Partnerships: The ongoing collaboration with BAYAN CIC proved effective in delivering targeted aid and achieving shared objectives.

• Operational Efficiency: Through prudent financial management and the invaluable contribution of our volunteers, we maintained low administrative costs, ensuring that a significant portion of our funds directly benefited our charitable activities.

Financial Review

Principal Funding Sources: The charity’s principal funding sources in 2025 included donations from individuals and transfers from related organizations, notably BAYAN CIC. A grant was also received from the Coalfields Regeneration Trust.

Reserves Policy: Compassionate Humanity maintains a financial reserves policy to ensure its financial stability and ability to continue operations in unforeseen circumstances. The policy aims to hold unrestricted reserves equivalent to 6 months of the charity’s average annual unrestricted expenditure. The trustees regularly review the level of reserves against this policy.

Going Concern: The trustees have assessed the charity’s financial position and are satisfied that the charity is a going concern, with sufficient resources to meet its liabilities as they fall due.

Plans for Future Periods

Compassionate Humanity plans to continue its core activities of providing support to vulnerable individuals and collaborating with partner organizations. We will seek to diversify our funding base further and explore new opportunities to expand our reach and impact, always guided by our charitable objectives and the needs of the communities we serve.

Statement of Trustees’ Responsibilities

The trustees are responsible for preparing the Trustees’ Annual Report and the financial statements in accordance with applicable law and United Kingdom Accounting Standards.

Charity law requires the trustees to prepare financial statements for each financial year which give a true and fair view of the state of affairs of the charity and of the incoming resources and application of resources, including the income and expenditure, of the charity for that period. In preparing these financial statements, the trustees are required to:

• select suitable accounting policies and then apply them consistently;

• observe the methods and principles in the Charities SORP;

• make judgements and accounting estimates that are reasonable and prudent;

• state whether applicable accounting standards have been followed, subject to any material departures disclosed and explained in the financial statements; and

• prepare the financial statements on the going concern basis unless it is inappropriate to presume that the charity will continue in operation.

The trustees are responsible for keeping proper accounting records that disclose with reasonable accuracy at any time the financial position of the charity and enable them to ensure that the financial statements comply with the Charities Act 2011. They are also responsible for safeguarding the assets of the charity and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.
