9. Structure, Governance, and Management

10. Governing Document: The charity is governed by its Constitution (Foundation Model) dated 24 June 2024.

11. Constitution: Charitable Incorporated Organisation (CIO).

• Trustee Selection: As a Foundation CIO, the only voting members are its charity trustees. Apart from the first trustees, every trustee is appointed for a term of two years by a resolution passed at a properly convened meeting. The trustees have regard to the skills, knowledge, and experience needed for the effective administration of the CIO.

2. Charitable Objects: To advance the education of pre-school children in Ethiopia, with an initial focus on providing grants and the provision of items and services for education at pre-schools located in Lideta sub-city, Addis Ababa.

3. Public Benefit Statement: The trustees have complied with their duty to have due regard to the guidance on public benefit published by the Charity Commission. The charity’s purpose is to improve educational outcomes for vulnerable children, which provides a clear and direct benefit to the public.

4. Achievements and Performance

• Summary of Activities: During this initial reporting period, the trustees successfully completed the legal registration of the charity with the Charity Commission for England and Wales. The primary focus was on establishing administrative structures and launching a crowdfunding campaign to secure the initial funds required for project delivery.

• Impact: While no educational services were delivered on-site in Ethiopia during this specific financial period, the foundation for the project was laid through successful registration and initial fundraising efforts.

5. Financial Review

• Financial Position: As of 31 March 2025, the charity had performed no financial transactions. Income held at the year-end consisted of initial funds obtained through crowdfunding, held in the charity’s Lloyds Bank account.

• Debts and Liabilities: The charity has no known debts or liabilities in its name.

• Reserves Policy: Given the early stage of the charity and the lack of ongoing operational costs during this period, the trustees did not establish a formal reserves policy.

• Custodian Trustee: The charity does not hold assets as a custodian trustee.

• Plans for the Future & Dissolution

• Statement on Dissolution: Following the period covered by this report, the trustees held a General Meeting on 27 November 2025. Due to an inability to secure long-term sustainable funding and challenges in accomplishing the initial objectives, a Special Resolution was passed to voluntarily dissolve the CIO.

• Transfer of Assets: All remaining property (funds in the Lloyds Bank account) will be transferred to "Together We Learn" (Charity Number 1165953), an organisation with similar charitable objects focused on pre-school education in Ethiopia.
