## Structure, Governance and Management 

## Governing document 

SproutClub is governed by its constitution and operates in accordance with charity law and the guidance of the Charity Commission for England and Wales. 

## Trustee appointment and induction 

Trustees are appointed in line with the governing document. During the period, trustees received appropriate information to enable them to fulfil their duties, including guidance on charity governance, financial oversight, and public benefit requirements. 

## Risk management 

The trustees have assessed the major risks to which the charity is exposed. As the charity has been dormant during the reporting period, operational and financial risks have been minimal. Strategic risks relating to funding, technology development, safeguarding, and legal responsibilities have been identified and will be actively managed prior to the commencement of trading and service delivery. 



## Objectives and Activities 

## Charitable purposes 

SproutClub is established for charitable purposes that promote environmental sustainability, education, wellbeing, and community resilience by enabling and encouraging people to grow their own food. 

## Public benefit 

The trustees confirm that they have had due regard to the Charity Commission’s guidance on public benefit. SproutClub’s intended activities are designed to deliver clear public benefit by: - Increasing access to growing spaces and skills - Promoting sustainable food production and biodiversity - Supporting physical and mental wellbeing through gardening - Encouraging self-reliance and community connection 

## Activities during the year 

During the reporting period, SproutClub remained **dormant** and undertook no trading or charitable activities. This was a deliberate decision by the trustees while seeking a suitable funding and delivery partner to support the development of the proposed AIenabled digital platform. 

No income was received, no expenditure incurred, and no staff or volunteers were engaged during the year. 

## Achievements and Performance 

As the charity was dormant, there were no operational achievements to report during the year. However, the trustees continued to refine the strategic vision and business plan, ensuring that SproutClub is well positioned to commence activities once funding is secured. 

The trustees remain confident in the relevance and potential impact of SproutClub’s mission, particularly in light of the climate crisis, cost of living pressures, biodiversity loss, and growing public interest in food self-sufficiency. 

## Plans for Future Periods 

The trustees intend that SproutClub will become operational once sufficient funding has been secured to responsibly develop and launch its digital platform. 

Planned future activities include: - Development of an AI-enabled platform connecting growers, landowners, and mentors - Launch of the “patch-match” initiative to enable shared use of growing spaces - Provision of free educational resources to support 



growers of all abilities - Formation of partnerships with charities, community groups, and aligned organisations - Fundraising through grants, sponsorships, and public campaigns 

Until such funding is confirmed, the charity will remain dormant in order to protect its assets, reputation, and compliance obligations. 

## Financial Review 

## Financial position 

The charity had no income or expenditure during the reporting period and remained dormant throughout the year. 

## Reserves policy 

As there were no funds held at the year end, a reserves policy was not applicable during this period. A formal reserves policy will be adopted prior to the charity becoming operational. 

## Going concern 

The trustees consider that SproutClub remains a going concern, subject to securing future funding. The accounts have therefore been prepared on a going concern basis. 

## Statement of Trustees’ Responsibilities 

The trustees are responsible for preparing the Trustees’ Annual Report and the financial statements in accordance with applicable law and United Kingdom Accounting Standards (FRS 102) and the Charities SORP. 

The trustees are required to: - Ensure that proper accounting records are kept - Prepare accounts that show a true and fair view of the charity’s financial position - Safeguard the assets of the charity and take reasonable steps to prevent fraud and error 

## Independent Examiner’s Report 

An independent examination is not required as the charity had no income or expenditure during the period and falls below the statutory thresholds.
