The trustees’ present their report with the unaudited financial statements of the charity for the year ended 30 June 2025

The objective of the charity is to promote the advancement and improvement of general education in relation to all aspects of the art of drama and the development of public appreciation of such art. During the past year the Charity has fulfilled the following activities in pursuit of this objective:

The 2024/25 season AGM was held on 14/11/2025. The initial Trustees resigned and were reappointed at the AGM.

The main activity during the season was to prepare for the transfer of assets and membership from the Chads Theatre Company charity 507253. At the AGM of Chads Theatre Company charity 507253, on 1/8/2024, the membership agreed the resolution to transfer all its assets to the CIO.

Procedures for the day-to-day operational management of the CIO are being prepared for operation of the CIO once the transfer is completed based on existing policies and practices where applicable.

The Membership of the CIO has remained at the 4 Trustees during the first financial year.

STRUCTURE, GOVERNANCE AND MANAGEMENT

The Chair and three trustees form an Executive Committee. The management of the CIO and its funds are vested in this Executive Committee which will be expanded to include new department heads such as finance and publicity, together with three members elected at the next Annual General Meeting once the membership is transferred from the Chads Theatre Company Charity 507253.

It is considered that all the trustees and any others who could be considered as managers within the charity are deemed to be fit and proper persons under the terms of the Finance Act 2010.

The contents and obligations of the Equality Act 2010 and GDPR 2018 are known and complied with to the best of the Trustees ability. The Trustees recognize that in respect of Risk Assessment they accept the term 'risk' includes any circumstances that may, or do, have an adverse effect, and is wider than financial matters.

They have been observing the advice given by the Charity Commission in respect of Public Benefit and are conscious of their responsibility regarding fire and accident safety.

FINANCIAL REVIEW

There have been no financial transactions during the first financial year of the CIO as the assets of the Chads Theatre Company charity were not transferred during this financial year. It is planned that such assets will be transferred before the end of the second financial year of the CIO. It is planned that the format of the receipt and payments section will be similar to that used by the Chads Theatre Company Charity 507253 and based on the Charity Commission format CC16 as shown on the following pages.

RESERVES POLICY

Reserves: Once the Chads Theatre Company Charity 507253 transfers its assets to the CIO, the CIO will aim to maintain sufficient working capital for the purposes of the daily running of the CIO and this is equivalent to three months of income. Any funds above this amount effectively constitute a reserve which is held against future requirements for capital investment. All funds are unrestricted income funds.

FUTURE PLANS

We will continue to progress to completion the move of the Charity to a CIO.

Once fully operational the trustees are confident that the society will generate sufficient future cash flows to both meet existing liabilities as and when they fall due and to continue with ongoing plans to enhance the theatre. This will be done by restricting all discretionary spend protecting existing reserves.

INDEPENDENT EXAMINER’S REPORT

As there have been no financial transactions, an Independent Examiner has not been appointed for the first financial year of the CIO. It is planned to continue to make use of the Services of an independent Examiner for the second financial year following the transfer of the Chads Theatre Company Charity 507253 assets.
