TRUSTEES’ REPORT FOR THE YEAR ENDED 31[ST] MARCH 2025

The Trustees present their annual report and financial statements of the charity for the year ended 31[st ] March 2025. The financial statements have been prepared in accordance with the charity’s constitution, the Charities Act 2011 and Accounting and Reporting by Charities, Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS102).

OBJECTIVES AND ACTIVITIES

The charity has been established to advance education and to undertake, commission, develop and disseminate research for the public benefit including, and without limitation, in the effective identification, development, governance, management, distribution and use of energy and energy sources, where practicable in a manner which also conserves and protects the environment and promotes sustainable development and efficient public administration.

PUBLIC BENEFIT

In planning the charity’s activities the Trustees have given consideration to the Charity Commission guidance on public benefit.

FINANCIAL REVIEW

Income totalling £274,696 was received. Expenditure of £264,672 was incurred.

Trustees have developed an income generation plan which involves creating a membership scheme for governments and member countries which will support the research and dissemination goals of the organisation. Grant income is expected to form a significant part of its income going forward.

RESERVES POLICY

Trustees have identified the need to hold at least 6 months of unrestricted reserves. However, as a new Charity, the Trustees acknowledge that it will take some time to build up sufficient reserves. In the meantime, they are committed to matching income to expenditure in the short term.

PLANS FOR THE FUTURE

The objectives remain unchanged for the future; the trustees have confidence that the organisation will grow significantly in the next two to three years, becoming a major convenor of collaborative network of governments across 22 countries.

RISK MANAGEMENT

The main risks to which the charity is exposed as identified by the Trustees have been considered and plans have been established to mitigate those risks.

Short term risk profile includes cashflow, retention of key personnel and developing the membership programme.

TRUSTEES’ RESPONSIBILITIES IN RELATION TO THE FINANCIAL STATEMENTS

The charity’s trustees are responsible for preparing a Trustees’ annual report and financial statements in accordance with applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice). The law applicable to charities in England and Wales requires the charity’s trustees to prepare financial statements for each year which give a true and fair view of the state of affairs of the charity and of the incoming resources and application of resources, of the charity for that period. In preparing the financial statements, the trustees are required to:

• select suitable accounting policies and then apply them consistently;

• observe the methods and principles in the applicable Charities SORP; • make judgements and estimates that are reasonable and prudent;

• state whether applicable accounting standards have been followed, subject to any material departures that must be disclosed and explained in the financial statements;

• prepare the financial statements on the going concern basis unless it is inappropriate to presume that the charity will continue in business.

The trustees are responsible for keeping proper accounting records that disclose with reasonable accuracy at any time the financial position of the charity and to enable them to ensure that the financial statements comply with the Charities Act 2011, the applicable Charities (Accounts and Reports) Regulations, and the provisions of the Trust deed. They are also responsible for safeguarding the assets of the charity and taking reasonable steps for the prevention and detection of fraud and other irregularities.

Independent Examiner’s Report to the Trustees of New Producers for Sustainable Energy

I report to the charity trustees on my examination of the accounts of the Trust for the period ended 31[st] March 2025.

Responsibilities and basis of report

As the trustees of the Trust, you are responsible for the preparation of the accounts in accordance with the requirements of the Charities Act 2011 (‘the Act’). I report in respect of my examination of the Trust’s accounts carried out under section 145 of the Act.

In carrying out my examination I have followed all applicable Directions given by the Charity Commission under section 145(5)(b) of the 2011 Act.

I have completed my examination. I confirm that no matters have come to my attention that giving me cause to believe that in any material respect:

  1. accounting records were not kept in respect of the Trust as required by section 130 of the Act; or

  2. the accounts do not accord with those records; or

  3. the accounts do not comply with the applicable requirements concerning the form and content of accounts set out in the Charities (Accounts and Reports) Regulations 2008 other than any requirement that the accounts give a ‘true and fair view which is not a matter considered as part of an independent examination.

I confirm that there are no other matters to which your attention should be drawn to enable a proper understanding of the accounts to be reached.

Notes to the financial statements

For the period ended 31st March 2025 1 Accounting policies

a) Basis of preparation

The financial statements have been prepared in accordance with Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) - (Charities SORP FRS 102), the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) and the Companies Act 2006. Assets and liabilities are initially recognised at historical cost or transaction value unless otherwise stated in the relevant accounting policy or note.

b) Statutory information

New Producers for Sustainable Energy is a charitable company limited by guarantee and is incorporated in the United Kingdom. The registered office address is 71-75 Shelton Street, Covent Garden, London, SW1P 8HB

c) Public benefit entity

The charitable company meets the definition of a public benefit entity under FRS 102.

d) Going concern

In the application of the Charity's accounting policies, which are described in note 1, the Trustees are required to make judgements, estimates and assumptions about the carrying amounts of assets and liabilities that are not readily apparent from other sources. The estimates and associated assumptions are based on historical experience and other factors that are considered to be relevant. Actual results may differ from these estimates. Trustees have developed a strategy to deliver the objectives of the Charity and acknowledge that the strategy may take 2-3 years to implement in its entirety. This acknowledges that the Charity has limited resources currently but is matching its income and expenditure to enable its future plans to be delivered in a reasonable time frame.

Therefore, the trustees have a reasonable expectation that the charity has adequate resources to continue in operaitonal existence for the foreseeable future. Thus the trustees continue to adopt the going concern basis of accounting in preparing the accounts

e) Fund accounting

Unrestricted funds are considered free reserves and are expendable at the discretion of the Trustees in furtherance of the general objectives of the Trust.

f) Income

Income is recognised when the charity has entitlement to the funds.

g) Member Subscriptions

Member subscriptions are paid by member countries. Some countries are represented on the Advisory Board, where they offer advice to the Secretariat and the Board of Trustees on matters that concern the charity's activities and strategy.

h) Gifts in kind

In accordance with FRS102 services in-kind have been recognised according to the value of the gift to the charity upon receipt. This valuation has been made using open-market pricing where applicable, or is based on the value the charity has attributed to the gift.

i) Interest receivable

Interest on funds held on deposit is included when receivable and the amount can be measured reliably by the charity; this is normally upon notification of the interest paid or payable by the bank.

j) Expenditure recognition

Charitable activities include research, sharing knowledge and best practice and convening events to disseminate information, along with associated support and governance costs. These are identified wthin the Statement of Financial Activities when payment has been agreed. Governance costs relate to compliance with constitutional and statutory requirements, and specifically include all costs incurred by the Trust in producing the Annual Report. Liabilities are recognised as soon as there is a legal or constructive obligation committing the charity to expenditure.

k) Cash and cash equivalents

Cash and cash equivalents include cash in hand and deposits held at call with banks.

l) Allocation of support costs

As the charity carries out one main activity, to advance education of energy and energy resources for the public benefit, all support and governance costs have been allocated to this activity. Notes 3 and 4 include details of all expenditure.

Governance costs are the costs associated with the governance arrangements of the charity. These costs are associated with constitutional and statutory requirements and include any costs associated with the strategic management of the charity’s activities.

m) Taxation

The income and gains of the fund are exempt from taxation as they are applied for charitable purposes only.
