Structure, Governance and Management

Trustees are appointed by the head trustee, with the objective of providing balanced stewardship of the charity – and assuring ongoing adherence to the charitable objectives.

Charitable Purposes

The objects of the CIO are:

(1) To promote, maintain, improve and advance education in and appreciation of the arts in all forms for the benefit of the inhabitants of Coventry and the surrounding area, through operation of a community arts venue.

(2) To promote for the benefit of the inhabitants of Coventry and the surrounding area the provision of facilities for recreation or other leisure time occupation of individuals who have need of such facilities by reason of their youth, age, infirmity or disablement, financial hardship or social and economic circumstances or for the public at large in the interests of socialwelfare and with the object of improving the condition of life of the said inhabitants.

LTB Showrooms primary object as a not for profit charitable organisation is to identify and operate a physical premises, suitable for (and delivering, over the period) sustainable community arts activity to the community. The activity should be be broadly educational, and demonstrably for public benefit (improving social welfare / fostering inclusivity / strengthening communities / improving mental wellbeing).

Overview

This has been our first year of trading since appointing trustees and registering the organisation as a CIO (effective as of 4/6/2024).

We have continued on with our successful and exciting work of delivering engagement through the programming of exciting new grassroots arts/music/cultural activity (and events), for public benefit - whilst prioritising a search for new premises.

Some improvements to the facilities we offer have been possible, (particularly in regards of the improved main stage area, and our increasing know-how in regards of hospitality provision + bar sales) however the general state of the building has been an ongoing concern with rainwater ingress, and a lack of heating regularly cited as major risks.

The lease with Coventry City Council on our location at the Litten Tree Building (aka ‘LTB’) – which had been our home since March 2021 - ended on 10th January 2025, and, having come to an arrangement with Coventry University Student Union (CUSU) for temporary use of the Priory Visitor Centre (aka ‘PVC’ - which they lease from the Council), we moved all of our essential kit over to the new location in the final week before the lease ended.

Following a short period of refurbishment, in 2025, we delivered our first public event at the new PVC location on Feb 6th – fittingly, the Fire & Dust monthly open mic night which we have successfully hosted since 2022.

As of March’ 25 we have also secured a premises licence for PVC – and this has facilitated more test events where we can feel our way forward in regards of provision of hospitality in this (much smaller) new venue.

Revenue from drink sales at events has historically been our primary income source, so this is a very important element for the trustees to safeguard.

Our arrangement with CUSU in regards of the PVC building is an informal agreement, with LTB volunteers providing operational custodianship of the premises including some essential maintainence activities in exchange for ongoing free use of the facility.

The CUSU lease however ends in August 2025, and we anticipate Coventry City Council (thelandlords) to shortly be inviting expressions of interest from local community organisations for a new 3 year period – which is being offered on a peppercorn rental basis subject to certain conditions of use.

The trustees will be submitting an EOI proposal in due course – and we are very hopeful of being awarded the lease.

Achievements and Performance – commentary

The trustees were very encouraged by the continuing level of activity, attendees,

engagement and quality of programming at the Litten Tree venue during the period – with the diversity and engagement engendered by the 91 events/activities (plus 6 at PVC) held clearly reflecting LTB’s charitable objects of advancing education in (and appreciation of) the arts in all forms, for the benefit of the local public – and meeting recreational needs of the many who have restricted opportunities in life.

Wider societal benefit and engagement was also indicated by our continuing strong social media ‘reach’ – reflecting ongoing engagement re: our regular postings, showcasing the events and activities at the venue - typically 50k per month users on Facebook, and 2500 instagram followers

Particular highlights included:-

Weekly art workshop sessions with Dynamo Project at LTB facilitated by volunteer / LTB trustee Toni Peach. Dynamo help rehabilitate males who struggle with substance abuse.

A DIY Fashion workshop – culminating in an evening event showcasing garments made (and modelled) by the 30 or so participants. All ages, all backgrounds – incredible vibe.

Love Music Hate Racism Coventry relaunch event – showcasing 12 local music/spoken word acts. 170 attendees.

Monthly ‘Fire & Dust Open mic – this ran at other venues before, but since we stepped in to host the night attendances have increased by 50%, and audiences/performers are much more diverse – and younger (which the organisers + performers agree, reflects positively on our excellent technical facilities, professional approach and venue character).

Local MP + mayoral support / attendance at events.

Programme content increasingly reflects our strategic intent to partner with organisers who bring specialised skillsets and already have access to engaged communities. We find that this enables us to do more, with relatively little resource – with the LTB focus being primarily one of facilitation / curation. The trustees however recognise the limitations and risks of this in that we operate mostly ‘reactive’ mode, setting out our stall and respondingto enquiries rather than proactively seeking out programming opportunities - and this will be monitored closely should we be successful in securing a lease deal.

Financial Review – commentary

Against a backdrop of uncertainty in regards of potential closure due to demolition whilst the City Centre South timeframe remained unclear (which affected event bookings), the trustees were nonetheless very encouraged by a strong performance of the LTB bar-cafe during this financial year, (the bar is only open during events) – with income of £37k reflecting our growing confidence and expertise in the programming of evening time culture activities - and licensing/provision of hospitality therein.

Gross margins on drink sales (c. 64%) continue to be healthy, although the trustees have concerns about the occasional late night (2am finish) music events which carry a higher risk – and these are likely to be curtailed.

The awarding of 100% business rate exemption for the second year running by Coventry City Council following an application made by the Head Trustee was also a major success,

as was the continuance of our premises licensing.

A negotiated settlement of £1091 with Scottish Power to cover ‘out of contract’ energy use during the previous financial year was also a pleasing result for the trustees given the potential for exposure.

A profit during the year of £12230 has contributed to a bank account surplus (reserves) of £10630 by year end. The trustees consider this adequate in the circumstances, and are confident this strong and consistent financial performance during the year will assist LTB in demonstrating its suitability for the award of an operating lease at PVC (running costs estimated at £1.6k pcm by Coventry City Council).
