## **Structure, governance and management** 

The charity is constituted as a charitable incorporated organisation (CIO). The charity was registered as a CIO on 3 June 2024. On 1 January 2025, the charity took on all of the activities, assets and liabilities of charity number 223678, Royal Society for the Prevention of Cruelty to Animals Coventry & District Branch, an unincorporated association, which ceased its activities on this date. The charity operates as an autonomous branch of the national RSPCA subject to its rules for branches (as updated 2012). 

A committee who form the trustees, are elected at the AGM and govern the branch. All trustees are briefed on their responsibilities as trustees prior to their acceptance of the role. 

The trustees hold monthly meetings at which decisions are made. Day to day running of the animal centre is delegated to the animal centre manager, and the day to day running of the shops is delegated to the area shop manager. 

The trustees actively review the risks which the charity faces on a regular basis through regular meetings of the trustees that cover operational and financial reviews. The trustees also examine other operational and business risks which the branch face and confirm that they have established systems to mitigate the significant risks, which have been identified as; 

-Inability to operate the animal centre because of fire or destruction;-Loss of reputation through error of fraud; -Loss of income through error of fraud; 

-Insufficient funds to cover the costs of animal welfare activities. 

All pay and remuneration decisions are taken by the trustees. An annual pay increase is given in April’s pay. In making the annual award consideration is given to pay rates in similar other charities and the national minimum wage. 

## **The objectives of the branch** 

The objectives of the branch are to promote the work and the objectives of the National Society of the RSPCA, with particular reference to the area of the branch. 

The key aim is to find suitable new homes for as many animals as possible, and to provide proper care for those who have been mistreated or abandoned. The main activity to achieve this is the operation of an animal rehoming programme. Our force of volunteers provide invaluable support. 

## Public Benefits 

The RSPCA Coventry & District Branch CIO is an incorporated charitable organisation and a separately registered branch of the National RSPCA, carrying out its direct animal welfare work in the Coventry & District area. The aims of the branch are to promote kindness and to prevent or suppress cruelty to animals by all lawful means, with particular reference to the area, in accordance with the policies of the National RSPCA. 

The trustees have reviewed the achievements of our objectives and activities for the year, to ensure they remain focused on our charitable aims and continue to deliver benefits to the public. We have complied with the duty under the Charities Act 2011 to have due regard to public benefit guidance by the Commission. Under the Charities Act 2011, the advancement of animal welfare is recognised as a distinct statutory charitable purpose. This legislation and The Animal Welfare Act 2006 indicate the acceptance by society that treating animals with compassion has a moral benefit for the public as a whole. Whilst this public benefit is clear, it is sometimes difficult to quantify and must be balanced against any detriment.

## **The objectives of the branch continued…** 

The branch's local animal welfare work benefits society at large by taking in unwanted animals and finding loving new homes for as many as possible. When the need arises we can also provide subsidised neutering and microchipping, this helps to control animal populations, therefore promoting responsible pet ownership. 

We support our local inspectors by taking in mistreated or abandoned animals, including pets whose owners suffer ill health or financial difficulties or pass away. The inspectors rescue animals in distress and enforce laws against the mistreatment of animals by bringing prosecutions. 

Animals in our care receive veterinary treatment where needed, vaccination, neutering, microchipping and are assessed for rehoming. This work helps to control the spread of disease and suffering. 

We rehome animals in need at low cost to people willing and able to have a pet. Whilst we recognise that pets provide benefits to people's physical and mental health, we considering the owning of pets as secondary to the main charitable aim of this service, which is to reduce animal suffering. Our policy is to charge a reasonable adoption fee for animals and also aims to highlight the ongoing personal and financial commitment of pet ownership. It would not be in the best interest of the animals to rehome to those who could not afford them. 

We check the microchip details of lost animals and try to reunite them with their owners. This work benefits our local community by preventing animals from straying and posing a risk to themselves and the public through road traffic accidents. 

We answer enquiries from the public about animals locally and the public know that we assist animals in need. We offer free animal care advice and this helps to promote responsible pet ownership. 

We provide volunteering opportunities for those who wish to support our work including fostering and fundraising. This benefits local people by providing the possibility of doing work which is compassionate and rewarding. 

## **Fundraising standards** 

The branch employs a part time fundraising manager. No external fundraisers are used. 

The branch is registered with The Fundraising Regulator. No complaints have been received by the Regulator in connection with the branch’s fundraising activities in recent years. 

The branch’s fundraising activities are monitored closely by the trustees, Due regard is given to vulnerable people and other members of the public as the branch undertakes its fundraising. 

## **Statement of trustees’ responsibilities** 

The trustees are responsible for preparing the Report of the Trustees and the financial statements in accordance with applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice). The law applicable to charities in England and Wales, the Charities Act 2011, Charity (Accounts and Reports) Regulations 2008 and the provisions of the trust deed requires the trustees to prepare financial statements for each financial year which give a true and fair view of the state of affairs of the charity and of the incoming resources and application of resources, including the income and expenditure, of the charity for that period. In preparing those financial statements, the trustees are required to select suitable accounting policies and then apply them consistently; observe the methods and principles in the Charity SORP; make judgements and estimates that are reasonable and prudent; state whether applicable accounting standards have been followed, subject to any material departures disclosed and explained in the financial statements; prepare the financial statements on the going concern basis unless it is inappropriate to presume that  the charity will continue in business. ## **Statement of trustees’ responsibilities continued…** 

keeping proper accounting records which disclose with reasonable accuracy at any time the financial position of the charity and to enable them to ensure that the financial statements comply with the Charities Act 2011, the Charity (Accounts and Reports) Regulations 2008 and the provisions of the trust deed. They are also responsible for safeguarding the assets of the charity and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities. 

## **Achievements and performance** 

The trustees are presenting the first financial statements of The Royal Society for the Prevention of Cruelty to Animals Coventry and District Branch CIO (Charity no 1208493). Until 31 December 2024 the Branch operated as an unincorporated association, The Royal Society for the Prevention of Cruelty to Animals Coventry and District Branch (Charity no 223678), which ceased activity on 31 December 2024. With the approval of the Trustees, all of the assets of the previous charity were transferred to the new CIO on 1 January 2025, The comparative figures in the financial statements are taken from the audited financial statements for the year to 31 December 2024 of the previous charity. 

The trustees have agreed to carry on holding a single monthly meeting online and four face to face meetings for a further year. They have continued to look at alternative ways of reducing costs and increasing the efficiency of the Animal Centre and generating extra income. 

2025 was an exciting and eventful year for the Branch. 

As set out above the Branch became a Charitable Incorporated Organisation (CIO) on 1 January 2025. 

Our cattery was built 15 years ago, but in 2024 it was decided that it needed to be refurbished. We submitted a planning application to National RSPCA for a grant to support capital infrastructure projects for branches. We were successful in obtaining grant funding for part of the cattery work with the remaining finance coming from legacy income. The refurbishment started in April 2025 and has was straightforward and took longer than expected but was completed by the end of the year. During the build period there was a shortage of spaces for cat rehoming and our staff and the public worked to provide foster homes for as many cats as we would normally care for. A big thank you to all of our supporters for this. 

One of our long term objectives was to set up our own veterinary practice to support our own animals. In 2025 we expanded this service to help other charities as well as starting to open our services to the general public. 

Over the past year, 442 cats and 144 dogs were rehomed (588 in total), compared to 2024 during which 495 cats and 101 dogs were rehomed (596 in total). 

During the year we appointed a new Area Shop Manager, Anthony Dwyer. He has worked hard with his shop managers and volunteers to enhance the layout of our shops and shoppers’ experience, He has also introduced a new Gift Aid scheme through our till system. We opened two new shops during the year, one in Nuneaton and the other in Rugby. Both shops started trading well but we have seen a decline in income in other shops in what seems to be a trend across most charities. Our online auction site was restructured during the year due to a major reduction in the volume of returned goods being given to the Branch by major online shopping companies. The trustees thank all of our shop staff and volunteers for their dedication and hard work and wish them every success for the future. 

Our Marketing and Fundraising Manager has been successful in obtaining a number of grants for the Branch including a pet food bank grant and a grant for veterinary equipment. We have also received grants for our mental health pilot project and our carers leave project. Grants were also received for the solar panels project. The solar panels project enables us to generate around 45% of our own energy during the summer months.

## **Achievements and performance continued…** 

As with any forward-thinking organisation, we have continued to review our Branch's organisational structure to meet the needs of the branch and its policies. A small number of changes took place at the centre and within our shops staffing structure. 

Being a publicly funded organisation, we continue to try and make sure that all of our funding is managed properly, and where possible, maximise the potential of those funds. 

During 2025 we have received and were notified of a number of legacies and we are so grateful for the generosity of those individuals. 

Once again, we have seen support from companies and organisations helping out at our Animal Centre through the corporate volunteering scheme. The companies involved include Parker Meggitt, Jaguar Land Rover, The Financial Ombudsman and Cadent Gas, Many thanks to all the companies and organisations that have supported us over the past year. Additionally, we have also had many volunteers helping raise funds through special events such as Psychic Sisters, the biker fund raising days and Santa Paws. 

We would like to thank Lorraine Bryan-Arnold our Animal Centre Manager and our Deputy Manager, Caroline Hailstone. Further thanks go out to all of their dedicated team, both in the front line of care and in back office support, who have helped rehome so many animals in 2025. A special thanks also to all of our staff who help promote our rehoming work on social media platforms such as Facebook and TikTok. 

To conclude, thanks also to our fosterers and volunteers for their hard work. Without volunteers the Branch could not function. All our volunteers are vital for the Branch both in the present and in the future. The trustees would like to give a heartfelt thank you to you all. 

## **Financial review** 

The total income for the year amounted to £1,286,965 (2024: £1,163,694) including legacy income of £66,245 (2024: £220,049). Expenditure in the year amounted to £1,094,894 (2024: £938,587). 

## Reserves policy 

The branch holds a number of restricted funds which are only applied in accordance with the purpose to which the fund was initiated. The branch holds unrestricted reserves in order that the service level provided for animal welfare is maintained should there be a reduction in incoming resources. Unrestricted reserves are those funds which are freely available for general purposes and are uncommitted. As at 31 December 2025 the branch had unrestricted reserves of £1,570,123 of which £969,625 were free reserves represented by net current assets. Of the free reserves the trustees have designated £650,000 specifically for the purposes of expenditure on animal welfare which represents approximately twelve months of animal centre expenditure. 

## **Plans for future periods** 

Looking forward to 2026 the trustees aim to increase income by fundraising by means of grants, partnership working and corporate sponsorship.

In so far as the trustees are aware at the time of approving our trustees' annual report:

-  the trustees, having made enquiries of fellow trustees and the Charity's auditor that they ought to have individually taken, have each taken all steps that he/she is obliged to take as a trustee in order to make themselves aware of any relevant audit information and to establish that the auditor is aware of that information.

We have audited the financial statements of Royal Society for the Prevention of Cruelty to Animals Coventry & District Branch Charity (the ‘charity’) for the year ended 31[st] December 2025 which comprise of the Statement of Financial Activities, the Statement of Financial Position and the Statement of Cash Flows and notes to the financial statements, including significant accounting policies.  The financial reporting framework that has been applied in their preparation is applicable law and United Kingdom Accounting Standards, including Financial Reporting Standard 102 _The Financial Reporting Standard applicable in the UK and Republic of Ireland_ (United Kingdom Generally Accepted Accounting Practice). 

In our opinion the financial statements: 

- give a true and fair view of the state of the charity’s affairs as at 31[st] December 2025, and of its incoming resources and application of resources, including its income and expenditure, for the year then ended; 

- have been properly prepared in accordance with United Kingdom Generally Accepted Accounting Practice; and 

- have been prepared in accordance with the requirements of the Charities Act 2011. 

## **Basis for opinion** 

We conducted our audit in accordance with International Standards on Auditing (UK) (ISAs (UK)) and applicable law. Our responsibilities under those standards are further described in the auditor responsibilities for the audit of the financial statements section of our report. We are independent of the charity in accordance with the ethical requirements that are relevant to our audit of the financial statements in the UK, including the FRC’s Ethical Standard, and we have fulfilled our other ethical responsibilities in accordance with these requirements.  We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our opinion. 

## **Other information** 

The other information comprises the information included in the trustees' annual report, other than the financial statements and our auditor’s report thereon. The trustees are responsible for the other information. Our opinion on the financial statements does not cover the other information and we do not express any form of assurance conclusion thereon. 

Our responsibility is to read the other information and, in doing so, consider whether the other information is materially inconsistent with the financial statements or our knowledge obtained in the course of the audit or otherwise appears to be materially misstated. If we identify such material inconsistencies or apparent material misstatements, we are required to determine whether this gives rise to a material misstatement in the financial statements themselves. ## **Responsibilities of trustees** 

As explained more fully in the trustees’ responsibilities statement set out on page 3, the trustees are responsible for the preparation of the financial statements and for being satisfied that they give a true and fair view, and for such internal control as the trustees determine is necessary to enable the preparation of financial statements that are free from material misstatement, whether due to fraud or error. 

In preparing the financial statements, the trustees are responsible for assessing the charity’s ability to continue as a going concern, disclosing, as applicable, matters related to going concern and using the going concern basis of accounting unless the trustees either intend to liquidate the charity or to cease operations, or have no realistic alternative but to do so. 

## **Auditor responsibilities for the audit of the financial statements** 

We have been appointed as auditor under section 144 of the Charities Act 2011 and report in accordance with the Act and relevant regulations made or having effect thereunder. 

Our objectives are to obtain reasonable assurance about whether the financial statements as a whole are free from material misstatement, whether due to fraud or error, and to issue an auditor’s report that includes our opinion. Reasonable assurance is a high level of assurance but is not a guarantee that an audit conducted in accordance with ISAs (UK) will always detect a material misstatement when it exists. Misstatements can arise from fraud or error and are considered material if, individually or in the aggregate, they could reasonably be expected to influence the economic decisions of users taken on the basis of these financial statements. 

Irregularities, including fraud, are instances of non-compliance with laws and regulations. We design procedures in line with our responsibilities, outlined above, to detect material misstatements in respect of irregularities, including fraud. The extent to which our procedures are capable of detecting irregularities, including fraud is detailed below. 

It is the primary responsibility of management, with the oversight of those charged with governance, to ensure that the company's operations are conducted in accordance with the provisions of laws and regulations and for the prevention and detection of fraud. 

In identifying and assessing risks of material misstatement in respect of irregularities, including fraud, the audit engagement team: 

- obtained an understanding of the nature of the industry and sector, including the legal and regulatory frameworks that the charity operates in and how the company is complying with the legal and regulatory frameworks; 

- enquired of management, and those charged with governance, about their own identification and assessment of the risks of irregularities, including any known actual, suspected or alleged instances of fraud;

- discussed matters about non-compliance with laws and regulations and how fraud might occur including assessment of how and where the financial statements may be susceptible to fraud. 

As a result of these procedures we consider the most significant laws and regulations that have a direct impact on the financial statements are employment laws, the health and safety legislation, FRS 102 and the Charities Act 2011 regulations. We performed audit procedures to detect noncompliances which may have a material impact on the financial statements, which included: 

- Reviewing financial statement disclosures and testing to supporting documentation to assess compliance with applicable laws and regulations. 

- Auditing the risk of management override of controls, including through testing journal entries and other adjustments for appropriateness, evaluating the business rationale in relation to significant, unusual transactions and transactions entered into outside the normal course of business and assessing whether the judgements made in making accounting estimates are indicative of potential bias. 

- Enquiring of management around actual and potential litigation and claims, including employment law and health & safety. 

Because of the inherent limitations of an audit, there is a risk that we will not detect all irregularities, including those leading to a material misstatement in the financial statements or non-compliance with regulation.  This risk increases the more that compliance with a law or regulation is removed from the events and transactions reflected in the financial statements, as we will be less likely to become aware of instances of non-compliance. The risk is also greater regarding irregularities occurring due to fraud rather than error, as fraud involves intentional concealment, forgery, collusion, omission or misrepresentation.

Our audit work has been undertaken so that we might state to the charity’s trustees those matters we are required to state to them in an auditor’s report and for no other purpose. To the fullest extent permitted by law, we do not accept or assume responsibility to anyone other than the charity and the charity’s trustees as a body, for our audit work, for this report, or for the opinions we have formed.

## **1. General information** 

The charity is a public benefit entity and a registered charity in England and Wales. The charity is a Charitable Incorporated Organisation (CIO) registered in England and Wales. The address of the principal office is Brownshill Green Farm, Coundon Wedge Drive, Allesley, Coventry, CV5 9DQ. 

## **2. Statement of compliance** 

These financial statements have been prepared in compliance with FRS 102, 'The Financial Reporting Standard applicable in the UK and the Republic of Ireland', the Statement of Recommended Practice 2019 applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (Charities SORP (FRS 102)) and the Charities Act 2011. 

## **3. Accounting policies** 

## **Taxation** 

The branch is not liable to corporation tax on its income or on surpluses on disposal of properties, all such income falling within the charitable exemptions. 

## **Basis of preparation** 

The financial statements have been prepared on the historical cost basis, as modified by the revaluation of certain financial assets and liabilities and investment properties measured at fair value through income or expenditure. 

The financial statements are prepared in sterling, which is the functional currency of the entity. 

The comparative figures are taken from the audited financial statements for the year to 31 December 2024 of the Royal Society for the Prevention of Cruelty to Animals Coventry and District Branch (Charity no. 223678), which ceased activity on 31 December 2024. All of the assets of this charity were transferred to the Royal Society for the Prevention of Cruelty to Animals Coventry and District Branch CIO (Charity no. 1208493) on 1 January 2025, 

## **Relationship with RSPCA headquarters** 

In the opinion of the trustees, the Branch is an autonomous entity. The accounts of RSPCA headquarters for the year to 31 December 2025 do not consolidate the results of the branches. 

## **Going concern** 

The financial statements have been prepared on a going concern basis. 

## **Judgements and key sources of estimation uncertainty** 

Accounting estimates and assumptions are made concerning the future and, by their nature, will rarely equal the related actual outcome. 

The trustees are of the opinion that the depreciation, residual values and estimated useful lives of fixed assets are key sources of estimation uncertainty that have a significant risk of causing material adjustment to the carrying amounts of assets and liabilities within the next financial period.

## **Fund accounting** 

Unrestricted funds are available for use at the discretion of the trustees to further any of the charity's purposes. 

Designated funds are unrestricted funds earmarked by the trustees for particular future project or commitment. 

Restricted funds are subjected to restrictions on their expenditure declared by the donor or through the terms of an appeal, and fall into one of two sub-classes: restricted income funds or endowment funds. 

## **Incoming resources** 

All incoming resources are included in the statement of financial activities when entitlement has passed to the charity; it is probable that the economic benefits associated with the transaction will flow to the charity and the amount can be reliably measured. The following specific policies are applied to particular categories of income: 

- income from donations or grants is recognised when there is evidence of entitlement to the gift, receipt is probable and its amount can be measured reliably. 

- legacy income is recognised when receipt is probable and entitlement is established. 

- It is impractical to measure the fair value of assets donated for resale. The costs of valuation outweigh the benefits to the users of the accounts and the charity of this information and therefore donated goods are recognised as income when they are sold. 

- income from contracts for the supply of services is recognised with the delivery of the contracted service. This is classified as unrestricted funds unless there is a contractual requirement for it to be spent on a particular purpose and returned if unspent, in which case it may be regarded as restricted. 

## **Resources expended** 

Expenditure is recognised on an accruals basis as a liability is incurred. Expenditure includes any VAT which cannot be fully recovered, and is classified under headings of the statement of financial activities to which it relates: 

- expenditure on raising funds includes the costs of all fundraising activities, events, noncharitable trading activities, and the sale of donated goods. 

- expenditure on charitable activities includes all costs incurred by a charity in undertaking activities that further its charitable aims for the benefit of its beneficiaries, including those support costs and costs relating to the governance of the charity apportioned to charitable activities. 

- other expenditure includes all expenditure that is neither related to raising funds for the charity nor part of its expenditure on charitable activities. 

All costs are allocated to expenditure categories reflecting the use of the resource. Direct costs attributable to a single activity are allocated directly to that activity. Shared costs are apportioned between the activities they contribute to on a reasonable, justifiable and consistent basis.

## **Tangible assets** 

Tangible assets are initially recorded at cost and subsequently stated at cost less any accumulated depreciation and impairment losses. Any tangible assets carried at revalued amounts are recorded at the fair value at the date of revaluation less any subsequent accumulated depreciation and subsequent accumulated impairment losses. 

The original cost of the Earlsdon property of £105.000, see note 17, is not depreciated. Improvements to this property are depreciated at 4% per annum on cost on a straight line basis. The charity has a policy of not providing for depreciation on the original valuation of the freehold property as It is considered that depreciation would be immaterial due to both the very long useful economic life and the high residual value of the asset. 

The charity has a policy and practice of regular maintenance and repair such that the Earlsdon property is kept to its previously assessed standard of performance. In addition to this, it is considered that the property is unlikely to suffer from economic or technological obsolescence. 

The charity reviews the Earlsdon property for impairment at the end of each reporting period. 

## **Depreciation** 

Depreciation is calculated so as to write off the cost or valuation of an asset, less its residual value, over the useful economic life of that asset as follows:

## **23. Pension commitments** 

A workplace pension scheme is operated, the assets of which are held separately in independently administered funds. Employer pension costs charged to the Statement of Financial Activities during 2025 amounted to £11,294 (2024: £8,601), Contributions totalling £2,437 (2024: £3,259) were payable at the year end and are included in other creditors. Pension contributions are all deemed to relate to unrestricted funds.

## **25. Other financial commitments** 

-As at 31st December 2025, the Society is committed to the following annual rental payments; 

-£2,650 under the terms of a 99 year lease on a property which commenced on 2nd November 1981. 

-£12,500 under the terms of a 6 year lease on a property which commenced on 1[st] January 2023. 

-£10,000 under the terms of a 6 year lease on a property which commenced on 23[rd] December 2022. 

-£9,750 under the terms of a 10 year lease on a property which commenced on 1 January 2020. 

-£12,000 under the terms of a 6 year lease which commenced on 23 May 2025. 

-£13,700 under the terms of a 5 year lease which commenced on 2 July 2025.
