TRUSTEES ANNUAL REPORT 2024/2025

The Trustees have the pleasure in presenting this report with the financial statements for the year ended 31[st] March 2025.

Overview

Galloways CIO (“the charity”) was incorporated on 17[th] May 2024 with the intention of transferring all assets and liabilities from Galloways Society for the Blind (Charity No. 526088) towards the latter stages of 2024/2025.

However, the transfer commenced on the 1[st] April 2025.

Accordingly, during the financial year from 17[th] May 2024 to 31[st] March 2025, the charity remained dormant.

Objectives and Activities for Public Benefit

The trustees confirm that they have referred to the Charity Commission for England and Wales guidance on public benefit when reviewing the charity’s strategic aims and objectives, and in planning future activities.

The charity endeavours to follow the objects, as set out in its Constitution, as the driving forces behind its decision making.

Structure

The charity is governed by its Constitution dated 17[th] May 2024.

The charity is managed by its Board of Trustees with day-to-day management entrusted to the Chief Executive Officer. The Board of Trustees, Finance and Investment Subcommittee and Property Subcommittee meet every quarter (mirroring the financial year) to consider reports prepared by the Chief Executive Officer and Chief Operating Officer.

The trustees listed in the charity details have been appointed in accordance with the constitution which states they shall consist of up to 12 competent persons. Apart from the first charity trustees, every trustee must be appointed for a term of three years by a resolution passed at a properly convened meeting of the charity trustees.

In selecting individuals for appointment as appointed charity trustees, the charity trustees must have regard to the skills, knowledge and experience needed for the effective administration of the CIO.

It is anticipated that the transfer of assets and liabilities from Galloways Society for the Blind (Charity No. 526088), which shares similar objectives, will be fully completed in the forthcoming financial year. Thereafter, a detailed annual report will be provided.

Financial Review

The charity did not trade during the year ended 31[st] March 2025. It received no income, incurred no expenditure, and therefore neither a surplus nor a deficit was generated during the period.

Trustee terms technically commenced upon the date of the charity’s registration (17[th] May 2024) however, the charity did not employee any staff or volunteers during the financial year.

Trustees’ responsibilities in relation to the financial statements

The charity trustees are responsible for preparing a trustee’s report and financial statements in accordance with applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice).

The law applicable to charities in England and Wales requires the charity trustees to prepare financial statements for each year which give a true and fair view of the state of affairs of the charity and of the incoming resources and application of resources of the charity for that period. In preparing these financial statements, the trustees are required to:

The trustees are responsible for keeping accounting records that disclose with reasonable accuracy at any time the financial position of the charity and enable them to ensure that the financial statements comply with the Charities Act 2022, the applicable Charities (Accounts and Reports) Regulations and the provisions of the Trust Deed. They are also responsible for safeguarding the assets of the charity and taking reasonable steps for the prevention and detection of fraud and other irregularities.

The trustees are responsible for the maintenance and integrity of the charity and financial information included in the charity’s website in accordance with legislation in the United Kingdom governing the preparation and dissemination of financial statements.
