## **Organisation.**
**The decision was taken by members at the annual meeting of Gwent Federation of Women’s institutes (GFWI) Unincorporated in April 2024 to change the legal status of the Charity to that of a Charitable Incorporated Organisation (CIO).**
**Following the meeting** a team of 3 (Federation Chair, Treasurer and Board member Nicola Awni) were assembled to put together the application to the Charity Commission.
The process started in early May as we believed that the application could take some time to complete. However, the process was much smoother than expected and the new GFWI CIO was accepted and registered by the Charity Commission on 13 May 2024.
It was always the intention of the Trustees to close GFWI Unincorporated on 31 December 2024 in line with our accounting year end.
All future payments and receipts would then pass through the newly opened GFWI CIO account with Lloyd’s Bank PLC from 1 January 2025.
Annual Accounts for GFWI CIO must be submitted to the Charity Commission within 18 months of registration of the new charity on 13 May 2024.This means that we would have to submit accounts before 13 October 2025 which would mean that we would have to change our accounting year end, which we do not wish to do.
We contacted the Charity Commission for advice. They have confirmed that for us to retain the 31 December as our annual accounting date we must submit a nil return for GFWI CIO covering the period 13 May 2024 until 31 December 2024.
A nil return for GFWI CIO dated 31 December 2024 will now be registered at the Charity Commission.
We have totally functioned under the Federations Unincorporated status, throughout 2024 up to the 31 December.
## **Change of Charitable Status**
Gwent Federation of Women’s Institutes is now registered as a Charitable Incorporated Organisation with the Charity Commission, Charity Number 1208227. Gwent Federation will operate under this new CIO Charity from 1 January 2025.
The Unincorporated Charity Number 227597 will be closed after the Annual Meeting.
