REPORT OF THE TRUSTEES for the period 13 May 2024 to 5 April 2025
The trustees present their report with the financial statements of the charity for the period ended 5 April 2025. The trustees have adopted the provisions of Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard 102.
OBJECTIVES AND ACTIVITIES
Objectives and aims
The objectives of the charity are for such charitable purposes as the trustees in their absolute discretion think fit. The Charity fulfils its public benefit obligation by distributing grants and making social investments in other charitable institutions.
The trustees confirm that they have had regard to the Charity Commission guidance on public benefit in reporting the Charity's objectives and achievements.
Grantmaking
The trustees adopt a proactive approach in seeking worthy causes requiring support.
ACHIEVEMENTS AND PERFORMANCE
Charitable activities
During the period, the trustees have allocated grants of £297,982 (2024: £194,894) to institutions in respect of the charity's activities. Details of grant recipients are recorded in note 8 to the accounts.
The trustees are currently considering financial support to further long term projects.
Fundraising activities
The charity is funded principally by gifts from the founders. Additionally income generated from investing the funds are used to further the charity's objectives.
Investment performance
The charity's investment advisors Heartwood Wealth Management Limited are instructed to maintain a balanced portfolio to minimise risk of losses whilst providing a consistent income which can be applied to charitable purposes.
The income return on investments was considered adequate given the investment policy and the prevailing market conditions in the year under review.
FINANCIAL REVIEW
Activities and Financial Performance
The Charity's activities were funded principally by donations and by returns from invested funds. Total income for the period was £64,087, comprising donations of £51,875 and investment income of £12,212. Total expenditure was £314,730, primarily grant making of £297,982 and support costs of £14,360. The investment portfolio recorded an unrealised loss of £8,666, reflecting market movements in the period. At the period end, cash at bank and in hand totalled £90,067 and listed investments held within the endowment totalled £599,787.
Principal funding sources
The principal source of funds is investment income generated from the charity's substantial investment base and donations by the trustees.

FINANCIAL REVIEW
Investment policy and objectives
In order to maintain a prudent and responsible investment policy and in view of the volatility in the investment markets the charity's investments have been split between managed cash funds and UK equities.
Reserves policy
The trustees maintain a general fund which is unrestricted and utilised for making of grants within the charity's objectives. This fund is also used to support loans made as social investments as described in note 14 to the accounts.
An endowment fund is held for the long term to generate investment income which can be used to fund charitable purposes in the event of a reduction in the level of unrestricted general income.
The trustees have discretion to transfer funds between the endowment and general fund where necessary to maintain the charity's operations and deliver its objectives. Transfers are only made when unrestricted income is insufficient to meet planned expenditure and are subject to formal approval by the trustees. During the year, £150,000 was transferred from the endowment fund to the general fund to support grant-making and social investment activities. This transfer is disclosed in the financial statements and was made in accordance with the charity's reserves policy.
At the period end, the balance on general fund stood at a deficit of £34,432 of which £2,984 was financing one social investment loan. The balance of the general fund was held in bank balances and investments.
The trustees acknowledge that, on occasion, unrestricted reserves may temporarily fall into deficit due to timing differences in cash inflows and outflows. Such variances are actively monitored and are expected to be resolved as anticipated income is received.
At the period end, the balance on the endowment fund stood at £600,032 represented by investments and cash at bank.
FUTURE PLANS
The charity plans to continue the activities outlined above in the forthcoming years.
STRUCTURE, GOVERNANCE AND MANAGEMENT
Governing document
The charity is a Charitable Incorporated Organisation (CIO) with an association Governing Document. This was registered on 13 May 2024.
Day to day management is in the hands of trustees who are required to use the charity's income, and may use the charity's capital, for such charitable purposes as the trustees in their absolute discretion think fit.
Recruitment and appointment of new trustees
Trustees are appointed by the existing trustees and retiring trustees may be re-elected.

STRUCTURE, GOVERNANCE AND MANAGEMENT
Organisational structure
On 13th May 2024, The Blueberry Hill Charitable Trust, charity number 1096665, formerly operating as an unincorporated association, was incorporated as a charitable incorporated organisation under the name The Blueberry Hill CIO, charity number 1208220. The transfer was agreed with the Charity commission on 11th December 2025 and all assets of the old charity were transferred at 31st March 2025. During the year the charity has taken on the activities of the unincorporated trust. The trust is no longer operating and is planned to close. The incorporation was completed in line with the charity's long-term objectives. The accounts for The Blueberry Hill CIO have been prepared under the merger accounting provisions of the FRS 102 Charity SORP Section 27. The change will have no material impact on the activities or financial position of the charity as reflected in these financial statements.
The trustees of The Blueberry Hill Charitable Trust continued as trustees of The Blueberry Hill CIO on incorporation, ensuring continuity of governance. No trustees were appointed or retired during the period.
Induction and training of new trustees
The induction process for any newly appointed trustee comprises an initial meeting with all existing trustees. In addition, the appointed trustee will be provided with a copy of the Charity's Commission guidance 'The Essential Trustee: What you need to know', a copy of the Charity's constitution and a copy of the latest Annual Report and Accounts.
Risk management
The trustees have a duty to identify and review the risks to which the charity is exposed and to ensure appropriate controls are in place to provide reasonable assurance against fraud and error.
The charity trustees have considered the major risks to which the charity is exposed and having reviewed those risks they have established systems and procedures to manage those risks. The trustees consider the variability of investment returns on the endowment fund to constitute the charity's major risk.

Independent examiner's report to the trustees of The Blueberry Hill CIO
I report to the trustees on my examination of the accounts of The Blueberry Hill CIO for the period 13 May 2024 to 5 April 2025.
Responsibilities and basis of report
As the charity's trustees you are responsible for the preparation of the accounts in accordance with the requirements of the Charities Act 2011 ('the Act').
I report in respect of my examination of the charity's accounts as carried out under Section 145 of the 2011 Act and in carrying out my examination I have followed all the applicable Directions given by the Charity Commission under Section 145(5) (b) of the Act.
Independent examiner's statement
I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe that in any material respect:

accounting records were not kept in respect of the charity as required by Section 130 of the Act; or

the accounts do not accord with those records; or
-
the accounts do not comply with the applicable requirements concerning he form and content of accounts set out in the Charities (Accounts and Report) Regulation 2008 other than any requirement that the accounts give a true and fair view which is not a matter considered as part of an independent examination.
I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.

1. STATUTORY INFORMATION
The Blueberry Hill CIO is a Charitable Incorporated Organisation (CIO). The charity number and registered office can be found on the Report of the Trustees.
2. ACCOUNTING POLICIES
Basis of preparing the financial statements
The Financial Statements have been prepared in accordance with UK accounting standards, including FRS 102 and the Charities SORP (FRS 102) Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland’ (FRS 102) and the Charities Act 2011. The Financial Statements have been prepared on the historical cost basis except as modified to include the fair value basis for investments as stated under the relevant accounting policy note.
The Blueberry Hill CIO meets the definition of a public benefit entity under FRS 102.
To align with the UK tax year, the reporting period has been shortened to 5 April 2025. Accordingly, the comparative amounts in these financial statements may not be directly comparable year on year.
Going concern
The trustees have considered the Charity’s reserves and liquidity and are satisfied that it has adequate resources to continue for at least twelve months from the date of approval of these financial statements. The accounts are therefore prepared on a going concern basis.
Significant judgements and estimates
No significant judgements nor estimates have had to be made by the trustees in preparing these financial statements.
Income
All incoming resources are included in the statement of financial activities when the charity is entitled to the income, the amount can be quantified with reasonable accuracy and it is considered probable that the income will be received. The following specific policies are applied to particular categories of income:

Investment income is included when receivable.

Incoming resources from charitable trading activities are accounted for when earned and income received in advance of an event is deferred until the criteria for income recognition is met.
Expenditure
Expenditure is recognised once there is a legal or constructive obligation to make a payment to a third party, it is probable that a settlement will be required and the amount of the obligation be measured reliably.
All expenditure is accounted for on an accruals basis and has been classified under headings that aggregate all costs related to that heading.
- Costs of raising funds are those costs incurred in the management of the investment portfolio and those incurred in trading activities that raise funds.

Expenditure
- Support costs have been allocated to activity cost categories on a basis consistent with their use of resources.
Grants offered subject to conditions which have not been met at the year end date are noted as a commitment but not accrued as expenditure.
Taxation
The charity is exempt from corporation tax on its charitable activities.
Fund accounting
Unrestricted funds can be used in accordance with the charitable objectives at the discretion of the trustees.
Restricted funds can only be used for particular restricted purposes within the objects of the charity. Restrictions arise when specified by the donor or when funds are raised for particular restricted purposes.
Further explanation of the nature and purpose of each fund is included in the notes to the financial statements.
Investments
Investments are initially recorded at cost, being the fair value of the consideration given and including acquisition costs associated with the investment. Listed investments are subsequently measured at fair value at the reporting date, being the quoted price in an active market, with the quoted price usually being the current bid price. Any changes in fair value are recognised in the statement of financial activities.
Debtors
Trade and other debtors are recognised and carried forward at invoiced amounts less provision for any doubtful debts. Bad debts are written off when identified.
Cash at bank and in hand
Cash at bank and cash in hand includes cash and short term highly liquid investments with a short maturity of three months or less from the date of acquisition or opening of the deposit or similar account.
Creditors and provisions
Creditors and provisions are recognised when the charity has a present obligation resulting from a past event that will probably result in the transfer of funds to a third party and the amount due to settle the obligation can be measured or estimated reliably. Creditors and provisions are normally recognised at their settlement amount.
Financial instruments
The charity only has financial assets and financial liabilities of a kind that qualify as basic financial instruments. Basic financial instruments, including trade and other debtors and creditors are initially recognised at transaction value and subsequently measured at their settlement value.

Investments
Foreign currencies
Assets and liabilities in foreign currencies are translated into sterling at the rates of exchange ruling at the balance sheet date. Transactions in foreign currencies are translated into sterling at the rate of exchange ruling at the date of transaction. Exchange differences are taken into account in arriving at the operating result.
Merger accounting
On 31st March 2025, the charity merged with The Blueberry Hill Charitable Trust. The merger has been accounted for using the merger accounting method in accordance with the Charities SORP (FRS 102) section 27.
The accounting policies of the merging entities were reviewed and aligned at the date of merger, and no adjustments were required.
3. DONATIONS AND LEGACIES
The Charity benefits from the involvement and support of its volunteers. In accordance with FRS 102 and the Charities SORP (FRS 102), the economic contribution of volunteers is not recognised in the accounts.
