2. Structure, Governance and Management
The CIO is governed by its constitution and operated by its trustees. Along with Histon and Impington Town Charity No 203213 with the same trustees and objects, meetings were held regularly throughout 2024–25 addressing governance, compliance, and progressing CIO enabling work as recorded in its minutes.
3. Objectives and Activities
The CIO's object is the relief of persons in need, hardship, or distress in Histon & Impington. Activities will continue to include hardship grants, third-party grants, and management of allotment land.
4. History
The Histon and Impington Town Charity (Registered no 203213) applied to become a CIO in May 2024, after consulting with Histon and Impington Parish Council, the Parochial Church Council of St. Andrews Impington and the Ecclesiastical Parish of St. Andrew with St. Etheldreda, who are responsible for appointing the charity’s trustees. The trustees of the charity agreed to transfer the assets of the charity to the CIO (of the same name) with a transfer date of 1 October 2025 and then close the old charity. The Charity Commission agreed for the transfer to take place by an order dated 23/7/25.
5. Achievements and Performance
The CIO has not traded during this period due to the time taken to facilitate the changes required to transfer all the assets and liabilities from the old charity No. 203213 to the new CIO No,1208218.
5. Financial Review
All trading during this period was carried out by charity Histon and Impington Town Charity No. 203213.
6. Policies
A review of the policies transferred from the old charity will be made during the next financial year.
7. Plans for Future Periods
In the coming year two longstanding trustees of the charities will be stepping down from the roles. These are both appointees of the Parish Council of Histon and Impington. The chair of the trustees has met with the chair of the Parish Council to discuss the skillsets needed in trustees by the charity with a view to encouraging the Parish Council to appoint appropriately qualified trustees for the coming four year period of office. This period of uncertainty is recognized a risk applying to charity (and is detailed on the risk register).
8. Trustees’ Responsibilities
Trustees are responsible for preparing the Trustees’ Annual Report and ensuring compliance with charity law, maintaining proper accounting records, and safeguarding the CIO’s assets.

The company was entitled to exemption from Audit under s477 of the Companies Act 2006 relating to small companies.
The directors acknowledge their responsibilities for complying with the requirements of the Companies Act with respect to accounting records and the preparation of accounts.
These accounts have been prepared in accordance with the provisions applicable to the small companies regime and are in accordance with FRS102 SORP

Note Events after the end of the reporting period
The charity has obtained permission from the Charity Commission to transfer the assets and liabilities of Charity No. 203213 to the new Charitable Incorporated Organisation (CIO No 1208218) with the same name, objectives and trustees with effect from the 1st October 2025.
