Chalr's Foreword
2024 has very much been an establishmentyearfor us here atlhe Dark Wood5 Founijation.
We registered with the charity commission in May but had to wait until Septemberfor our
bank account to be activated. This certaintly put a dent in what we could achieve by the yeaf
end. but it did give u5 time to make preliminary decisions on what we would work toward5
in 2025.
The Board convened in person for the first time to make some key decisions. at this meeting I
was appointed as the Chair, a responsibility I was honoured to take on. We approved
grants which we issued before the end of the year.. one to support the Welcome Centre in
HLJddersfield and one to the Slaithwaile's Moonraking Festival.
Thanks lo Dark Woods Coffee Ltd who provide us with pro-bono services including taking on
all admlnislrative responsibilities for the foundation and any granis we decide to give. They
also provide the foundation with a domain name and website which we aim lo launch in
2025, this will allow us to increase awareness of our eth05 and the workwe do with local
organlsations and Internatlonally.
We're very proud ol the workwe have done so far and are very excite(J to expand on this in
2025

within the UK and internationally.
We promote and support community and environmental projects in the Kirklees area ofwest
Yorkshire and internationally, primarilywilhin coffee producing countries.

Ourflagshlp programmes are:
Local Community Grants
The Foundatlon runs an annual giant-giving programme. with at leastthree applicatlon
rounds annually. The grants are targeted at grass-roots community organisalions within the
Kirklees local authority area. We aim io support projects thatworkwith un(Jer-represented
communities andloi local environmental projects. Grants are currently offered in the range
of £100 to £500.
Grants are awarded, based on a published criteria and application process. Giant recipients
are required to provide outcome reports setting out the results of activities provided which
were funded bythe grants.

Internatlonal Support
We are slill designing our international programme. but we aim to promole sustainable
development within rural agricultural communities in low- and middle-income countries. by
raising awareness of the issues and challenges caused by the effects of climate change,
global markets and other environmenlal and commercial impacts.
The Foundation may also collaborate with, and offerfinancial support lo, UK-based
organisations and charities. which support rural communilies. or which workto combat the
effects ol climate change and global Irade-injustice, internationally.
Managementand Governance
This report and review is provided bytheTrustees of the Darkwoods Foundation (charity
number 12081461, which is a charitable Incorporated Organisation, whose registered office
Is Holme Mills, West Slaithwaite Road. Maisden, H07 6LS.
The Governing body of the Darkwoods Foundation is the Board ol Trustees. The Board meets
a mlnlmum of four tlmes each year. or as olheTh¥ise dlrected by its Chairperson. At one of
these meetings, ils AGM, the officers are elected lor an annual term of office.
The Trustees of the Charlty. for the financial yearof 2024. were letj by Chairperson, Paul
Miekle-lanney. Further Trustees in 2024 were Damian Blackburn and Katherine Garthwaite.
Durlng the course of the year. the Trumees met to reviewlhe Foundalion's Slraiegy and to
review and approve essential policies and procedures. The Trustees also worked on
recruiting additional, indepen(Jeni Trustees to the Boar(J Iwhojoine(J the Board shortly after
this reporting period).
The administration and operational procedure5 of the Foun(Jation are the responsibility of
the Board ot Trustees, who delegate the dayto day operational management ot the charitylo
the appropriate individualTrustees and seconded staff.
Governlng Document
The Foundation is controlled by ils Constitution, which is based closely on the Charity
Commission Model CIO Constitution.
Recrultment and Appolntment of newTrustee5
We are gratefulto have a committed and expert Board of Trustees wilh a mix of skills and
experience. Our aim is to create a balanced Board ol Trustees, with a majority of independent
Trustees (those with no conneclion to Dark Wood5 Coffee. which set up the Foundation). To
this end, we have been actively seekinE at least four additional Trustees trom the wider
community- Two independent Trustees have been appointed loutside of this reporting periodl-

Management and Stafflng
The Foundalion is small and does not have the resources or requiremenl lo directly employ
our own staff. at this lime. We are veryfortunate to have been provided with a range of pro
bono support from Dark Woods Coffee Lld, which has seconded Iwo employees to work on
a part-time basi5 lorlhe Foundation. providing adminislralive and projecl support. Dark
Woods Coffee Ltd has also provided, pio bono, office and meeting space. accountancy and
book.keeping support, website hosling and grants-administration. We are very grateful for
this support. which removes all overhead cosis an(J enables us to direct all income to
supporting communities.
Statement ol Trustee Responslbliltles
Charity law requires the trustees to prepare financial statements loreach financial year
which show a true and fairview of the stale of affairs of the charity and ils financial

As the charity trustees of the Foundation you are responsible forthe preparation of the
accounts in accordance wilh the Charities Act 2011 Ilhe Act").
We report in respect of our examination of the Foundation's accounts carried out under
Section 145 01 Ihe 2011 Act and in carrying out our examination we have followed the
applicable Directions given by the Charity Commission under section 14515llbl of the Act.

We have completed our examination. We confimi that no material matters have come to our
attention in connection with the examination giving u5 cause io believe that in any respect-
accounting records have not been kept in respect of the Trusl as required by
section 130 of the Act,. or
the accounts did not accord with those records.
the accounts did not complywith the applicable requirements concerning
Ihe form and content of accounts set out in the Charities (Accounts and
Reports) Regulations 2008 Olherlhan any requirement that the accounts
