## **FOR THE PERIOD ENDED 31 MARCH 2025** 

The Trustees present their report and unaudited financial statements for The Dilkes Family Foundation (the Charity) for the period ended 31 March 2025. 

The Statement of Financial Activities (including the income and expenditure account) and the Balance Sheet at 

31 March 2025 are set out on pages 7 and 8 respectively. 

The financial statements have been prepared in accordance with the accounting policies set out in note 1 to the accounts and comply with the charity’s governing document, the Charities Act 2011 and Accounting and the Charities Statement of Recommended Practice (second edition) and Financial Reporting Standard FRS 102. 

The accounting period runs from the date of registration on 7 May 2024 to 31 March 2025, resulting in an 11 month accounting period. 

## **Introduction** 

The Dilkes Family Foundation is a grant-making charity which seeks to contribute to a brighter, fairer future for children and young people and a healthier planet. The Trustees are taking a learning approach in the Foundation’s first years to help shape their longer-term giving strategy. The organisations they have to decided to fund in this discovery phase combine a bold vision for change with thoughtful action that is responsive to the experiences of children, families and local communities. 

## **Charitable objectives and activities** 

The Dilkes Family Foundation exists and operates for the public benefit. The Trustees confirm they have referred to the guidelines contained in the Charity Commission’s general guidance on public benefit when reviewing the Charity’s aims and objectives and when making grants. 

Grants will be made for such charitable purposes as are exclusively charitable under the law of England and Wales and as the Trustees in their judgement think fit, and in particular but not limited to: 

- Creating fair access to education, including enrichment and confidence-building activities such as reading for pleasure and sport. 

- Protecting and restoring our natural world. 

The Trustees are committed to ensuring that the Charity’s funds are used in accordance with its governing document and grant-making policy, which are structured to achieve its objectives for the pubic benefit. 

## **Activities** 

In its first year of operation, The Dilkes Family Foundation made six, unrestricted one-year grants to charities operating within its core areas of interest totalling £101,000. The Foundation is committed to making unrestricted grants wherever this is possible and meets the particular requirements of an organisation.

## **Public benefit** 

The Trustees have taken The Charity Commission's general guidance on public benefit (contained within the guidance publication "Charities and Public Benefit") and the specific guidance on public benefit into consideration in preparing their statement on public benefit contained within this Trustees' annual report. 

Given the current size of the charity and the nature of its grant-making policy, the Trustees are able to consider the delivery of public benefit on a case-by-case basis and can determine whether or not to provide funds. On this basis the Trustees consider that the charity continues to fulfil its charitable objectives for the public benefit. 

## **Grant-making policy** 

Grants are awarded at the discretion of the Trustees to charitable organisations whose purpose is in line with the objects of The Dilkes Family Foundation and which are exclusively charitable under the law of England and Wales. The Trustees met twice during the year to discuss funding recommendations and approve grants. 

Given its limited administrative capacity, the Foundation takes a proactive approach to identifying projects and is 

unable to accept or respond to unsolicited applications. 

The Charity identifies potential grant recipients through research before meeting organisations of interest to discuss their work in more detail and to understand their plans, objectives and funding needs. If considering an organisation for funding, the Charity undertakes a process to gain a deeper understanding of their finances, risks and governance, a process which is proportionate to the size of the grant and any specific risks. 

The Charity keeps in touch with grant recipients throughout the grant term. A six-month review and an annual written report provide two fixed points to discuss progress, challenges, learning and any changes to the organisation or project. 

## **Financial review** 

The results for the year are shown on page 7. The Trustees are satisfied with the performance of the Charity during the period and its position at 31 March 2025. They consider that the Charity is in a strong position to continue its activities during the coming year and that the charity's assets are adequate to fulfil its obligations. 

During the period, the Charity recognised income of £709,849 and incurred expenditure totalling £161,525. 

The principal source of funding this year was a donation of £525,000. 

## **Reserves policy** 

The reserves policy of the Charity is currently being formed based on the planned charitable activities in future periods. The Trustees ensure sufficient cash is held to sustain the current level of grant-making activity and any expenses for the following year. The balance sheet shows total reserves of £528,728 which are sufficient to meet all known and anticipated commitments. They are not subject to any restrictions and are all free reserves available to be spent on the Charity’s activities.

## **Structure, governance and management** 

The Dilkes Family Foundation was registered with the Charity Commission as a Charitable Incorporated Organisation (number 1208134) on 7 May 2024. 

The Charity’s governing document is its Constitution, dated 28 March 2024. 

## **Key management personnel remuneration** 

The board of Trustees comprise the key management personnel of the Charity and are responsible for directing and controlling its strategy and operations. 

The Charity’s first trustees who held office during this period are:

The Trustees are required to disclose all relevant interests and withdraw from decisions where a conflict arises. 

No Trustee received any remuneration or reimbursement of expenses for services as a Trustee in the year. 

## **Training of trustees** 

The power of appointing new Trustees is vested in the serving Trustees. The Charity trustees will make available to each new charity trustee, on or before his or her first appointment: 

(1) a copy of the current version of this constitution; and 

(2) a copy of the CIO’s latest Trustees’ Annual Report and statement of accounts. 

The Charity, which has no paid staff, appointed Greenwood Place to advise the Trustees on grant-making strategy and operations and to manage the administration and day-to-day running of the Foundation. Other advice and support are received, as necessary, from professionals, including accountants and lawyers. The Dilkes Family Foundation is also a member of the Association of Charitable Foundations (ACF), which provides information and updates on changes in law, regulations affecting charities and opportunities to engage with a network of funders and other experts on matters of good practice. 

## **Risk management** 

The affairs of the Charity are on a small scale and the Trustees believe sufficient controls are in place to mitigate the impact of the principle risks and uncertainties. 

Financial: the Trustees believe that by monitoring reserve levels and ensuring controls exist over financial systems and by examining the operational and business risks of the Charity, they have effective systems to mitigate risks. 

Grants are effective: the Trustees operate a grant-making policy and procedures aimed at ensuring all grants are appropriate and effective. 

Reputational: the Trustees review all policies annually and robust due diligence and monitoring procedures are in place. 

## **Future plans** 

The Dilkes Family Foundation will continue to provide grants in line with its charitable objectives. The Trustees will meet and visit grant recipients to learn about their work and deepen their understanding of the social and environmental challenges they are addressing and the context in which they are operating. This knowledge and insight will help inform and shape future grant-making strategy.

## **STATEMENT OF TRUSTEES' RESPONSIBILITIES FOR THE PERIOD ENDED 31 MARCH 2025** 

The Trustees are responsible for preparing the trustees’ report and accounts in accordance with applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice). The law applicable to charities in England and Wales requires the Trustees to prepare accounts for each financial period which give a true and fair view of the state of affairs of the Charity and of its income and expenditure for that period. In preparing these accounts, the Trustees are required to: 

- select suitable accounting policies and then apply them consistently; 

- observe the methods and principles of Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the United Kingdom and Republic of Ireland (FRS 102); 

- make judgements and estimates that are reasonable and prudent; 

- state whether applicable United Kingdom Accounting Standards have been followed, subject to any material departures disclosed and explained in the accounts; and 

- prepare the accounts on the going concern basis unless it is inappropriate to presume that the Charity will continue in operation. 

The Trustees are responsible for keeping proper accounting records that disclose with reasonable accuracy at any time the financial position of the Charity and enable them to ensure that the accounts comply with the Charities Act 2011, the applicable Charity (Accounts and Reports) Regulations and the provisions of the Rules. They are also responsible for safeguarding the assets of the Charity and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities. 

The Trustees are responsible for the maintenance and integrity of financial information. Legislation in the United Kingdom governing the preparation and dissemination of accounts may differ from legislation in other jurisdictions.

## **INDEPENDENT EXAMINER'S REPORT** 

## **TO THE TRUSTEES OF THE DILKES FAMILY FOUNDATION** 

I report on the financial statements of the trust for the period ended 31 March 2025, which are set out on pages 7 to 14. 

## **Respective responsibilities of trustees and examiner** 

As the trustees of the charity you are responsible for the preparation of the accounts in accordance with the requirements of the Charities Act 2011 (‘the 2011 Act’). 

I report in respect of my examination of the charity’s accounts carried out under section 145 of the 2011 Act and in carrying out my examination I have followed all the applicable Directions given by the Charity Commission under section 145 (5)(b) of the 2011 Act. 

An independent examination does not involve gathering all the evidence that would be required in an audit and consequently does not cover all the matters that an auditor considers in giving their opinion on the accounts. The planning and conduct of an audit goes beyond the limited assurance that an independent examination can provide. Consequently, I express no opinion as to whether the accounts present a ‘true and fair view’ and my report is limited to those specific matters set out in the independent examiner’s statement. 

## **Independent examiner's statement** 

Since the charity's gross income exceeds £250,000 your examiner must be a member of a body listed in section 145 of the 2011 Act. I confirm that I am qualified to undertake the examination because I am a member of the Institute of Chartered Accountants in England and Wales. 

I have completed my examination. I confirm that no material matters have come to my attention in connection with the examination giving me reasonable cause to believe that in any material respect: 

1. accounting records were not kept in respect of the charity as required by section 130 of the 2011 Act; or 2. the accounts do not accord with those records; or 

3. the accounts do not comply with the applicable requirements concerning the form and content of accounts set out in the Charities (Accounts and Reports) Regulations 2008 other than any requirement that the accounts give a ‘true and fair view’ which is not a matter considered as part of an independent examination. 

I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.

## **1 Accounting policies** 

## **Charity information** 

The full name of the charity is The Dilkes Family Foundation and its principle operating address is C/o Greenwood Place, Somerset House, The Strand, London, WC2R 1LA. The Foundation is a charity registered in England and Wales by the Charity Commission (Charity No. 1208134). 

## **Accounting convention** 

The financial statements have been prepared in accordance with the Foundation's governing document,  the Charities Act 2011 and “Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102)” (as amended for accounting periods commencing from 1 January 2016). The trust is a Public Benefit Entity as defined by FRS 102. 

The charity has taken advantage of the provisions in the SORP for charities applying FRS 102 Update Bulletin 1 not to prepare a Statement of Cash Flows. 

The financial statements have departed from the Charities (Accounts and Reports) Regulations 2008 only to the extent required to provide a true and fair view. This departure has involved following the Statement of Recommended Practice for charities applying FRS 102 rather than the version of the Statement of Recommended Practice which is referred to in the Regulations but which has since been withdrawn. 

The financial statements are prepared in sterling, which is the functional currency of the trust. Monetary amounts in these financial statements are rounded to the nearest £. 

## **Going concern** 

At the time of approving the financial statements, the trustees have a reasonable expectation that the charity has adequate resources to continue in operational existence for the foreseeable future. Thus the trustees continue to adopt the going concern basis of accounting in preparing the financial statements. 

## **Funds** 

Unrestricted funds are available for use at the discretion of the trustees in furtherance of their charitable objectives unless the funds have been designated for other purposes. There are no restricted or designated funds at present. 

## **Income** 

Income is recognised when the charity is legally entitled to it after any performance conditions have been met, the amounts can be measured reliably, and it is probable that income will be received. 

Cash donations are recognised on receipt. Other donations are recognised once the trust has been notified of the donation, unless performance conditions require deferral of the amount. 

Investment income from bank interest is brought into the account gross when receivable. Dividends are recognised once the dividend has been declared and notification has been received of the dividend due. This is normally upon notification by our investment advisor of the dividend yield of the investment portfolio. 

## **Expenditure** 

Expenditure is accounted for on an accruals basis. Charitable expenditure comprises those costs incurred by the Charity in the delivery of its activities. It includes both costs that can be allocated directly to such activities and those costs of an indirect nature necessary to support them. Governance costs include those costs associated with meeting constitutional and statutory requirements of the charity. 

## **Grants** 

Grants payable are agreed by the Trustees, as detailed in the Trustees' Report. The liability is included in the accounts once a commitment has been made and communicated to a beneficiary and any performance commitments have been met.

## **Fixed asset investments** 

Fixed asset investments are initially measured at transaction price excluding transaction costs, and are subsequently measured at fair value at each reporting date.  Changes in fair value are recognised in net income/(expenditure) for the year. Transaction costs are expensed as incurred. 

## **Cash and cash equivalents** 

Cash and cash equivalents include cash in hand and deposits held at call with banks. 

## **Financial instruments** 

Financial instruments are classified and accounted for according to the substance of the contractual arrangement as financial assets or financial liabilities. 

## _**Basic financial assets**_ 

Basic financial assets, which include other debtors and cash and bank balances, are initially measured at transaction price including transaction costs and are subsequently carried at amortised cost using the effective interest method. 

## _**Basic financial liabilities**_ 

Basic financial liabilities, including trade creditors and accruals are initially recognised at transaction price. Debt instruments are subsequently carried at amortised cost, using the effective interest rate method. 

## **2 Critical accounting estimates and judgements** 

In the application of the charity’s accounting policies, the trustees are required to make judgements, estimates and assumptions about the carrying amount of assets and liabilities that are not readily apparent from other sources. The estimates and associated assumptions are based on historical experience and other factors that are considered to be relevant. Actual results may differ from these estimates. 

The estimates and underlying assumptions are reviewed on an ongoing basis. Revisions to accounting estimates are recognised in the period in which the estimate is revised where the revision affects only that period, or in the period of the revision and future periods where the revision affects both current and future periods. 

The Trustees do not consider that there are any critical estimates or areas of judgement that need to be brought to the attention of the readers of the financial statements.

## **LETTER OF REPRESENTATION** 

We confirm the information and explanations which have been provided to you in connection with your preparation and independent examination of the trust’s financial statements for the year ended 31 March 2025 and that the trustees have discussed the matters referred to below. We acknowledge as trustees our responsibility for the financial statements which you have prepared for the trust on our behalf. 

We confirm that the following representations are made on the basis of enquiries of trustees with relevant knowledge and experience and, where appropriate, of inspection of supporting documentation sufficient to satisfy ourselves that we can properly make each of the following representations to you. 

To the best of our knowledge and belief: 

- 1 All the transactions undertaken by the charity have been properly reflected and recorded in the accounting records, as required by relevant legislation. All those records have been made available to you and no information which you have requested has been withheld from you. 

- 2 We confirm that no adjustments are required to the financial statements other than those already processed. 

- 3 The financial statements show a true and fair view of the state of affairs of the trust at the year end and of its net incoming resources for the year ended on that date. 

- 4 The charity was entitled to claim exemption from audit during the year. 

- 5 There were no trustees’ emoluments or other transactions with trustees other than those already disclosed. 

- 6 At no time during the year has the charity had any arrangement, transaction or agreement to provide credit facilities for trustees or persons connected with the trustees or guaranteed or provided security for such matters. Further, at no time during the year has the trust acquired or disposed of any assets, other than cash, from or to trustees or persons connected with the trustees or entered into any transaction or arrangement in which a trustee had, directly or indirectly, a material interest other than as disclosed in the financial statements.

- 7 We are not aware of any material transactions with related parties other than as disclosed in the financial statements. 

- 8 At the balance sheet date there were no material contingent liabilities, and no litigation in process, pending or threatened, other than as disclosed or provided in the financial statements. 

- 9 We are not aware of any non-compliance with relevant laws or regulations which could materially affect the ability of the trust to conduct its business or the information contained in the trust’s financial statements. 

- 10 No events have occurred subsequent to the balance sheet date which may have a material effect on the financial position of the trust at that date, other than as disclosed in the financial statements. 

- 11 We confirm that, having considered our expectations and intentions for the next twelve months and the availability of funds, the trust is a going concern. 

- 12 There were no trustees expenses reimbursed in the year. 

- 13      We can confirm that there were no grants committed at the year-end and not yet paid, other than as disclosed in the financial statements.
