## **The Ampney Brook Foundation** 

The Trustees present their report along with the financial statements of the charity for the year ended 5 April 2025. 

## **Organisational structure and governance** 

Ampney Brook Foundation is a company limited by guarantee incorporated on 27 January 2023 and registered as a charity on 1 May 2024.  Ampney Brook Foundation operates in accordance with its Articles of Association which sets out the charitable objects. The directors of the company act as trustees of Ampney Brook Foundation for the purposes of charity law. 

Ampney Brook Foundation is operated by the board via quarterly meetings with the day to day running carried out by a newly appointed CEO and the Chair of Trustees.  Additional committees have not yet been established given Ampney Brook Foundation’s size this but will be considered as Ampney Brook Foundation develops. 

## **Statement of trustees' responsibilities** 

The Trustees are responsible for preparing the Trustees’ report and the financial statements in accordance with applicable law and United Kingdom Accounting Standards (United Kingdom Accepted Accounting Practice). 

The law applicable to charities in England and Wales requires the Trustees to prepare financial statements for each financial year which give a true and fair view of the state of affairs of the charity and of the incoming resources and application of resources of the charity for that period. In preparing these financial statements, the Trustees are required to: 

- select suitable accounting policies and then apply them consistently; 

- observe the methods and principles in the Charities SORP; 

- make judgements and estimates that are reasonable and prudent; 

- state whether applicable accounting standards have been followed, subject to any material departures disclosed and explained in the financial statements; 

- prepare the financial statements on the going concern basis unless it is inappropriate to presume that the charity will continue in business. 

The Trustees are responsible for keeping proper accounting records that disclose with reasonable accuracy at any time the financial position of the charity and enable them to ensure that the financial statements comply with the Charities Act 2011, applicable accounting regulations and the provisions of the trust deed. They are also responsible for safeguarding the assets of the charity and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities. 

## **Risk management** 

The Trustees have assessed the major risks to which Ampney Brook Foundation is exposed, in particular those related to the operations and finances and are satisfied that systems are in place to mitigate their exposure to the major risks. 

## **Public benefit** 

Following the passing of the Charities Act 2006, subsequently replaced by the Charities Act 2011, there must be an identifiable benefit or benefits arising from the work of all charities, and such benefits must be to the public or a section of the public. The Trustees confirm that they have referred to the Charity Commission's guidance on public benefit when reviewing the Ampney Brook Foundation's aims and objectives and in planning future activities. 

It can therefore be seen from this, and from other information in this report, that the work of Ampney Brook Foundation benefits the public.

**The Ampney Brook Foundation** 

## **Mission statement** 

Our vision is for a world where nature and people live in harmony, where the most vulnerable are protected and allowed to thrive with dignity 

Our mission is to support the most vulnerable - and sometimes forgotten - affected by poverty, displacement and the impacts of climate change. 

## **Aims** 

Ampney Brook Foundation supports programmes that are tackling issues relating to homelessness and food security in the UK and climate change, nature conservation, accountability and governance and displaced people internationally. 

By funding novel approaches and leveraging their impact through knowledge sharing and strategic collaboration across sectors Ampney Brook Foundation aims to maximise the impact of its grant making. 

## **Charitable purposes** 

Ampney Brook Foundation is an invitation only grant-making organisation. It seeks out projects that deliver against its charitable objectives. 

Ampney Brook Foundation’s charitable objects are set out in its Articles of Association and include: 

- a) relief of poverty and the improvement of the conditions of life in socially and economically disadvantaged communities, including to support those lacking, or with insecure access to, basic necessities of life including food, clean water, shelter and affordable energy; 

- b) advancement of physical and mental health and the saving of lives, including of refugees and those seeking asylum; 

- c) conservation, protection, rehabilitation and improvement of the physical and natural environment, including to promote biodiversity and reduce human-wildlife conflict, and to reduce carbon emissions in such a way as to mitigate climate change; 

- d) advancement of education of the public including (i) in relation to sustainable development, the prudent use of natural resources and the sustainable means of achieving economic growth and regeneration; (ii) in respect of the principles and practice of public scrutiny, governance and accountability, and (ii) education of adults, children and young people who face poverty, or barriers to learning or employment. 

This provides flexibility in the projects that are funded that fit within Ampney Brook Foundation’s mission and aims. 

## **Grant making** 

Ampney Brook Foundation has adopted a grant making policy which is considered by the Trustees when considering providing grant funding. This policy takes into consideration all charity law requirements as well as guidance from the Charity Commission, including in respect of public benefit. 

## **Trustee appointment** 

The current board was constituted in January 2024 and appointed by Ampney Brook Foundation’s chair and founder based on their professional expertise, relevant skill sets, and alignment with Ampney Brook Foundation’s mission and aims. Trustees were identified through the founder's professional and personal networks, ensuring a board with complementary skills including trustees from business and technology as well as international development backgrounds. 

Trustees were provided with training from Ampney Brook Foundation’s lawyers, Withers Worldwide LLP, and are offered continuing training via Charity Commission trainings as well as on request from Withers.

## **The Ampney Brook Foundation** 

## **Key highlights** 

## **Oxfordshire Homeless Movement (OHM) – NRPF Project** 

OHM is an Oxfordshire based charity working to end rough sleeping.  It is made up of a number of stakeholders that take a multidisciplinary partnership approach to ending rough sleeping in Oxfordshire.  Since 2021, OHM has been running a project providing housing to a small population of  people in Oxfordshire who are not entitled to receive public funding which includes no entitlement to publicly funded services beyond some emergency medical care.  This is referred to as having no recourse to public funds (NRPF).  Many people who have NRPF are not permitted to work, have a history of physical and mental ill-health, trauma and abuse and, in some cases, also have problems with addiction and substance misuse. 

The NRPF Project uses evidence backed Housing First principles and an innovative multi-stakeholder approach to provide holistic support to not only house its clients but to provide immigration legal advice, a subsistence payment and a caseworker to provide wraparound support. 

Since its inception, the project has supported over 50 people with 31 people being housed.  If housing is not available, OHM will provide other support to its clients such as support with immigration applications until housing becomes available and alternative accommodation, where possible. Several clients have been granted the right to live and work in the UK allowing them to live independently and becoming contributing members of society. 

The success of the project is largely due the collaborative approach taken by stakeholders and the generosity of South Oxfordshire Housing Association that rented 12 of the 15  housing units to OHM at peppercorn rent. Careful consideration of the approach was required to ensure that none of the stakeholders fell foul of rules prohibiting the provision of public funding to these individuals. Legal advice was obtained to ensure lawfulness of the approach. 

Ampney Brook Foundation is proud to have been the majority funder of the NRPF project again this year.  During this financial year, the project has continued its good work and a key highlight includes securing female only accommodation allowing for three women to be supported.  The NRPF project has been evaluated by an independent third party.  We were delighted to see that the  project is providing a cost effective solution to provide housing and support to a population of people who are overlooked.  The NRPF project team will be using these important findings to demonstrate how a successful project can be implemented, to advocate for policy change and to support with fundraising. 

One further year of funding has been committed to this project.  Ampney Brook Foundation is delighted to have supported this pilot programme.  Our funding has allowed OHM to focus on delivery and increasing awareness of the model over fundraising. However, we feel that OHM is now in a position to seek funding from other sources now it can demonstrate  a successful intervention for this homeless NRPF population.  As such our funding will now taper over time and we are looking forward to seeing this project go from strength to strength. 

## **Project PARC** 

Project PARC is a Kenyan not for profit whose mission is to “provide technical solutions that harness the power of nature to promote thriving, climate resilient communities, reduce the human-wildlife conflict and protect Africa’s biodiversity” 

Ampney Brook Foundation is the sole funder of Project PARC, as well as supporting the design of its community work in Kenya. Project PARC is going through a series of phases to test its assumptions, develop its capacity to deliver and maximise the impact of its community interventions. These interventions take a 3 stage approach: (1) access to water; (2) food security and food production; (3) enterprise development. 

Project PARC continued to support communities in which is had successfully commissioned 5  water projects, providing improved access to clean potable water to approximately 7,000 people in arid and semi-arid lands in Kenya.  In particular, Project PARC supported local water committees with training in order to support the long term viability of the water infrastructure and to allow Project PARC to eventually exit the landscape.

## **The Ampney Brook Foundation** 

A community programme manager has been appointed to focus on community engagement and impact measurement. 

In addition, Project PARC continues to support a local women’s group in Laikipia County in northern Kenya to run a 5-acre farm.  The farm is producing additional crops for the community as well some cash crops and is now considering additional enterprise such as producing jams, preserves and teas to support local livelihoods." 

As sole funder of Project PARC, Ampney Brook Foundation is providing Project PARC with the opportunity to build its organisations and its interventions to be meaningful, sustainable and evidence-led.  Once its blueprints for success have been established, Project PARC will be better placed to source funding from alternative sources. 

## **PARC Africa Operations Limited** 

In the previous financial year, Ampney Brook Foundation entered into a social investment in PARC Africa Operations Limited in accordance with the statutory power provided by the Charities (Protection and Social Investment) Act 2016.  The social investment furthers Ampney Brook Foundation’s charitable purposes, in particular its subheading (c) which was: 'conservation, protection, rehabilitation and improvement of the physical and natural environment, including to promote biodiversity and reduce human-wildlife conflict, and to reduce carbon emissions in such a way as to mitigate climate change;'. The social investment will enable Ampney Brook Foundation to support wildlife conservancies to solarise their operations and reduce their reliance on fossil fuels as well as provide access to rural communities in these locations to allow Project PARC to implement charitable projects. A grace period has been granted so repayments are not due to start until July 2025, payment will then be due in quarterly instalments with the principal repayment increasing each year. 

## **Accountability Lab** 

Accountability Lab was launched in 2012, working with young people to develop new ideas for accountability, transparency and open government. It now boasts a global network of local Accountability Labs that are finding new ways to shift societal norms, solve intractable challenges and build “unlikely networks” for change.   In early 2024, Accountability Lab was severely impacted by changes made to federal funding by the current US administration.  In order to allow the Accountability Lab to continue their important work unrestricted funding was provided in order to allow Accountability Lab to cover its core costs while seeking alternative funding sources. 

## **Financial review** 

There is a surplus for the year of $586,078 (2024: $1,908,253 deficit) which, gives rise to negative reserves of $1,322,175 (2024: $1,908,253 negative) carried forward. During the year, part of a loan made to the Ampney Brook Foundation by its founder was waived. Looking ahead, it is anticipated that further donations will be made to clear the deficit in the current and forthcoming years. 

The charity is being supported by the Trustees, who have confirmed their ongoing support for at least the next 12 months, and thus the trustees continue to adopt the going concern basis of accounting in preparing the financial statements. 

## **Reserves policy** 

The Trustees do not set a target level for their reserves but intend to do so for the coming year. 

## **Remuneration of key management personnel** 

The Ampney Brook Foundation Trustees are not remunerated and no expenses were claimed.  We are grateful to them for their time, expertise and dedication. 

A CEO, Geetu Bhan, was appointed this financial year to run Ampney Brook Foundation on a part time basis.

## **Opinion** 

We have audited the financial statements of The Ampney Brook Foundation for the year ended 5 April 2025 which comprise of a statement of financial activities, balance sheet, cash flow statement and notes to the financial statements, including significant accounting policies.  The financial reporting framework that has been applied in their preparation is applicable law and United Kingdom Accounting Standards, including Financial Reporting Standard 102, the Financial Reporting Standard applicable in the UK and Republic of Ireland (United Kingdom Generally Accepted Accounting Practice). 

## In our opinion the financial statements: 

- give a true and fair view of the charitable company’s state of affairs as at 5 April 2025 and of its incoming resources and application of resources, including its income and expenditure, for the year then ended; 

- have been properly prepared in accordance with United Kingdom Generally Accepted Accounting Practice; and 

- have been prepared in accordance with the Companies Act 2006. 

## **Basis for opinion** 

We conducted our audit in accordance with International Standards on Auditing (UK) (ISAs (UK)) and applicable law. Our responsibilities under those standards are further described in the Auditor’s responsibilities for the audit of the financial statements section of our report. We are independent of the charitable company in accordance with the ethical requirements that are relevant to our audit of the financial statements in the UK, including the FRC’s Ethical Standard, and we have fulfilled our other ethical responsibilities in accordance with these requirements. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our opinion. 

## **Conclusions relating to going concern** 

In auditing the financial statements, we have concluded that the trustees’ use of the going concern basis of accounting in the preparation of the financial statements is appropriate. 

Based on the work we have performed, we have not identified any material uncertainties relating to events or conditions that, individually or collectively, may cast significant doubt on the charitable company's ability to continue as a going concern for a period of at least twelve months from when the financial statements are authorised for issue. 

Our responsibilities and the responsibilities of the trustees with respect to going concern are described in the relevant sections of this report. 

## **Other information** 

The other information comprises the information included in the annual report, other than the financial statements and our auditor’s report thereon. The trustees are responsible for the other information. Our opinion on the financial statements does not cover the other information and, except to the extent otherwise explicitly stated in our report, we do not express any form of assurance conclusion thereon. Our responsibility is to read the other information and, in doing so, consider whether the other information is materially inconsistent with the financial statements or our knowledge obtained in the course of the audit or otherwise appears to be materially misstated. If we identify such material inconsistencies or apparent material misstatements, we are required to determine whether this gives rise to a material misstatement in the financial statements themselves. If, based on the work we have performed, we conclude that there is a material misstatement of this other information we are required to report that fact.

In our opinion, based on the work undertaken in the course of the audit: 

- the information given in the Trustees’ Annual Report which includes the Directors’ Report for the financial year for which the financial statements are prepared is consistent with the financial statements; and 

- the Trustees’ Annual Report which includes the Directors’ Report has been prepared in accordance with applicable legal requirements. 

## **Matters on which we are required to report by exception** 

In the light of the knowledge and understanding of the charitable company and its environment obtained in the course of the audit, we have not identified material misstatements in the Trustees’ Annual Report.

We have nothing to report in respect of the following matters where the Companies Act 2006 requires us to report to you if, in our opinion: 

- adequate accounting records have not been kept, or returns adequate for our audit have not been received from branches not visited by us; or 

- the financial statements are not in agreement with the accounting records and returns; or 

- certain disclosures of trustees’ remuneration specified by law are not made; or 

- we have not received all the information and explanations we require for our audit. 

## **Responsibilities of trustees** 

As explained more fully in the Trustees’ Responsibilities Statement set out on page 2, the trustees (who are also directors of the charitable company for the purposes of company law) are responsible for the preparation of the financial statements and for being satisfied that they give a true and fair view, and for such internal control as the trustees determine is necessary to enable the preparation of financial statements that are free from material misstatement, whether due to fraud or error. 

In preparing the financial statements, the trustees are responsible for assessing the charitable company’s ability to continue as a going concern, disclosing, as applicable, matters related to going concern and using the going concern basis of accounting unless the trustees either intend to liquidate the charitable company or to cease operations, or have no realistic alternative to do so. 

## **Auditors’ responsibilities for the audit of the financial statements** 

We have been appointed as auditors under the Companies Act 2006 and report in accordance with regulations made under that Act. 

Our objectives are to obtain reasonable assurance about whether the financial statements as a whole are free from material misstatement, whether due to fraud or error, and to issue an auditor’s report that includes our opinion. Reasonable assurance is a high level of assurance, but is not a guarantee that an audit conducted in accordance with ISAs (UK) will always detect a material misstatement when it exists. Misstatements can arise from fraud or error and are considered material if, individually or in the aggregate, they could reasonably be expected to influence the economic decisions of users taken on the basis of these financial statements. 

Irregularities, including fraud, are instances of non-compliance with laws and regulations. We design procedures in line with our responsibilities, outlined above, to detect material misstatements in respect of irregularities, including fraud. The specific procedures for this engagement and the extent to which these are capable of detecting irregularities, including fraud are detailed below. 

## Identifying and assessing risks related to irregularities: 

We assessed the susceptibility of the charitable company’s financial statements to material misstatement and how fraud might occur, including through discussions with the trustees, discussions within our audit team planning meeting, updating our record of internal controls and ensuring these controls operated as intended. We evaluated possible incentives and opportunities for fraudulent manipulation of the financial statements.  We identified laws and regulations that are of significance in the context of the charitable company by discussions with trustees and updating our understanding of the sector in which the charitable company operates. 

Laws and regulations of direct significance in the context of the charitable company include The Companies Act 2006, and guidance issued by the Charity Commission for England and Wales. 

## Audit response to risks identified: 

We considered the extent of compliance with these laws and regulations as part of our audit procedures on the related financial statement items including a review of financial statement disclosures. We reviewed the charitable company’s records of breaches of laws and regulations, minutes of meetings and correspondence with relevant authorities to identify potential material misstatements arising. We discussed the charitable company’s policies and procedures for compliance with laws and regulations with members of management responsible for compliance.

## **Independent auditors’ report to the trustees For the year ended 5 April 2025** 

During the planning meeting with the audit team, the engagement partner drew attention to the key areas which might involve non-compliance with laws and regulations or fraud. We enquired of management whether they were aware of any instances of non-compliance with laws and regulations or knowledge of any actual, suspected or alleged fraud. We addressed the risk of fraud through management override of controls by testing the appropriateness of journal entries and identifying any significant transactions that were unusual or outside the normal course of business. We assessed whether judgements made in making accounting estimates gave rise to a possible indication of management bias. At the completion stage of the audit, the engagement partner’s review included ensuring that the team had approached their work with appropriate professional scepticism and thus the capacity to identify non-compliance with laws and regulations and fraud. 

There are inherent limitations in the audit procedures described above and the further removed non-compliance with laws and regulations is from the events and transactions reflected in the financial statements, the less likely we would become aware of it. Also, the risk of not detecting a material misstatement due to fraud is higher than the risk of not detecting one resulting from error, as fraud may involve deliberate concealment by, for example, forgery or intentional misrepresentations, or through collusion.

## **Use of our report** 

This report is made solely to the charitable company’s members, as a body, in accordance with Chapter 3 of Part 16 of the Companies Act 2006.  Our audit work has been undertaken so that we might state to the charitable company’s members those matters we are required to state to them in an auditor’s report and for no other purpose.  To the fullest extent permitted by law, we do not accept or assume responsibility to anyone other than the charitable company and the charitable company’s members as a body, for our audit work, for this report, or for the opinions we have formed. 

## **Other matters which we are required to address** 

The financial statements for the prior year were unaudited. We have obtained sufficient appropriate audit evidence that the opening balances do not contain a misstatement that materially impacts the current period financial statements.

## **1 Accounting policies** 

## **1.1 Company information** 

The Ampney Brook Foundation is a charitable company limited by guarantee incorporated in England and Wales, company number 14620329. The registered office is 13 Browns Road, London, E17 4RN. 

## **1.2 Reporting period** 

These accounts reflect a 12 month and 5 days period to 5 April 2025. The comparative amounts presented in the financial statements (including related notes) are for the 14 month period ended 31 March 2024 so are not entirely comparable. 

The charity was only registered with the Charities Commission on 1 May 2024. 

## **1.3 Basis of preparation** 

The financial statements have been prepared in accordance with the _Statement of Recommended Practice: Accounting and Reporting by Charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) effective 1 January 2019_ and _the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102)_ and _the Charities Act 2011, the Companies Act 2006_ and UK Generally Accepted Accounting Practice as it applies from 1 January 2019. 

The charity constitutes a public benefit entity as defined under FRS 102. 

The financial statements are prepared in US Dollars. The functional currency of the charity is the US Dollar. Monetary amounts in these financial statements are rounded to the nearest $1. 

These financial statements have been prepared under the historical cost convention. The principal accounting policies adopted are set out below. 

## **1.4 Going concern** 

The charity is being supported by the trustees, who have confirmed their ongoing support for at least the next 12 months, and thus the trustees continue to adopt the going concern basis of accounting in preparing the financial statements. 

## **1.5 Resources expended** 

Liabilities are recognised as expenditure as soon as there is a legal or constructive obligation committing the charity to the expenditure. All expenditure is accounted for on an accruals basis and has been classified under headings that aggregate all costs related to the category. 

Governance costs include those incurred with constitutional and statutory requirements. 

## **1.6 Cash and cash equivalents** 

Cash and cash equivalents are basic financial assets and include cash in hand, deposits held at call with banks, bank overdrafts or other short-term liquid investments with original maturities of three months or less. 

## **1.7 Financial instruments** 

The company has elected to apply the provisions of Section 11 ‘Basic Financial Instruments’ and Section 12 ‘Other Financial Instruments Issues’ of FRS 102 to all of its financial instruments. 

Financial instruments are recognised in the charitable company's statement of financial position when the charitable company becomes party to the contractual provisions of the instrument. 

Financial assets and liabilities are offset, with the net amounts presented in the financial statements, when there is a legally enforceable right to set off the recognised amounts and there is an intention to settle on a net basis or to realise the asset and settle the liability simultaneously.

## **Basic financial assets** 

Charities making (or receiving) concessionary loans repayable on demand or within one year should not adjust the carrying amount of the loan to reflect the below prevailing market rates of interest being charged. As the loan is repayable in more than one year, it is initially recognised at the amount received or paid, with the carrying amount adjusted in subsequent years to reflect repayments and any accrued interest and adjusted if necessary for any impairment. 

## **Basic financial liabilities** 

Basic financial liabilities, including trade creditors, are initially recognised at transaction price unless the arrangement constitutes a financing transaction, where the debt instrument is measured at the present value of the future receipts discounted at a market rate of interest. Financial liabilities classified as payable within one year are not amortised. Debt instruments are subsequently carried at amortised cost, using the effective interest rate method. 

Trade creditors are obligations to pay for goods or services that have been acquired in the ordinary course of business from suppliers. Accounts payable are classified as ‘creditors: amounts falling due within one year' if payment is due within one year or less. If not, they are presented as ‘creditors: amounts falling due after more than one year’. Trade creditors are recognised initially at transaction price and subsequently measured at amortised cost using the effective interest method. 

## **1.8 Funds structure** 

Unrestricted funds comprise those funds which the Trustees are free to use for any purpose in furtherance of the charitable objectives. 

## **1.9 Foreign currency translation** 

Monetary assets and liabilities denominated in foreign currencies are translated into US Dollars at the rates of exchange ruling at the balance sheet date. Where exchange rates have not fluctuated materially, transactions in foreign currencies are recorded at an average rate of exchange for the accounting period. Other transactions in foreign currencies are recorded at the rate ruling at the date of the transaction. All differences are taken to the Statement of Financial Activities. 

## **2 Taxation** 

None of the income received by the charity is subject to UK Corporation Tax. As such, there is no tax arising on the movement in funds during the period.

The Social investment is a program related investment that has been made to PARC Africa Operations Ltd. This investment will enable the charity to support wildlife conservancies to solarise their operations and reduce their reliance on fossil fuels. A grace period has been granted so repayments are not due to start until July 2025, payment will then be due in quarterly instalments with the principal repayment increasing each year. Interest is charged at a rate of 5.5%. Amount due within 1 year is $89,973 (2024: nil) and over one year is $581,232 (2024: $626,104).

## **12 Related party transactions** 

During the period grants totalling $50,377 (2024: $1,053,713) were paid to PARC Africa Operations Limited, a company registered in Kenya who are related by virtue of one common director/trustee. 

Separately to the grants, $24,852 (2024: $626,104) was paid to PARC Africa Operations Limited as a social investment as detailed above. An amount of $20,249 (2024: nil)  was received by Ampney Brook Foundation in respect of the interest charged on this investment. 

During the period grants totalling $188,314 (2024: $66,386) were paid to Project PARC, a company registered in Kenya who are related by virtue of one common director/trustee. 

During the period, a loan previously made by Dr Goetz Bechtolsheimer, a trustee, to the Foundation was partially waived. The amount waived during the year was $1,162,183. 

At the year end, the outstanding balance of the loan was $1,989,647 (2024: $2,451,996). The loan is interest-free and unsecured. 

During the period, Dr Goetz Bechtolsheimer also donated $193,390 (2024: nil) to the Foundation.
