The charity is constituted as a company limited by guarantee, registered under the Companies Acts . The governing document of the charity is the Memorandum and Articles of Association establishing the company under company legislation.
There are no restrictions in the governing documents on the operation of the Charity or on its investment powers other than those imposed by Charity Law.
By operation of law all, trustees are directors under the Companies Act 2006 and all directors are trustees under Charities legislation and have responsibilities, as such, under both company and charity legislation.

## **Objects and activities of the charity**
## _**The purposes of the charity as set out in its governing document.**_
2.1 to advance the arts for the public benefit by the promotion in particular, but not exclusively, of the arts of drama, mime, dance and singing, particularly by facilitating participation by marginalised groups (including but not limited to first generation migrants, refugees and asylum seekers).
2.2 to promote equality and diversity for the public benefit by:
a. providing or promoting creative and diverse engagement in the arts, heritage and culture as a means to cultivating a sentiment in favour of and fostering understanding between people from diverse backgrounds;
b. advancing education and raising awareness in equality and diversity through the performing arts including about matters of social justice and human rights, including rights of migrants
## _**The main activities undertaken in relation to those purposes during the year.**_
PROJEKT EUROPA is a Kent-based international artist collective, an advocacy group and an arts organization. We create migrant-focused, multi-lingual work at the intersection of performance, co-creation and participation.
Our mission is to produce ambitious, socially-engaged theatre that reflects and celebrates the diversity of contemporary Britain. We specifically focus on supporting the creativity of first generation migrants in the UK, amplifying and celebrating the multitude of international perspectives which already exist within our borders. This fulfills our artistic mission, but also serves as a way to platform marginalised voices and to create work that is global in its outlook, challenging traditional notions around inter- and transnationalism.
Our work is guided by three key objectives:
- To create high-quality, migrant-led, multilingual and co-created theatre productions that reflect the communities we serve.
- To provide meaningful creative opportunities and industry access for migrant and culturally diverse artists and participants.
- To strengthen and internationalise the cultural ecosystem in the UKthe UK celebrating the work of first generation migrant artists through partnerships, outreach, and artist development.

## _**The main activities undertaken during the year to further the charity's purpose for the public benefit.**_
The Trustees have complied with their duty under Section 17 of the Charities Act 2011 to have due regard to the guidance published by the Charity Commission on public benefit. PROJEKT EUROPA’s activities clearly contribute to the public benefit through the advancement of the arts with a focus on facilitating participation by marginalised groups, including but not limited to first-generation migrants, refugees, and asylum seekers.
Our work also promotes equality and diversity by creating inclusive opportunities for creative engagement and fostering understanding between people from diverse backgrounds. Through our performances, workshops, and educational programmes, we aim to advance awareness of social justice and human rights issues, particularly those affecting migrant communities.
The trustees have had regard to the Charity Commission's guidance on public benefit in managing the activities of the charity.
## **The main achievements and performance of the charity during the year and the difference the charity's performance during the year has made to the beneficiaries of the charity and benefitted wider society.**
2024 saw a continuation of our 2023 artistic programme as well as an expansion in our collaborations and projects. In this period, we employed 2 core members of staff and 88 migrant freelance artists across projects, many of whom are early-career or from underrepresented backgrounds. We also engaged 805 live audiences, 2300 digital audiences, 255 refugees and asylum seekers as community participants in engagement activities, and 13 emerging artists in career development.
During 2024, PROJEKT EUROPA’s work significantly benefited wider society by advancing access to the arts among communities often excluded from cultural participation. Through productions, engagement programmes, and artist development schemes, we reached over 3,000 individuals. Our projects—ranging from PROJEKT ENCOUNTER and SONGS OF SOLIDARITY to PRACTICE LAB and PROJEKT EMPOWER—provided safe, inclusive spaces for creative expression, skill development, and intercultural dialogue. By centring the voices of first-generation migrants and refugees, and offering multilingual, participatory platforms, we fostered community cohesion, elevated underrepresented narratives, and contributed to broader social understanding of migration, identity, and diversity across the UK.
In recognition of this work, PROJEKT EUROPA received the International Award at The Stage Awards 2025, honouring our efforts in 2024 to create platforms for international, migrant artists in the UK

## **Productions and Co-Creation Work**
## DESIRE MAPS
DESIRE MAPS - an interactive map making performance in which audience members are invited to reimagine the geographical journeys of their ancestors. Led by artistic director Maria Aberg and created with Coney artistic director Tassos Stevens and visual artist Akhila Krishnan, DESIRE MAPS was presented as part of the caravan international showcase at Brighton Festival in May 2024 and was subsequently commissioned by Brighton Festival for premiere in 2026.
In 2024 we successfully ran two R&D weeks supported by Arts Council of England and Exchange Theatre with an additional week of R&D supported by the Generate programme at the National Theatre, concluding in an open sharing. Four migrant artists—Rudzani Molya, Tara Fatehi, Ania Varez and Batsheeba Piepe—joined the process.
## SONGS OF SOLIDARITY
SONGS OF SOLIDARITY is a bold, interdisciplinary project inspired by ancient epics like Kalevala, Gilgamesh, and the Aeneid exploring nationhood, displacement and friendship to craft a new epic for the contemporary migrant experience. Together with composer Marouf Majidi, writer and poet Sabrina Mahfouz, and local groups of asylum seekers and refugees, co-directors Maria Aberg and Josephine Burton collaborated with migrant performers and musicians to create this brand new piece of music theatre in an R&D week in December 2024 supported by The Arts Council of England and the Cultural Incubation Fund at Oxford University and in collaboration with Asylum Welcome. The R&D culminated with a successful public sharing.
## PUNCH
Set on the streets of Easton, PUNCH draws inspiration from the true-life experiences of young people who have overcome considerable challenges with the support of Empire Fighting Chance, which uses noncontact boxing to combat the effects of inequality on young people's lives. Through a combination of physical theatre, community participation, electronic music, and boxing, PUNCH explores the ups and downs of early adult life through the eyes of Bristol youth at the boxing gym. PUNCH is an ELEVATE 2023 legacy project created by Igne Barkauskaite, in collaboration with Empire Fighting Chance and in partnership with the Bristol Old Vic.
An R&D phase was carried out in July 2024 at Bristol Old Vic, bringing together a group of local, Bristolbased community participants members of Empire Fighting Chance, to collaborate with professional migrant performers and a migrant creative team to develop this unique performance.
## FIRST DRAFTS
FIRST DRAFTS is a series of work-in-progress scratch nights curated by PROJEKT EUROPA’s Artistic Advisory board. The event features 4-6 migrant artists or collectives each evening, framed by a thoughtprovoking quote that offers a thematic lens for engaging with the work. In September 2024 we held the first event at New Diorama Theatre in London, exploring how we as artists experience, perceive and express resistance. The sold-out performance concluded with a Q&A with the artists and members of the Artistic Advisory Board, reflecting on the work itself, the process of curating, and on the reality of being a migrant theatre maker right now.

## **Engagement & Artist Development**
In 2023–24, PROJEKT EUROPA delivered a wide range of artistic and community-led activity including:
## PROJEKT PROJEKT ENCOUNTER
PROJEKT ENCOUNTER is PROJEKT EUROPA’s 20-week community engagement programme aimed at first generation migrants, refugees and asylum seekers based in Kent with little or no previous experience of theatre. The programme ran its third cycle during 2024 in collaboration with the University of Kent’s School of Arts, culminating in a public presentation of the devised performance ¡Tranforma! - joyful sharing of creativity, international stories and community celebration - at The Aphra Theatre in Canterbury. Most of the participants had never performed on a stage before.
The workshops were led by Francisca Stangel and assisted by Thomas Tegento. In partnership with community grassroots organisation Napier Friends we arranged and paid for travel for a group of 15 individuals weekly, resident at asylum seeker accommodation in the Napier Barracks in Folkestone. Other participants in the group were recruited via a network of local community organisations such as KRAN, Canterbury for Ukraine, Cohesion Plus, Canterbury Welcomes Refugees, Syrian Resettlement Programme and via local councils. To ensure that access to our creative offer was not limited to those proficient in English, interpretation was provided. Participant nationalities included Sudanese, Ukrainian, Nigerian, Palestinian, Iranian, Kurdish, German, Polish, Bangladeshi, Japanese, Chinese, Egyptian, Australian, French, Namibian, Guinian, Somali, Afghani and Greek.
## PROJEKT ENCOUNTER & YOUNG ROOTS
In 2024, we established a new partnership with Young Roots, a charity dedicated to supporting young refugees in the UK. As part of this collaboration, a condensed version of PROJEKT ENCOUNTER was delivered within their “Salaam” youth clubs in King’s Cross and Croydon. Over the course of 10 weeks, young refugees aged 18 to 25 took part in drama workshops designed to foster personal growth, creativity, and selfexpression in a safe, inclusive, and supportive environment.
## PROJEKT ELEVATE
PROJEKT ELEVATE is our micro-commissioning scheme, supporting migrant artists to develop co-created work in collaboration with leading theatres around the country. In 2024 PROJEKT ELEVATE commissioned 3 migrant artists based in the South West in a first-time collaboration between PROJEKT EUROPA and Theatre Royal Plymouth. We supported Latvian actress and theatre maker Estere Slare to develop a project focused on migrant care workers; Seoul-born artist Junghee Borthwick who explored migrant parent/child relationships; and Polish artist Dawid Majewski who developed a community project exploring contemporary issues of climate change through the timeless medium of folk art.

## PROJEKT EMPOWER
In 2024, PROJEKT EUROPA ran the third iteration of its mentorship programme specifically aimed at supporting migrant theatre makers at the beginning of their UK careers. Following a national callout, we paired 10 mentees with 10 of the country’s most successful migrant theatre makers and over the five months we supported and empowered them to become leading change makers of the future. We supported emerging artists from Peru, Taiwan, USA, Sweden, Netherlands, Malaysia, Italy, Poland, Israel, and Romania. Mentors included Olivier Award winner Hiran Abeysekera, multi-award-winning Irish Writer Enda Walsh, award-winning choreographer, movement director and intimacy professional Shelley Maxwell, and West End performer Ako Mitchell.
## PRACTICE LAB
PRACTICE LAB is a year-long peer-to-peer skills exchange programme with twice-monthly free workshops by and for migrant theatre makers, offered in partnership with Rich Mix in London. These workshops are aimed at broadening the knowledge base of the migrant artist community and extending our network of creative connections. Topics in 2024 have included: Working with non-naturalistic new writing; Access & the ethics of participation; Rhythm with Signs - music improvisation; Experiments in rehearsal room practices & multilingualism.
## **Other Engagement Work**
## ONLINE SYMPOSIUM
In November 2024 we organised the online symposium “International Festivals and Community: Exploring Place-Making and Community Collaboration”, a vivid and dynamic conversation with international festivals and leaders of the sector. Led by international arts & cultural manager Tom Curteis, this insightful conversation explored how festivals around the world engage meaningfully with local communities, and how these relationships shape the art and experiences they create. Speakers included Rucera Seethal from National Arts Festival in Makhanda, South Africa; Rocca Holly-Nambi from b-side festival in Portland, UK; Jesse James from Anda & Vala in the Azores; Ahmed El Attar from D-Caf in Cairo, Egypt; and Odil Mukhamedov from MOC Fest in Tashkent, Uzbekistan.
## DIGITAL MIGRANT ARTIST HUB
DIGITAL MIGRANT ARTIST HUB is a new online resource with the purpose of matching migrant theatre practitioners with creative opportunities, connecting artists with industry professionals, and supporting network building. Led by freelance digital strategist Eva Liparova and UX and UI designer Alice Bednarova, a first phase of research and community interviews was carried out to develop initial wireframes.
## **Organisational Development**
PROJEKT EUROPA underwent an organisational restructuring as registered as a Charity in April 2024. New trustees joined the company and Anna Oggero and Joel Horwood stepped down as Company Directors. Anna Oggero was promoted from the position of Company Producer to Executive Producer in April 2024. The company base moved from the Marlowe Theatre in Canterbury to ARK Cultural Centre in Cliftonville, Margate.
During this year, we have continued to develop our relationships with key partners including Napier Friends, KRAN, Kent County Council, National Lottery Funds, Arts Council of England, Womad Foundation, Kent Community Foundation, Colyer Fergusson Trust and the University of Kent. We are steadily growing our UK presence by increasing our pool of local practitioners, developing relationships with key theatres and cultural organisations such as Young Roots, Rich Mix, Bristol Old Vic, Theatre Royal Plymouth, Brighton Festival and Farnham Maltings. In addition, we have sought to develop our environmental policy and board development with the support of external consultants and of People Make it Work.

## **Plans for Future Periods**
In 2025-26, we aim to: - Further develop Desire Maps for its premiere at Brighton Festival 2026, with plans to tour the production internationally. - Advance Songs of Solidarity through a key phase of research, collaboration, and creative development, bringing together academics, artists, and migrant communities. Much of this work will take place in Oxford, in partnership with the Cultural Programme at Oxford, the Archive of Performances of Greek and Roman Drama, and Asylum Welcome.
- Broaden the reach of FIRST DRAFTS by collaborating with key partner venues, including New Diorama, Bristol Old Vic, The Lowry in Manchester, and ARK in Cliftonville. - Launch a national series of migrant-led Conversation Spaces using Open Space Technology to explore themes of visibility, representation, and structural change in the arts—placing migrant voices at the centre to inspire collaboration, action, and long-term impact across the sector.
- Expand the ENCOUNTER programme to reach new regions and communities. - Deliver new iterations of PROJEKT EMPOWER, PRACTICE LAB, and the ONLINE SYMPOSIUM, building on the success of previous editions.
- Progress the development of the Digital Migrant Artist Hub by transforming the existing wireframes into high-fidelity prototypes. This next stage will result in a clickable design ready for handover to a web agency, with the goal of launching the platform in 2026.
- Continue to grow our core team and invest in capacity-building across the organisation. - Collaborate with Tom Ryalls to develop a long-term funding strategy and prepare for the next round of National Portfolio Organisation applications. - Move forward with our Board expansion plan, aiming to recruit two new trustees with identified skills and expertise by 2026. - Update and modernise our financial systems and procedures with the support of consultant Suisie Italiano. - Develop a tailored evaluation framework with consultant Mark Robinson, to better measure impact and inform future work. - Strengthen partnerships with local authorities and cultural venues in Kent and beyond, deepening our regional and national presence.

## **Structure, governance and management of the charity**
## _**The methods used to recruit and appoint new charity trustees.**_
New trustees are appointed by the existing trustees; in selecting persons to be appointed, the trustees take into account the contribution that each potential trustee is able to make to the pursuit of the objects or the management of the Charity particularly in relation to artistic leadership, charitable governance, finance, and community engagement.
None of the trustees has any beneficial interest in the company. All of the trustees are members of the company and guarantee to contribute £1 in the event of a winding up.
The day-to-day running of the charity is administered by the Executive Producer (Anna Oggero).
The trustees have assessed the major risks to which the charity is exposed and are satisfied that systems are in place to mitigate exposure to the major risks.

## _**Financial review of the position at the reporting date, 31 December 2024 .**_
The trustees consider the financial performance by the charity during the year to have been satisfactory. We were successful in securing multi-year funding from Arts Council England and National lottery Fund and other charitable trusts, allowing us to build stronger organisational capacity. We continue to operate through directing the majority of our resources towards artistic and community outcomes.
The Trustees review the charity’s reserves on a regular basis to ensure that PROJEKT EUROPA maintains a sustainable financial position while meeting its charitable objectives.
As a small but growing organisation, the Trustees recognise the importance of holding sufficient unrestricted reserves to cover core operational costs and to protect against potential shortfalls in income. The current level of unrestricted reserves reflects careful financial management and provides a modest buffer equivalent to approximately three months of core operating costs. This meets the charity’s short-term contingency needs while allowing for continued investment in programme delivery and organisational development.
The Trustees are committed to building a more robust reserves base over the coming years to strengthen the charity’s resilience and ability to respond to emerging opportunities and challenges.
The financial statements of PROJEKT EUROPA for the year ending 31 December 2024 are attached to this report and are prepared in accordance with statutory requirements and the requirements of the articles of association.
The financial position of the charity at 31 December 2024 and comparatives for the prior period, as more fully detailed in the accounts, can be summarised as follows:
At the Period End Total incoming resources for the year were £168,445 (2023:£100,421). Total resources expended were £115,254 (2023:£93,244) resulting in a net incoming balance of £53,191 (2023: £7,177). Total funds at 31 December 2024 stood at £60,317 (2023: £7,126).

## _**Financial Effect of the Transition to Charitable Status**_
During the year, the organisation formally transitioned to charitable status. This change brought with it new financial reporting requirements under the Charities SORP, which differs in several respects from the previous financial reporting framework.
One of the key accounting adjustments relates to deferred income. Under the previous reporting approach, income related to future activities may have been included in the balance sheet without as detailed a review. Under Charities SORP, income must meet stricter criteria to be recognised, particularly where funding is restricted to specific projects or future periods.
As a result, income that had previously been treated as deferred (and shown on the balance sheet) has now, under the revised treatment, been reversed and recognised in the current year. This has had the effect of increasing income in the current year by £37,002 and reducing the carried-forward liabilities. It does not reflect new or additional funds, but rather a change in how and when income is recognised.
Additionally, charitable accounting requires clearer separation between restricted and unrestricted funds. In transitioning, we reviewed all prior and current year income to determine appropriate categorisation. This has led to reallocation and restatement in some areas.
## _**Policies on reserves.**_
The Trustees review the charity’s reserves on a regular basis to ensure that PROJEKT EUROPA maintains a sustainable financial position while meeting its charitable objectives. At the end of the financial year (31 March 2024), the charity held total funds of £60,317 comprising £1,105 in unrestricted funds, £4,885 in designated funds and £54,327 in restricted funds.
As a small but growing organisation, the Trustees recognise the importance of holding sufficient unrestricted reserves to cover core operational costs and to protect against potential shortfalls in income. ## **Statement of the Directors' and Trustees' Responsibilities**
The charity's trustees are responsible for the preparation of the accounts in accordance with the terms of the Companies Act 2006, the Charities Act 2011 and the Charities (Accounts and Reports) Regulations 2008. Notwithstanding the explicit requirement in the extant statutory regulations,the Charities (Accounts and Reports) Regulations 2008, to prepare the financial statements in accordance with the SORP 2005, in view of the fact that the SORP 2005 has been withdrawn, the Trustees determined to interpret this responsibility as requiring them to follow current best practice and prepare the accounts according to the FRS 102 SORP (Statement of Recommended Practice for Accounting and Reporting by Charities) 2019, applicable to all accounting periods beginning on or after 1st January 2019), (The SORP), .
In particular, the Companies Act 2006 and charity law require the Board of Trustees to prepare financial statements for each financial year which give a true and fair view of the state of affairs of the charity as at the end of the financial year and of the surplus or deficit of the charity. In preparing those financial statements the Board is required to :-
- to prepare the accounts in accordance with United Kingdom Generally Accepted Accounting Practice (United Kingdom Accounting Standards and applicable law).
- select suitable accounting policies and apply them consistently;
- make judgements and estimates that are reasonable and prudent;
- prepare the financial statements on the going concern basis unless it is inappropriate to presume that the charity will continue in business;
- state whether applicable accounting standards and statements of recommended practice have been followed, subject to any material
- departures disclosed and explained in the financial statements;
The law requires that the trustees must not approve the accounts unless they are satisfied that they give a true and fair view of the state of affairs of the charity and of the surplus or deficit of the charity for the year.
The Trustees are also responsible for maintaining adequate accounting records which disclose with reasonable accuracy at any time the financial position of the charity and which are sufficient to show and explain the charity's transactions and enable them to ensure that the financial statements comply with the Companies Act 2006 and comply with regulations made under the Charities Act. They are also responsible for safeguarding the assets of the charity and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.
The Trustees are also responsible for the contents of the Trustees' report, and the statutory responsibility of the Independent Examiner in relation to the Trustees' report is limited to examining the report and ensuring that , on the face of the report, there are no material inconsistencies with the figures disclosed in the financial statements.

I report to the Trustees on my examination of the financial statements of the charitable company on pages 14 to 28 for the year ended 31 December 2024 which have been prepared in accordance with the Charities Act 2011 (the Act) and with the Financial Reporting Standard 102, (effective 1st January 2016) as modified by FRS 102 SORP (Statement of Recommended Practice for Accounting and Reporting by Charities) 2019, applicable to all accounting periods beginning on or after 1st January 2019), (The SORP), published by the Charity Commission in England & Wales (CCEW) , and under the historical cost convention and the accounting policies set out on page 20.
## **Respective responsibilities of the Trustees and the Independent Examiner and the basis of the report**
As described on page 10, you, the charitable company's Trustees, who are also the Directors of the Company for the purposes of Company law, are responsible for the preparation of the financial statements in accordance with the Companies Act 2006, the Charities Act 2011 and all other applicable law and with United Kingdom Generally Accepted Accounting Practice, applicable to smaller entities, and for being satisfied that the financial statements give a true and fair view.
The Trustees consider that the audit requirement of Section 144(1) of the Charities Act 2011 (the Act) does not apply, and that there is no requirement in the memorandum and articles of the charity for the conducting of an audit, and that the accounts do not require an audit in accordance with Part 16 of the Companies Act 2006 and that no member or members have requested an audit pursuant to Section 476 of the Companies Act 2006. As a consequence, the Trustees have elected that the financial statements be subject to independent examination.
Having satisfied myself that the financial statements are not required to be audited under any legal provision, or otherwise, and are eligible for independent examination, it is my responsibility to:-
a) examine the financial statements of the charity under Section 145 of the Act;
b) follow the applicable procedures in the Directions given by the Charity Commission under section 145(5)(b) of the Act.
## **Basis of Independent Examiner's Statement and scope of work undertaken**
I report in respect of my examination of the charity's financial statements carried out under s145 of the Act. In carrying out my examination, I have followed all the applicable Directions given by the Charity Commission under section 145(5)(b) of the Act setting out the duties of an independent examiner in relation to the conducting of an independent examination. An independent examination includes a review of the accounting records kept by the charitable company and of the accounting systems employed by the charitable company and a comparison of the financial statements presented with those records. It also includes consideration of any unusual items or disclosures in the financial statements, and seeking explanations from you, as Trustees, concerning such matters. The purpose of the examination is to establish as far as possible that there have been no breaches of charity legislation and that, on a test basis of evidence relevant to the amounts and disclosures made, the financial statements comply with the SORP.
The procedures undertaken do not provide all the evidence that would be required in an audit, and information supplied by the Trustees in the course of the examination is not subjected to audit tests or enquiries and does not cover all the matters that an auditor would consider in arriving at an opinion. The planning and conduct of an audit goes beyond the limited assurance that an independent examination can provide
Consequently, I do not express an audit opinion on the view given by the financial statements, and in particular, I express no opinion as to whether the financial statements give a true and fair view of the affairs of the charity, and my report is limited to the matters set out in the statement below.
I planned and performed my examination so as to satisfy myself that the objectives of the independent examination are achieved and before finalising the report I obtained written assurances from the Trustees of all material matters.

and that no material matters have come to my attention in connection with the examination giving me cause to believe that in any material respect:-
accounting records were not kept in respect of the charity as required by Section 386 of the Companies Act 2006 and Section 130 of The Charities Act 2011;
the financial statements do not accord with those records; or

## **1 Accounting policies**

## **Basis of preparation and accounting convention**
The accounts have been prepared on the accruals basis, under the historical cost convention, and in accordance with the Financial Reporting Standard 102, (effective 1st January 2016) and 'FRS 102 SORP (Statement of Recommended Practice for Accounting and Reporting by Charities) 2019, applicable to all accounting periods beginning on or after 1st January 2019), (The SORP), published by the Charity Commission in England & Wales (CCEW) , and in accordance with all applicable law in the charity's jurisdiction of registration, except that the charity has prepared the financial statements in accordance with the FRS 102 SORP (Statement of Recommended Practice for Accounting and Reporting by Charities) 2019, applicable to all accounting periods beginning on or after 1st January 2019), (The SORP), in preference to the previous SORP, the SORP 2005, which has been withdrawn, notwithstanding the fact that the extant statutory regulations, the Charities (Accounts and Reports) Regulations 2008 refer explicitly to the SORP 2005. This has been done to accord with current best practice.
## **Risks and future assumptions**
The charity is a public benefit entity.
## **Debtors**
Debtors are measured at their recoverable amounts at the balance sheet date.
## **Creditors and provisions**
Creditors and provisions are recognised where the charity has a present obligation resulting from a past event that will probably result in the transfer of funds to a third party and the amount due to settle the obligation can be measured or estimated reliably. Creditors and provisions are normally recognised at their settlement amount after allowing for any trade
discounts due.
## **Financial instruments including cash and bank balances**
Bank balances, whether in credit or overdrawn, are shown at the amounts properly reconciled to the bank statements.
## **Fund Accounting**
Unrestricted funds are available for use at the discretion of the trustees in furtherance of the general objectives of the charity.
Designated funds are unrestricted funds earmarked by the Trustees for particular purposes.
Restricted funds are subjected to restrictions on their expenditure imposed by the donor or through the terms of an appeal or as implied by law.
There are no endowment funds.
## **2 Liability to taxation**
The Trustees consider that the charity satisfies the tests set out in Paragraph 1 Schedule 6 of the Finance Act 2010 for UK corporation tax purposes. Accordingly, the Charity is potentially exempt from taxation in respect of income or capital gains received within categories covered by chapter 3 part 11 of the Corporation Tax Act 2010 or Section 256 of the Taxation of Chargeable Gains Act 1992, to the extent that such income or gains are applied exclusively on the specific charitable objects of the charity and for no other purpose. Value Added Tax is not recoverable by the charity, and is therefore included in the relevant costs in the Statement of Financial Activities.

## **10 Related party transactions**
During the year, the charity engaged Maria Aberg, a trustee of the organisation, under a contract for services to deliver specific freelance work. This arrangement was made in accordance with section 185 of the Charities Act 2011 and in line with the charity’s governing documents (Article 9a), which permit such transactions where they are appropriately authorised.
Maria is not an employee of the charity, and her engagement is strictly limited to contracted freelance services unrelated to her role as a trustee. The board of trustees reviewed and approved the arrangement, excluding both founders from the decision-making process to ensure independence. The trustees are satisfied that the remuneration paid to Maria is reasonable and in the best interests of the charity.
The board believes that Maria’s skills, experience, and leadership are of significant value to the organisation and that her services could not be replaced without incurring higher costs. The arrangement is kept under regular review to ensure compliance with both charity law and employment law considerations.
A total of £12,563 was paid to Maria during this accounting period in addition to a payment of £15,250 to Root & Branch AB.
