TRUSTEES' REPORT

FOR THE YEAR ENDED 31 MARCH 2025

The trustees present their annual report and financial statements for the year ended 31 March 2025.

The financial statements have been prepared in accordance with the accounting policies set out in note 1 to the financial statements and comply with the association's governing document, the Charities Act 2011 and "Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102)" (effective 1 January 2019).

Objectives and activities

The Association must operate within its objects, which are as follows:

Overall: The advancement of the moral and physical welfare and development of school pupils through the medium of Athletics.

The overall objects are achieved via:

i. The formulation of expert opinion on the suitability of athletic events and methods of organisation and the dissemination of this information.

ii. The organisation of annual cross-country championships.

iii. The organisation of annual track and field championships.

iv. The organisation of annual race walking championships.

v. The organisation of annual combined event championships.

vi. The organisation of such other athletic events as may from time to time seem desirable.

There have been no changes in the way the Association achieves its overall objects.

Objects of the English Schools' Athletic Association Harry Palfreman Trust:

As part of the general objects of the English Schools' Athletic Association namely the advancement of the moral and physical welfare and development of school pupils through the medium of athletics, the principal object of the fund shall be to promote and encourage the participation in athletics by pupils of all abilities on the full-time roll of any primary or secondary school in England in one or more of the following ways:

(a) By promoting regional and national cup competitions.

(b) By helping to finance regional or national coaching/training schemes.

(c) By providing grants to individual pupils to assist with travel or accommodation costs when attending competitions or coaching/training schemes.

(d) By providing athletics equipment for schools.

(e) By such other lawful means as the trustees may from time to time determine.

The trust was established by means of a Declaration of Trust on the 8th July, 1995 and is treated as a subsidiary of the English Schools' Athletic Association by the Charity Commission.

The trustees have paid due regard to guidance issued by the Charity Commission in deciding what activities the association should undertake.

Charitable Activities

Our first national summer event, the Track and Field Cup Final, was held at Northwood Stadium in Stoke on Trent. Despite staffing and maintenance challenges, support from stadium trustees, athletics associations, and volunteers made the event a success for all finalist schools. With slightly higher participation than last year, experienced coordinators managed over 60 county rounds in May, followed by 8 Regional A Finals and 13 Regional B Finals in June, leading to the final in July.

The Track and Field Championship was again held at Alexander Stadium, Birmingham, on the second Saturday and following day in July. The association remains committed to offering this unique experience for young people. Despite rising hospitality costs, all but one county accepted accommodation for Thursday and Friday. Holding the event at a prestigious venue increased expenses for security, cleaning, and medical services. Online ticket sales were lower than last year, and we partnered with a new company to produce the event programme.

Hosting an event at a first-class facility of this nature brings its challenges and we must once again thank the team of coordinators, officials and volunteers, for working tirelessly to ensure the championships ran smoothly throughout the two days. Financing the event continues to be a challenge but the ‘sponsor an event’ initiative was once again supported by former ESAA athletes, including some of our well-known international athletes, local and global businesses, and friends of the ESAA, raising a substantial amount of financial support towards increasing costs. We are also indebted to Birmingham City Council for the welcome we received and the ‘in-kind support’ they continue to provide in staging the event.

A selected Intermediate team of 78 athletes travelled to Carmarthen, Wales, the following weekend to represent the association in the SIAB Track and Field International competition, involving an over-night stay in Swansea. Many off our athletes’ families made the journey to Wales to transport the athletes and support the team. Athletes are required to contribute to the event with all athletes receiving an international tracksuit, vest, shorts and a shoe bag. We are grateful for the ongoing support of Pro-Direct who provide the athlete clothing in return for having the rights to promote their clothing and footwear at our main championships.

The Combined Events and Race-Walking Championships returned to Northwood Stadium, Stoke-on-Trent, after 14 years since last hosting in 2010. Six regional rounds in June determined qualifying athletes and county teams for the September final. Despite persistent heavy rain and thunderstorms, athletes remained resilient and positive throughout the challenging conditions. The meeting also incorporated the Race Walk Championship with numbers up on 2023. A total of 33 walkers finished over the new ESAA distances, including 12 in the U13 1500m Development Race. This was the fourth time we have incorporated Wheelchair Races on the Sunday, but numbers were low, and ambulant athletes were included for the first time. We will be looking for more support from the various wheelchair racing clubs to take the event forward in future years.

The Cross-Country Cup saw strong participation from both Independent and State schools, with 1888 teams from 517 schools competing in 38 first-round events across Counties and 9 Regional Finals. The National Final, postponed due to extreme weather, was held at the Grammar School at Leeds in March 2025. Despite a clash with another national schools’ event, 880 athletes competed for new team medals and trophies.

At the start of 2025 we held the first of our centenary events with the Cross-Country Championships taking place at the Ardingly South of England Showground. We received generous financial support from a former Kent athlete, David Minter, to support the staging of the championships and to enable us to give all the competing athletes a memento of the occasion. It was fitting to have David Minter present at the event to carry out some of the presentations and a privilege to add David’s name to the title of the races.

We were delighted to travel to Scotland for the 2025 SIAB Cross-Country Championships. The event was held at Callendar Park, Falkirk and organized by the Scottish Schools’ Athletics Association. As always taking a team to Scotland is a significant logistical challenge requiring the co-ordination of 40 athletes individual travel arrangements in just 5 days following selection. All athletes were supported by their families in Scotland and the one-night stay for the athletes was a success.

Our competition calendar is supported by officials and volunteers who help deliver quality events for all school and county teams. Their many hours make it possible for ESAA to provide opportunities for over 50,000 athletes each year. We face challenges in replacing volunteers to lead our county and regional competitions with some teaching staff having less capacity to give their time as freely as some of our more experienced coordinators. However, we are fortunate each year that new people step forward to take on additional roles to support the work of the association. The cost of facility hire, first aid provision and transport are increasing, with some schools finding it more difficult to engage. Therefore, it is important that we continue to support the competition offer at local level to attract more young athletes to the sport.

Social media and online event streaming are increasingly effective for promoting our organisation, with readership growing each year and reaching broader audiences. In 2024/2025, our Cross-Country Championships, Cup competition, and Track and Field Championships were live-streamed. We should continue assessing the cost and value of these efforts to keep our events relevant and widely accessible. The website is gradually providing more relevant information to our readers and is providing schools with an entry platform for our cup competitions. However, we have learnt that results systems are best placed with organisations and individuals who have specific expertise in this area. There is more work to do in establishing our result archive and sharing much of the work that our archivist, John Mackie, provides for us with regular update following championship events across the sport of Athletics.

A large grant has been received from England Athletics, and efforts to secure additional sponsorship for championship events are ongoing. Donations from former athletes, parents, relatives, businesses, and sports enthusiasts have helped reduce the deficit sometimes associated with staging these events. Teams representing England will wear a new kit this year as part of a three-year agreement with Pro-Direct, a company specializing in sports clothing and footwear. Additionally, a license agreement has been established with London Marathon Events Ltd. to organize the ESAA Awards Scheme.

There is a major change in the Competition Age groups in the wider sport of Athletics to come into effect from the 1st of April 2026 requiring the association to work through a process to find a way of aligning our competition offer.

We are now operating as an Incorporated Charitable organisation, reducing the liability of the association to its trustees and giving us the opportunity to explore ‘gift aid. as an additional way of increasing our income. We are fortunate that we have a General Committee of 23 elected members and 6 elected officers to carry out the association’s business. This group is supported by many of our Vice presidents and Honorary Vice Presidents. We meet four times a year in face-to-face General Committee meetings and have sub-groups who meet online twice a year. Our affiliated County Schools’ Associations continue to provide competitions at the start of the competition ‘pyramid’ and select teams to represent their Counties at out three championship events.

As we continue in our Centenary year in 2025, we need to remind ourselves that English Schools’ competition continues to provide close to a million competitive athletic experiences for school children in the 11-18 age range throughout a calendar year. This is made possible through a large, dedicated team of volunteers who are passionate about giving young people the chance to develop new skills and immerse themselves in our sport.

Financial review

During the financial year, the Association continued to source its funding from Event Entry Fees, sponsorship and funding received from England Athletics.

Key movements affecting the Balance Sheet as a whole are as follows:-

On a fund by fund basis the assets of the Association are available and adequate to fulfil the objects of the Association for the foreseeable future. In this context the points regarding sponsorship made above should be noted.

Reserves policy

The Trustees have reviewed the reserves of the charity. During the Year Ended 31 March 2025 the level of reserves attributable to Unrestricted Funds increased from £574,716 to £599,681 - an increase of £24,965.

The trustees have carefully considered the future funding position of the Association and have for a number of years been actively seeking donations, sponsorship and other funding. In the light of the current financial position, it is inappropriate at this stage to consider increasing the Association's core activities.

The Association does have a restricted fund, which encompasses the Palfreman Trust. Under the terms of that trust its objects are to be met from the income earned from its investments.

Investment Policy

The Association seeks to produce the best financial return with an acceptable level of risk. It has adopted a total return approach to Investments - generating investment return from income and capital movements.

Whilst a set investment return percentage has not been set, the level of Palfreman Trust expenditure is generally determined by the achieved level of investment return.

The trustees have a duty to identify and review the risks to which the charity is exposed and to ensure appropriate controls are in place to provide reasonable assurance against fraud and error.

Structure, governance and management

The Constitution and General Rules of the Association were adopted in 1925 and have been subsequently amended as necessary during Annual Council Meetings.

From 12 April 2024, the Association is constituted as Charitable Incorporated Association (CIO) (registration No. 1207831). Prior to 12 April 2024 the Association was constituted as an unincorporated association (registration number with the Charities Commission 275436).

The above mentioned change in legal structure was accounted for under the merger provisions of the Charities Statement of Recommended Practice, given that the Association's work, including its work and beneficiaries remain unchanged.

The change to a CIO was made with the objectives of limiting the personal liability of the trustees and to put the Association in a better position for negotiating with 3rd parties regarding future possible joint ventures.

The Officers are members of the General Committee along with twenty-four members, who are elected by postal ballot prior to the Annual Council Meeting from nominees of the Affiliated County Associations. Additionally, the active vice presidents (vice presidents elected from chairmen or holders of other offices of the Association) are members of the General Committee. Chairman now hold the post for two years.

The appointed trustees are responsible for the overseeing and co-ordination of all aspects of the work of the Association and have the right to reject decisions taken by Committees, which affect the overall general interests of the Association. Appeals against decisions shall be made only at the Annual Council Meeting or at a Special Council Meeting called for that purpose.

Sub-Committees

Committee Chairmen are appointed from the Officers of the Association. The General Committee is serviced by the Honorary Secretary of the Association whilst the Finance Committee is serviced by the Honorary Treasurer. Other Committee Secretaries are appointed by each Committee from its membership. The Officers of the Association are ex-officio members of all Committees.

In addition to the General Committee, the following committees operated during the financial year:-

i. Summer Championships ii. Winter Championships iii. Development iv. Finance

The above Committees are responsible for the administration of their field of activity within the Association and have management powers to take action on their decisions subject to the approval of the General Committee on issues that affect the finance and policies of the Association. All Committees report back to the General Committee.

Existing members of the general committee recognise the need to provide appropriate guidance to newly appointed members and in this regard take account of the needs and requirements of both the Association and the Charity Commission.

When the Association organises an athletic event (e.g. the annual Track and Field Championships) in conjunction with a county association, related party transactions do occur - but these are consistent with the overall objectives of the Association - one of which is the organisation of annual track and field championships.

TO THE TRUSTEES OF ENGLISH SCHOOLS' ATHLETIC ASSOCIATION

I report to the trustees on my examination of the financial statements of English Schools' Athletic Association (the association) for the year ended 31 March 2025.

Responsibilities and basis of report

As the trustees of the association you are responsible for the preparation of the financial statements in accordance with the requirements of the Charities Act 2011 (the 2011 Act).

I report in respect of my examination of the association’s financial statements carried out under section 145 of the 2011 Act. In carrying out my examination I have followed all the applicable Directions given by the Charity Commission under section 145(5)(b) of the 2011 Act.

Independent examiner's statement

Since the association’s gross income exceeded £250,000 your examiner must be a member of a body listed in section 145 of the 2011 Act. I confirm that I am qualified to undertake the examination because I am a member of ICAEW, which is one of the listed bodies.

Your attention is drawn to the fact that the charity has prepared financial statements in accordance with Accounting and Reporting by Charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) in preference to the Accounting and Reporting by Charities: Statement of Recommended Practice issued on 1 April 2005 which is referred to in the extant regulations but has now been withdrawn.

I understand that this has been done in order for financial statements to provide a true and fair view in accordance with Generally Accepted Accounting Practice effective for reporting periods beginning on or after 1 January 2015.

1 Accounting policies

Charity information

English Schools' Athletic Association was previously constituted as an unincorporated association and was registered with the Charities Commission 275436.

With effect from 12 April 2024 the Association became a Charitable Incorporated Organisation (registration number with Charities Commission 1207831). From 12 April 2024 the assets, liabilities and funds of the Charity were merged into the Charitable Incorporated Organisation.

1.1 Accounting convention

The financial statements have been prepared in accordance with the association's governing document, the Charities Act 2011 and "Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019)". The association is a Public Benefit Entity as defined by FRS 102.

The financial statements have departed from the Charities (Accounts and Reports) Regulations 2008 only to the extent required to provide a true and fair view. This departure has involved following the Statement of Recommended Practice for charities applying FRS 102 rather than the version of the Statement of Recommended Practice which is referred to in the Regulations but which has since been withdrawn.

The financial statements are prepared in sterling, which is the functional currency of the association. Monetary amounts in these financial statements are rounded to the nearest £.

The financial statements have been prepared under the historical cost convention, [modified to include the revaluation of certain financial instruments at fair value]. The principal accounting policies adopted are set out below.

1.2 Going concern

At the time of approving the financial statements, the trustees have a reasonable expectation that the association has adequate resources to continue in operational existence for the foreseeable future. Thus the trustees continue to adopt the going concern basis of accounting in preparing the financial statements.

1.3 Charitable funds

Unrestricted funds are available for use at the discretion of the trustees in furtherance of their charitable objectives.

Restricted funds are subject to specific conditions by donors or grantors as to how they may be used. The purposes and uses of the restricted funds are set out in the notes to the financial statements.

Endowment funds are subject to specific conditions by donors that the capital must be maintained by the association.

1.4 Income

Income is recognised when the association is legally entitled to it after any performance conditions have been met, the amounts can be measured reliably, and it is probable that income will be received.

Cash donations are recognised on receipt. Other donations are recognised once the association has been notified of the donation, unless performance conditions require deferral of the amount. Income tax recoverable in relation to donations received under Gift Aid or deeds of covenant is recognised at the time of the donation.

Legacies are recognised on receipt or otherwise if the association has been notified of an impending distribution, the amount is known, and receipt is expected. If the amount is not known, the legacy is treated as a contingent asset.

1.5 Expenditure

Expenditure is recognised once there is a legal or constructive obligation to transfer economic benefit to a third party, it is probable that a transfer of economic benefits will be required in settlement, andthe amount of the obligation can be measured reliably.

Expenditure is classified by activity. The costs of each activity are made up of the total of direct costs and shared costs, including support costs involved in undertaking each activity. Direct costs attributable to a single activity are allocated directly to that activity. Shared costs which contribute to more than one activity and support costs which are not attributable to a single activity are apportioned between those activities on a basis consistent with the use of resources. Central staff costs are allocated on the basis of time spent, and depreciation charges are allocated on the portion of the asset’s use.

The overall objects of the Association are achieved via the organisation of various athletic events.

Certain events are accounted for through separate Bank accounts that are not reflected in these Accounts. The Association ensures that a County that stages an event has a tangible financial return reflecting the work that they have done. Such financial returns will often be in the form of a payment from the Association following the completion of the event's financial statement. Such a position is consistent with the classification of County Associations.

Contributions to events organised by the Association are accounted for when paid subject to including costs arising after the year end with respect to events held prior to the year-end where such costs have been determined by the time the Accounts are approved.

Advances paid by the Association to local event organisers for future events are accounted for in the year in which they are paid.

The policy in respect of Event Expenditure is strictly speaking a partial departure from the Accruals concept forming part of the Charities SORP. However, the policy adopted takes account of all available information up until the time the Accounts are approved and is in accordance with the "spirit" of the Charities SORP.

1.6 Tangible fixed assets

Tangible fixed assets are initially measured at cost and subsequently measured at cost or valuation, net of depreciation and any impairment losses.

Depreciation is recognised so as to write off the cost or valuation of assets less their residual values over their useful lives on the following bases:

The gain or loss arising on the disposal of an asset is determined as the difference between the sale proceeds and the carrying value of the asset, and is recognised in the statement of financial activities.

1.7 Fixed asset investments

Fixed asset investments are initially measured at transaction price excluding transaction costs, and are subsequently measured at fair value at each reporting date. Changes in fair value are recognised in net income/(expenditure) for the year. Transaction costs are expensed as incurred.

Impairment of fixed assets

At each reporting end date, the association reviews the carrying amounts of its tangible assets to determine whether there is any indication that those assets have suffered an impairment loss. If any such indication exists, the recoverable amount of the asset is estimated in order to determine the extent of the impairment loss (if any).

1.9 Stocks

During 1993 the policy on merchandise stocks was changed and now no account is taken of stocks on hand at the Balance Sheet date. Any profit on sale of the goods is accounted for at the time of sale. This policy was adopted after advice given, to ease administration and the effect is not significant in the context of the Association's income. It can sometimes contribute to costs exceeding merchandise sales.

1.10 Cash and cash equivalents

Cash and cash equivalents include cash in hand, deposits held at call with banks, other short-term liquid investments with original maturities of three months or less, and bank overdrafts. Bank overdrafts are shown within borrowings in current liabilities.

1.11 Financial instruments

The association has elected to apply the provisions of Section 11 ‘Basic Financial Instruments’ and Section 12 ‘Other Financial Instruments Issues’ of FRS 102 to all of its financial instruments.

Financial instruments are recognised in the association's balance sheet when the association becomes party to the contractual provisions of the instrument.

Financial assets and liabilities are offset, with the net amounts presented in the financial statements, when there is a legally enforceable right to set off the recognised amounts and there is an intention to settle on a net basis or to realise the asset and settle the liability simultaneously.

Basic financial assets

Basic financial assets, which include debtors and cash and bank balances, are initially measured at transaction price including transaction costs and are subsequently carried at amortised cost using the effective interest method unless the arrangement constitutes a financing transaction, where the transaction is measured at the present value of the future receipts discounted at a market rate of interest. Financial assets classified as receivable within one year are not amortised.

Basic financial liabilities

Basic financial liabilities, including creditors and bank loans are initially recognised at transaction price unless the arrangement constitutes a financing transaction, where the debt instrument is measured at the present value of the future payments discounted at a market rate of interest. Financial liabilities classified as payable within one year are not amortised.

Debt instruments are subsequently carried at amortised cost, using the effective interest rate method.

Trade creditors are obligations to pay for goods or services that have been acquired in the ordinary course of operations from suppliers. Amounts payable are classified as current liabilities if payment is due within one year or less. If not, they are presented as non-current liabilities. Trade creditors are recognised initially at transaction price and subsequently measured at amortised cost using the effective interest method.

Derecognition of financial liabilities

Financial liabilities are derecognised when the association’s contractual obligations expire or are discharged or cancelled.

1.12 Taxation

The Association is a registered charity and as such is a charity within the meaning of Section 506(1) of the Taxes Act 1988. Accordingly, the Association is potentially exempt from taxation in respect of income and capital gains received within the categories covered by Section 505 of the Taxes Act or Section 256 of the Taxation of Chargeable Gains Act 1992 to the extent that such income or gains are applied exclusively for charitable purposes.

1.13 Employee benefits

The cost of any unused holiday entitlement is recognised in the period in which the employee’s services are received.

Termination benefits are recognised immediately as an expense when the association is demonstrably committed to terminate the employment of an employee or to provide termination benefits.

1.14 Fund Accounting

Unrestricted funds can be used in accordance with the charitable objectives at the discretion of the trustees.

Restricted funds can only be used for particular restricted purposes within the objects of the charity. Restrictions arise when specified by the donor or when funds are raised for particular restricted purposes.

1.15 County associations

In the light of the provisions in the Charities SORP re Branches it is inappropriate to include the results of each County Association within these accounts. County Associations have a level of administrative autonomy from the English Schools' Athletic Association, such that legislation requires them to be treated as separate accounting entities.

2 Critical accounting estimates and judgements

In the application of the association’s accounting policies, the trustees are required to make judgements, estimates and assumptions about the carrying amount of assets and liabilities that are not readily apparent from other sources. The estimates and associated assumptions are based on historical experience and other factors that are considered to be relevant. Actual results may differ from these estimates.

The estimates and underlying assumptions are reviewed on an ongoing basis. Revisions to accounting estimates are recognised in the period in which the estimate is revised where the revision affects only that period, or in the period of the revision and future periods where the revision affects both current and future periods.

17 Merger

English Schools' Athletic Association was registered as a Charity on 29 July 1996. On 12 April 2024 registration as a Charitable Incorporated Organisation (CIO) was obtained, with the result that the assets, liabilities and funds existing on 12 April 2024 became part of the CIO on that date.

The name of the Association has remained unchanged.

Trustees' expenses

Travel and Subsistence costs totalled £11,645 (2024 - £10,038) and includes instances where the Association met individual expenses incurred by members of the General Committee (47 members) for services provided to the Association. (Members of the General Committee are treated as related parties of the Association).

24 Contingent Liabilities

The Association has given an undertaking to underwrite any event deficits, which may arise. If an event has not been finalised at the date of the accounts then any outstanding deficit which may arise will not be quantifiable at the Balance Sheet date and will be accounted for when paid out by the National Association.
