REPORT OF THE TRUSTEES

PERIOD ENDED 31 MARCH 2025

The Trustees present their report for the period ended 31 March 2025.

This Charitable Incorporated Organisation (“CIO”) was registered by the Charity Commission on 15 March 2024. It was established to take over the activities of an unincorporated charity, also under the name of The Marlborough Foundation (“the original Foundation”), registered charity number 328036. The necessary transfer of assets from the original Foundation to the CIO took place after the end of the period, on 9 April 2025.

The original Foundation was established by Trust Deed dated 23 November 1988, by Mr M M Lange who sadly passed away on 12 October 2015. The Foundation’s address, applicable to both the original Foundation and the CIO, is as shown below. The original Foundation was accepted as a charity with effect from 23 November 1988.

The power of appointing new Trustees is vested in Section 36 of the Trustee Act 1925. Details of the Trustees who acted during the period are shown below.

Objects and activities

The principal objects of the Foundation are the relief of mentally and physically handicapped persons living in the United Kingdom and the relief of needy children and young persons resident in the United Kingdom. The Foundation follows a policy of taking applications by invitation only.

The CIO did not receive any income nor defray any expenditure during the period ended 31 March 2025.

The Trustees have had due regard to guidance published by the Charity Commission on public benefit.

Reserves policy

After the transfer of assets has taken place, it will be the policy of the charity to maintain unrestricted funds at a level to cover overhead expenses for a year and some additional reserves in case of unforeseen circumstances.

Risk management

The trustees have examined the major operational risks which the charity faces and confirm that systems have been established to lessen these risks. Decisions are made jointly by the trustees.

2. Trustee Remuneration

No trustee received or is due to receive any remuneration or reimbursement of expenses for the period.

3. Related Party Transactions

There were no transactions with related parties during the period.

4. Post Balance Sheet Events

The Marlborough Foundation is in the process of changing its legal status. This Charitable Incorporated Organisation (“CIO”) was formed and registered with the Charity Commission as registered charity number 1207472, to take over the activities of an unincorporated charity, also under the name of The Marlborough Foundation (“the original Foundation”), registered charity number 328036. On 9 April 2025, the assets of the original Foundation were transferred to the CIO which will carry on the activities previously conducted by the original Foundation. The original Foundation will be terminated as soon as is reasonably practicable.

5. Guarantees

The CIO has not given any guarantees and consequently there are no potential guarantee liabilities at 31 March 2025.

6. Secured Debts

The CIO does not have any debts outstanding at 31 March 2025 which are secured by an express charge on any of the assets of the CIO.
