## 2. Trustees' Annual Report 

## 2.1 Structure, Governance and Management 

Positive Futures Charity (charity number 1207148) was registered with the Charity Commission for England and Wales on 22 February 2024. The charity is governed by its constitution/trust deed. 

The charity is managed by its board of trustees who are responsible for the overall direction and control of the charity. Trustees are appointed in accordance with the governing document. 

## 2.2 Objectives and Activities

In setting and reviewing the charity's objectives and activities, the trustees have given careful consideration to the Charity Commission's general guidance on public benefit. 

## 2.3 Activities and Achievements During the Period 

During the period from 22 February 2024 to 30 June 2025 (the charity's first accounting period), the charity was dormant. No charitable activities were undertaken and no income was received or expenditure incurred. 

The trustees established the governance framework and administrative structures necessary to begin operations in future periods. Steps taken included the registration of the charity with the Charity Commission on 22 February 2024 and the appointment of the initial board of trustees. 



## 2.4 Plans for the Future

## 2.5 Financial Review 

The charity was dormant throughout the accounting period. There were no receipts, payments, assets, or liabilities. The closing fund balance as at 30 June 2025 is nil. 

The trustees confirm that the charity has no reserves policy as the charity has not yet commenced activities. 

## 2.6 Risk Management 

As the charity was dormant during the period there were no operational or financial risks to manage. The trustees will establish a risk management framework prior to the commencement of activities. 

## 2.7 Statement of Trustees' Responsibilities 

The trustees are responsible for preparing the Trustees' Annual Report and the accounts. The trustees have prepared accounts on a receipts and payments basis in accordance with the Charities Act 2011 and the Charities SORP (FRS 102). 

The trustees are satisfied that the accounts give a true and fair view and have been prepared in accordance with applicable accounting standards and charity law.

## 5. Notes to the Accounts 

## 5.1 Basis of Preparation 

These accounts have been prepared on a receipts and payments basis in accordance with the Charities Act 2011 and the Charities SORP (FRS 102) applicable to smaller charities. 

The accounting period covers 22 February 2024 (date of registration) to 30 June 2025. This is the first period of account for Positive Futures Charity. No comparative figures are available. 

## 5.2 Dormant Status 

The charity was dormant throughout the entire accounting period. No income was received, no expenditure was incurred, and no assets or liabilities existed at any point during the period or at the balance sheet date. 

## 5.3 Trustee Remuneration and Expenses 

No trustee received any remuneration or reimbursement of expenses during the period (prior period: nil). 

## 5.4 Related Party Transactions 

There were no related party transactions during the period. 

## 5.5 Independent Examination 

As the charity's gross income did not exceed £25,000, the accounts are not required to be independently examined or audited for this period. These accounts are submitted to the Charity Commission as a standalone document.
