## **2. Structure, Governance and Management** 

Shropshire Health Foundation is a registered charity governed by its constitution adopted February 2024. 

The charity is managed by a board of trustees who meet to oversee operations and ensure compliance with the Charity Commission’s requirements. 

## **3. Objectives and Activities** 

The charity’s purpose is to support and promote health and wellbeing initiatives in Shropshire, including community health projects, improved access to care, and preventative health education. 

During the financial year the charity was **dormant** , with no income or expenditure. The charity began preparatory work for future activity, including planning the opening of its associated health clinic and developing fundraising plans. 

The Shropshire Health Clinic Ltd opened in **September 2026. This is where the finance will come to fund the charity – it was delayed due to CQC delays in assessment – we had to wait nearly a year.** The first planned fundraising activity will take place in **January 2026** . 

## **4. Achievements and Performance** 

As this was the charity’s first period of registration and it remained dormant, there were no operational activities, charitable projects, or financial transactions during the year. 

The charity focused on: 

- Establishing governance 

- Securing premises for the clinic 



- Planning future service delivery 

- Preparing for initial fundraising 

## **5. Financial Review** 

The charity had **no income and no expenditure** during the financial year. The year-end balance was **£0** . 

The charity remains financially stable and expects to begin active operations and fundraising in the next financial year. 

No reserves policy is currently required due to the charity's dormant status and zero balance. 

## **6. Public Benefit Statement** 

The trustees confirm that they have complied with the duty in section 17 of the Charities Act 2011 to have due regard to the public benefit guidance published by the Charity Commission.
