Objectives and Activities

Background and Formation

One True Message Foundation was registered with the Charity Commission as a Charitable Incorporated Organisation (CIO) on 18 January 2024. Prior to this date, the work of sharing the message of Islam had been carried out since 2014 through One True Message Ltd (company number 08909414), a private company limited by guarantee. The decision to register as a CIO was taken by the founding team in order to place the organisation’s activities on a formal charitable footing, providing greater transparency, regulatory oversight and public accountability. Upon registration, the charity assumed responsibility for the ongoing charitable activities and the assets previously held by the company were transferred to the CIO to enable the charity to continue its work without interruption.

Charitable Objects

The trustees are satisfied that the charity’s activities during the period were carried out for the public benefit. All of the charity’s resources and literature are made available to any member of the public without charge, restriction or precondition. The charity’s work contributes to public understanding of Islam and promotes interfaith awareness and social cohesion. The trustees believe that access to accurate religious knowledge is a public good, and the charity’s activities serve this purpose directly.

Volunteers

The charity is fortunate to benefit from the dedicated support of a team of volunteers who assist with the packing and distribution of literature, event coordination, content creation and administrative tasks. The trustees wish to record their sincere gratitude to every volunteer whose time and commitment have been essential to the charity’s work during this period. Without their contribution, the charity would not have been able to achieve the reach and impact described in this report.

Achievements and Performance

This is the charity’s first reporting period following its registration as a CIO on 18 January 2024. Whilst the charitable work itself has been ongoing for a number of years through the predecessor company, this period marks a significant milestone in formalising the organisation’s governance and accountability as a registered charity. The trustees are pleased to report on the following achievements:

Financial Review

The charity’s total income for the period was £50,073.15, derived entirely from voluntary donations from members of the public and the Muslim community. The charity does not engage in any trading activities, nor does it receive income from grants, investments or any other source.

Total expenditure for the period was £34,641.40, resulting in net receipts of £15,431.75. When combined with the opening cash balance of £16,703.95 transferred from the predecessor company (One True Message Ltd) upon the charity’s registration, the charity held closing cash funds of £32,135.70 at the period end.

Reserves Policy

The trustees aim to maintain sufficient reserves to ensure the continuity of the charity’s core activities, particularly the Quran distribution programme, for a reasonable period in the event of a temporary shortfall in income. At the period end, the charity held unrestricted cash funds of £32,135.70. The trustees consider this to be an appropriate and prudent level of reserves for a newly registered charity. This level of reserves is broadly equivalent to approximately eleven months’ expenditure at the current rate of spending, which provides a reasonable buffer against income fluctuations. The trustees will keep the reserves policy under regular review as the charity’s operations develop.

Structure, Governance and Management

Governing Document and Legal Structure

The charity is constituted as a Charitable Incorporated Organisation (CIO) under the foundation model and is governed by its constitution, registered with the Charity Commission on 18 January 2024. The CIO model was chosen to provide the charity with a clear legal identity, limited liability for the trustees, and a governance structure appropriate to its activities, while avoiding the dual reporting requirements of a charitable company.

History and Transition from Company to CIO

The charitable work now carried on by the Foundation has its origins in One True Message Ltd (company number 08909414), a private company limited by guarantee incorporated on 25 February 2014. One True Message Ltd was established to share the message of Islam through the distribution of Qurans and educational content. Over a period of ten years, the organisation built a substantial programme of work, distributing over 16,000 Qurans, establishing an active online presence reaching over one million people, and developing a network of volunteers and supporters across the United Kingdom.

In January 2024, the founding team took the decision to register the organisation as a Charitable Incorporated Organisation with the Charity Commission, thereby formalising its charitable status and ensuring that its activities are subject to the oversight and regulatory framework of the Charity Commission. On registration, the assets and operations of One True Message Ltd were transferred to the CIO, and the charity commenced its first reporting period on 18 January 2024. One True Message Ltd remains registered at Companies House but is not currently trading.

Appointment of Trustees

New trustees are appointed by the existing trustees in accordance with the provisions of the charity’s constitution. In selecting new trustees, regard is given to the skills, knowledge and experience needed for the effective administration of the charity and the furtherance of its objects.

Trustee Induction and Training

All trustees are provided with a copy of the charity’s constitution, the Charity Commission’s guidance “The Essential Trustee” (CC3) and relevant guidance on their legal duties and responsibilities. Trustees are encouraged to attend appropriate training to keep abreast of developments in charity governance and best practice.

Organisational Structure and Decision-Making

The trustees meet regularly to manage the affairs of the charity and make decisions collectively. There are no paid staff; the day-to-day operations of the charity are carried out by the trustees and a dedicated team of volunteers. The trustees retain overall responsibility for the strategic direction, financial management and regulatory compliance of the charity.

Related Parties

One True Message Ltd (company number 08909414) is a related entity, being the predecessor body from which the charity’s operations and assets were transferred on registration. Notes to the Accounts

1. Basis of Accounting

The accounts have been prepared on a receipts and payments basis in accordance with the requirements of the Charities Act 2011 and the Charity Commission’s guidance for the preparation of receipts and payments accounts (CC16). The charity is eligible to prepare, and has elected to prepare, receipts and payments accounts rather than accruals accounts. This is the charity’s first set of accounts following its registration as a Charitable Incorporated Organisation on 18 January 2024.

2. Funds

All funds held by the charity are unrestricted and may be applied at the discretion of the trustees in furtherance of the charity’s objects. The charity held no restricted or endowment funds during the period.

3. Transfer of Assets from Predecessor Body

On registration as a CIO on 18 January 2024, the charity received a transfer of cash funds totalling £16,806.03 from One True Message Ltd (company number 08909414), the predecessor body which had previously carried out the charitable activities. This transfer represented the cash balance held by the company at the date of the charity’s registration. The funds were transferred to the CIO to enable the charity to continue its work without interruption. The transferred funds are treated as unrestricted funds of the charity.

4. Related Party Transactions

One True Message Ltd (company number 08909414) is a related entity, being the predecessor body from which the charity’s operations were transferred. The directors of One True Message Ltd include individuals who also serve as trustees of the charity. Other than the transfer of assets described in Note 3, no material transactions took place between the charity and One True Message Ltd during the period. The trustees confirm that all transactions with related parties were conducted at arm’s length and in the interests of the charity.

5. Trustee Remuneration and Expenses

No trustee received any remuneration or benefit from the charity during the period. No trustee expenses were reimbursed during the period.

6. Independent Examination

As the charity’s gross income exceeded £25,000, the accounts are subject to independent examination in accordance with section 145 of the Charities Act 2011. The independent examiner’s report is set out on the following page.

I report to the trustees on my examination of the accounts of One True Message Foundation (the “Charity”) for the period 18 January 2024 to 7 October 2024, which are set out on the preceding pages of this document.

Respective responsibilities of trustees and examiner

The charity’s trustees are responsible for the preparation of the accounts. The charity’s trustees consider that an audit is not required for the period under section 144(2) of the Charities Act 2011 (the 2011 Act) and that an independent examination is needed.

My examination was carried out in accordance with the General Directions given by the Charity Commission. An examination includes a review of the accounting records kept by the charity and a comparison of the accounts presented with those records. It also includes consideration of any unusual items or disclosures in the accounts, and seeking explanations from you as trustees concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit and consequently no opinion is given as to whether the accounts present a “true and fair view” and the report is limited to those matters set out in the statement below.
