Trustee appointment: It was confirmed that the founding trustees will be Mark Nickolay, Wendy Nickolay and Danny Johnson. It is intended that a further two trustees will be added once the charity registration has been accepted and formal approaches can be made.

Consttuton: The Foundation Constitution dated 30-6-23 was approved by the trustees (subject to the addition of the trustees names) and approval by the Charity Commission.

Sessional Workers: The use of sessional workers (some of whom may be drawn from HCLFC) as a way of getting the charity delivering to beneficiaries as quickly as possible was approved by the trustees. Danny took no part in the discussion or the decision.

Equipment Hire: The hiring of sporting equipment from HCLFC at a competitive community rate until the charity has its own resources built up was approved by the trustees. Danny took no part in the discussion or the decision.

Payment for Services from HCLFC: The provision of some backroom services such as sessional guidance on Safeguarding and Prevent, book-keeping and general admin by HCLFC in order to get the charity up and running was approved by the trustees. Services to be purchased from HCLFC on a competitive 3 quote basis. Danny took no part in the discussion or the decision.

Conficts of Interest: The acknowledgement and management of potential conflicts of interest around the role of Danny Johnson as a director of HCLFC Limited and as a trustee of the charity was approved by the trustees. Danny took no part in the discussion or the decision.

Chairman's summary of activities
The end of 2024 and the start of 2025 were very difficult for the charity to remain as active has previous years.
Danny Johnson a trustee, had been questioned regarding his role as MD of Hull City Ladies by his business partner over the misplacement of the club funds.
I asked Danny to step down until the accusations had been answered, but then the seriousness became apparent when Danny was arrested and taken away for questioning by Humberside police.
The results are yet to be decided by CPS, but as a charity in the protection of its interests as Danny refused to resign, we suspended all activities with the exception of hearing cases from those needing help from the charity.
Danny has now been removed from the board of trustees, and Anne Wealsby has been appointed to the board. Alex remains a volunteer and will assist at events which are now in planing for 2026. As an added precaution, we have moved the banking to NatWest from Lloyds, which was initially opened by Danny on behalf of the charity
During the 24-25 season of events, we have supported over 80 girls playing football by supporting Hull City Ladies, who would have been removed from the FA (under FA rules) all levels from tier 3 football to the ETC development squads of 10-14 year olds due to Danny's actions.
Since conception in June 24 to December 25 we have raised over £27000 through donations and supported young people and ladies in mental and physical well being, to the sum of over £24000.
The new Board now hopes to move forward and continue to raise funds to support females through fitness & wellbeing in sport, even more in the future.

We have a simple model that is clarified and checked on open book basis, by all whom attend our meetings, and as such deemed that with volunteers and independents have provided an independent examination of our activities and accounting
If we are able to grow the charity it will be our intent to appoint independent auditors and accountants in the future.
