The trustees who are also directors of the charity for the purposes of the Companies Act 2006, present their report with the financial statements of the charity for the year ended 31 December 2025. The trustees have adopted the provisions of Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019).

OBJECTIVES AND ACTIVITIES Objectives and aims Our Purpose

GAiN UK exists to reveal hope and restore life to those who live in poverty and crises. We believe that every life counts and deserves to receive unconditional love and help when they need it most. Across GAiN Worldwide we have three core strategies namely: Relief, Disaster, Water.

GAiN UK carries out its objectives in these core strategies in the following ways:

Relief: GAiN UK acts as the lead agent for Bulgaria, Serbia and also the GAiN field office in South Africa. We also partner with 23 charities, NGO’s and churches in the UK with relief aid.

Disaster: GAiN UK is part of a worldwide organisation with offices in 11 countries. A Lead agent is appointed for disasters that happen after a worldwide call to decide if we have the means to help. All the offices then support the lead agent office(Country) in different ways to help.

Water: GAiN Canada is the lead agent office for the water strategy and GAiN UK supports them in doing fund raising to harvest water from boreholes to supply villages with clean healthy water.

Achievements & Performance

GAiN UK celebrated its 10th anniversary during 2025. We have supported 23 UK charities, NGO’s and Churches with aid to help those people who live under difficult circumstances in the UK. We have also sent a truck with aid to Sofia, Bulgaria bringing the total amount of boxes sent to 2,225. We have had 195 volunteers give 1,010 hours in our Involvement Centre to help us sort and pack these boxes to ensure that only the best quality items go into a box. Through our partners both in the UK and abroad, we were able to help and provide support to refugees and asylum seekers, people in long term poverty and deprivation, widows without any means of help, homeless adults and children with terminal illness and those with disabilities. We recognise that behind each number is a person, cared for and supported through our efforts.

Long Eaton and Sawley Foodbank

We are so appreciative of the clothes and shoes we have received from yourselves. We run a clothing bank and also look after many Asylum Seekers who also receive help in the way of clothes. The trainers especially went like hot cakes and were gratefully received. We just helped a gentleman who was going for an interview and had nothing suitable to wear. He ended up taking everything he needed for the interview. The quality of the clothes has been great.

OBJECTIVES AND ACTIVITIES

Thrive Together Bham

The Toys4Birmingham Christmas appeal has been receiving items from GAiN for the past 3 years. Hundreds of children and young people have received a Christmas gift from their parents, thanks to GAiN. Once when I was sorting through the GAiN boxes, I found a few pairs of school like shoes, they were all in perfect conditions. I decided to give them to a local school, where there are high poverty rates. Three children were immediately given the shoes as they did not have school shoes due to poverty. Another child, who is non-verbal and has autism, had been very unhappy and misbehaving for a few days. The teacher eventually looked at his school shoes and realised they were too small and causing him pain. They offered his parents the new shoes and the following week he was completely different - happy, free from pain and behaving himself. Thank you for helping families who sadly couldn’t afford school shoes.

St Anne’s Catholic Primary School

I would like to thank you for your wonderful donation of children's footwear and for choosing St Anne's Catholic Primary School to make a difference through your donation. Your donation can be a lifeline for those struggling and with your support, countless families will get essential support that can change their families' lives. The lack of footwear prevents children’s access to education in different ways, impacting their learning, achievement levels, and future opportunities: I just wanted to reach out and personally thank you for being one of our recurring donors. I just wanted to say how speechless I was when I walked into the Pastoral office this afternoon. I opened the rather large box and could not believe that quality and quantity of footwear that you had donated. The support that you offer is invaluable and so many benefit from your generosity. They support young individuals (aged 2 to 16) to facilitate their development and ensure inclusion through sport, regardless of economic, social, physical or psychological barriers... Feedback from our overseas partners

Full Gospel Church, Bulgaria

Our partner in Bulgaria, Filip Rashnev and his team from Full Gospel Church minister to groups of people in need. They include homeless adults and children in two temporary shelters in Sofia, Ukrainian refugees, widows in Hristo Botev Area, children in hospitals battling with leukaemia, local kindergartens, remote villages and Roma communities. They have sent us regular updates and feedback from those who have received and benefitted from the aid sent. Each story tells of how much the help means to them in their time of need:

Throughout this year, we (Filip and his team) continued to serve Ukrainian refugee families who come to us bi-weekly for help. Many are still struggling to rebuild their lives after losing everything. Each visit is a moment of restoration. One story that deeply touched our team is that of a mother of five children, who fled the war with nothing but a few bags and her faith. She comes regularly to receive food and clothing for her little ones. With tears in her eyes, she told us recently: "I don’t know how we would survive without you. You look after my children like they are your own. You’ve given them shoes when their feet were cold, food when their stomachs were empty, and joy when they had none left. May God bless you for not forgetting us."

OBJECTIVES AND ACTIVITIES

A tragic and unexpected event marked this year - a local government demolition of half a neighbourhood, which instantly left many families homeless. Entire homes were torn down without adequate notice or planning. In the chaos that followed, our team mobilised immediately. For several consecutive days, we were present on-site, supplying affected families with emergency food, clean water and clothing and shoes. The shock on their faces slowly turned to relief as they saw we were not leaving them alone in their darkest hour. We witnessed children hugging shoes as if they were treasure. One elderly man whispered, "You came faster than anyone else. Thank you for caring."

Perhaps the most delicate and heart-wrenching moment of the year was our visit to five children battling leukaemia - all from poor backgrounds. They are currently undergoing treatment in hospital. The hospital allowed us to bring shoes and small gifts directly into the paediatric ward. Despite their pain and frailty, the children lit up with joy. One young boy, no older than 7, grinned and said, "Now I can walk like a superhero." This moment reminded us that compassion can shine even in the shadow of illness.

Goods for Good project in Sierra Leone

In Sierra Leone, rural teachers, medical workers in community clinics and those young people working in stone-breaking quarries are the recipients of aid that has been sent by Goods for Good, one of our partners. Teachers and medical workers earn between £45-£50 a month, with many experiencing long delays before receiving their pay. A lot of these teachers and medical practitioners walk long distances to get to work, so the clothing and shoes we supplied brings a lot of relief and dignity to teachers and healthcare workers in rural areas. Many young people who work as stone breakers in quarries have also benefitted from the aid. They do this back breaking work to help bring income to their families. Our partner also works with albino communities, amputees, schools, family clinics and other areas of extreme poverty.

Public benefit

The Trustees confirm that they have taken into consideration the Charity Commission’s general guidance on public benefit in planning and delivering our activities. We ensure that our work remains focused on our primary charitable object: the prevention or relief of poverty anywhere in the world. By mobilising humanitarian aid, providing essential services such as clean water and disaster relief, and empowering vulnerable communities through long-term development projects, GAiN UK provides an identifiable benefit to the public. Our assistance is provided based on need, without discrimination, ensuring that the benefit is directed to a sufficient section of the public - specifically those facing crisis or ingrained poverty. The Trustees are satisfied that the charity’s activities are exclusively for the public benefit and that any private benefit arising from our operations is purely incidental to the achievement of our charitable aims.

Future Plans

We will continue our work in the UK and we have more requests from local Charities, NGO’s and churches to be added to our existing partners. We have a vetting process and we will add those that meet our values to extend more help in the UK. We are planning to send a truck of aid to Bulgaria and Serbia and keep on helping and supporting the lead agents who work in disaster areas. We have a sponsor for a water well and church plant in Benin and will keep on with fund raising efforts to help more villages to have access to clean water. We also plan to send a project team to Benin to support the local staff there.

Volunteers

GAiN UK is blessed by the contribution of the many volunteers that get involved with various aspects of the organisation. We are thankful for all those who freely give their time to serving alongside us and want to acknowledge the part they play in helping GAiN UK to fulfil its mission.

STRUCTURE, GOVERNANCE AND MANAGEMENT

Governing document

The charity is controlled by its governing document, a deed of trust, and constitutes a limited company, limited by guarantee, as defined by the Companies Act 2006.

The company is established under a Memorandum of Association which sets out its objects and powers as a charitable company and is governed under its articles of association, dated 21st September 2023.

STRUCTURE, GOVERNANCE AND MANAGEMENT

The Trustees

The trustees, under charity legislation, have and accept ultimate responsibility for directing the affairs of the charity, and ensuring that it is solvent, well-run, and delivering the charitable outcomes for the benefit of the public for which it has been set up.

The trustees, who are also directors under company law, who served during the year and up to the date of this report are listed in page 1 of this report. Members (including trustees) of the charity guarantee to contribute an amount not exceeding £1 to the assets of the charity in the event of winding up.

Trustees’ indemnity insurance (TII) of £500,000 is provided as part of the comprehensive charity insurance policy purchased by GAiN UK. It is not possible to separately identify the cost of the TII element of this policy.

Appointment of new trustees

The application process and future training requirements for new and existing Trustees will continue to be reviewed on a regular basis. Before appointment, trustees must attend at least one trustee meeting as an observer and submit an application form complete with references.

Newly appointed Trustees are provided with a copy of the governing documents and the latest set of published accounts.

Organisation

Global Aid Network (GAiN) is a worldwide relief and development organisation first established in 1998, that has since grown to nine resource offices working together in nearly 40 countries. We are the humanitarian partner of a global Christian charity, mobilising people from across different backgrounds to respond in practical ways to poverty and crisis.

GAiN UK was officially registered as a charity and incorporated company in 2023 and is the charitable subsidiary of Agape Ministries Limited (trading as Agapé UK), a Christian organisation and part of Campus Crusade for Christ International.

GAiN UK is overseen by the Trustees who meet 3 to 4 times a year, with one of the Trustees being the National Director of Agapé UK. Day to day management and governance is delegated to the Managing Director of GAiN UK, who manages a small team of staff and volunteers to gather and distribute humanitarian aid, and communicate the needs of those suffering from humanitarian crises and poverty. The Director is accountable to the Trustees and reports are submitted as required to Companies House and the Charity Commission.

Agapé UK provides infrastructural capacity for GAiN UK, supplying Finance, Technology, and Leadership Development & Human Resources (LDHR) functions on their behalf. A management charge is paid to Agapé UK equating to 9.5% of all locally generated income (excluding GIK). This management fee was waived for 2025 as a gesture of goodwill in GAiN UK’s first year of independent operations.

Systems are in place for line management, appraisal, staff development, and supervision, together with grievance and complaints procedures.

Risk management

During 2025, the risk management register was reviewed regularly by the Trustees and they considered the implications of the risks identified. At the end of the year, the Trustees were satisfied that the major risks to GAiN UK have been assessed and in particular those related to the governance, staff, strategy, finances, and operations of GAiN UK, and are satisfied that systems are in place to mitigate exposure to these risks. Reporting procedures are in place to monitor income and expenditure, with a reserves policy that is reviewed regularly.

The Charity is aware of its responsibilities to manage risk and appreciates updated information on this matter from its solicitors and other professional advisors.

Overview of Financial Position

The total income for the year ended 31 December 2025 was £621,552 (nil in 2024). This income primarily reflects generous financial donations and Gifts in Kind from individual supporters, partner organisations, and institutional grants. Total expenditure for the period was £580,314 (nil in 2024), giving a surplus for the year of £41,238 (nil in 2024).

Gifts in Kind consists mainly of clothing, with the majority donated to GAiN UK by Adidas UK.

Reserves Policy

The Trustees have established a reserves policy to protect the charity’s core activities from short-term fluctuations in income. It is the policy of the charity to maintain unrestricted funds (which are the free reserves of the charity) at a level which equates to approximately 3 months of unrestricted charitable expenditure. For 2025 this equals £13,311.

At the year end, free reserves, being unrestricted funds of £27,475 less fixed assets of £7,546 totalled £19,929, so the reserves are adequate but not excessive.

Going Concern

After making appropriate enquiries, the Trustees have a reasonable expectation that the charity has adequate resources to continue in operational existence for the foreseeable future. For this reason, they continue to adopt the going concern basis in preparing the financial statements.

Independent examiner's report to the trustees of Global Aid Network UK ('the Company')

I report to the charity trustees on my examination of the accounts of the Company for the year ended 31 December 2025.

Responsibilities and basis of report

As the charity's trustees of the Company (and also its directors for the purposes of company law) you are responsible for the preparation of the accounts in accordance with the requirements of the Companies Act 2006 ('the 2006 Act').

Having satisfied myself that the accounts of the Company are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of your charity's accounts as carried out under Section 145 of the Charities Act 2011 ('the 2011 Act'). In carrying out my examination I have followed the Directions given by the Charity Commission under Section 145(5) (b) of the 2011 Act.

Independent examiner's statement

Since your charity's gross income exceeded £250,000 your examiner must be a member of a listed body. I can confirm that I am qualified to undertake the examination because I am a member of the Institute of Chartered Accountants in England and Wales, which is one of the listed bodies.

I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe:

  1. accounting records were not kept in respect of the Company as required by Section 386 of the 2006 Act; or

  2. the accounts do not accord with those records; or

  3. the accounts do not comply with the accounting requirements of Section 396 of the 2006 Act other than any requirement that the accounts give a true and fair view which is not a matter considered as part of an independent examination; or

  4. the accounts have not been prepared in accordance with the methods and principles of the Statement of Recommended Practice for accounting and reporting by charities (applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102)).

I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.

1. STATUTORY INFORMATION

Global Aid Network UK is an incorporated charity, registered in England and Wales and is Registered Charity number 1206235. The principal address is 167 Newhall Street, Birmingham, B3 1SW.

The presentation currency of the financial statements is the Pound Sterling (£).

The figures in these accounts are rounded to the nearest whole Pound.

2. ACCOUNTING POLICIES

Basis of preparing the financial statements

The financial statements of the charitable company, which is a public benefit entity under FRS 102, have been prepared in accordance with the Charities SORP (FRS 102) 'Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019)', Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' and the Companies Act 2006. The financial statements have been prepared under the historical cost convention.

Going concern

After making appropriate enquiries, the Trustees have a reasonable expectation that the Charity has adequate resources to continue in operational existence for at least 12 months from the date of approval of the financial statements. For this reason, they continue to adopt the going concern basis in preparing the financial statements.

Income

All income is recognised in the Statement of Financial Activities once the charity has entitlement to the funds, it is probable that the income will be received and the amount can be measured reliably.

Expenditure

Liabilities are recognised as expenditure as soon as there is a legal or constructive obligation committing the charity to that expenditure, it is probable that a transfer of economic benefits will be required in settlement and the amount of the obligation can be measured reliably. Expenditure is accounted for on an accruals basis and has been classified under headings that aggregate all cost related to the category. Governance costs

Governance costs include all costs involving the public accountability of the charity and its compliance with regulation and good practice. These costs include costs related to the independent examiners report and other sundry expenditure.

Tangible fixed assets

Depreciation is provided at the following annual rates in order to write off each asset over its estimated useful life.

Plant and machinery - 33.33% on cost Motor vehicles - 33.33% on cost

Taxation

The charity is exempt from corporation tax on its charitable activities.

Fund accounting

Unrestricted funds can be used in accordance with the charitable objectives at the discretion of the trustees.

Purposes of restricted funds

GAiN South Africa

GAiN UK is responsible for overseeing GAiN South Africa and as such, subsidies from GAiN Worldwide for South Africa are processed through the UK, as well as a contribution from the UK office. These funds are solely for the use of the GAiN South Africa office and are forwarded to them.

Haiti Child Sponsor

These funds are for the sponsorship of children in an orphanage in Haiti that is administered by GAiN Netherlands. The Charity has one donor who donates through the UK for this project and the funds are passed on to the Netherlands.

GAiN Relief

The funds are used specifically for the responses to ongoing poverty and humanitarian crises, largely but not limited to refugees.

GAiN Disaster

These funds are used specifically for the response to humanitarian crises brought about by sudden environmental, geopolitical or other circumstances eg: earthquakes, wars, famine.

GAiN Water for Life

These funds are used to support the Water for Life initiative to build wells in communities where clean water sources are limited. The initiative also focuses on establishing churches in these communities where there is spiritual openness, and is primarily being supported across communities in Benin.

14. ULTIMATE PARENT COMPANY

Agape Ministries Limited (Charity number 258421, Company registration number 00949989) is the ultimate parent company.

15. RELATED PARTY DISCLOSURES

The charitable company has taken advantage of exemption, under the terms of Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland', not to disclose related party transactions with wholly owned subsidiaries within the group.
