Cholsey Day Centre Trust, the Charitable Incorporated Organisation no 1205730, was set up in November 2023 with the intention of transferring the assets and liabilities of the existing charity no 900522 to a form of organisation more likely to be able to attract younger trustees through limiting the liability associated with the existing Trust set up in 1992.
There have, however, been problems with the transfer of the Day Centre lease. This expired shortly before the pandemic and negotiations stalled over this period, with the charity holding over on the original lease. The Commission asked that this negotiation be completed before the transfer from Trust to CIO could be completed. After a very lengthy period of negotiation the draft is now with the landlords for signature and completion is anticipated before the end of 2025.
The Commission also raised questions about the trustees of the two bodies being the same, and these questions have still to be resolved. The trustees felt that it would be more appropriate to address this matter after the lease had been finalised as the final step for the transfer, a decision whose wisdom was shown by the inordinate length of time the lease has taken to finalise.
As such, the Day Centre CIO has been effectively dormant for over a year but the trustees of the original Trust remain committed to this process as the most effective way to move forward. The old Trust is complex and old-fashioned, and the structure of the CIO, as created in this dormant charity, is a much more accessible and clear presentation of the requirements for sound management and administration.
