## **Structure, Governance and Management** 

TSYP is a Company Limited by Guarantee (registration number 13056032) and a registered charity (charity number 1205619). The charity is governed by Memorandum and Articles of Association, updated on 19 October 2023. 

The Trustees are also Directors for the purposes of the Companies Act. Trustees are appointed in accordance with TSYP’s Articles of Association. 

TSYP’s Trustees/Directors are responsible for managing the day-to-day operations of the charity and have the final say on what the charity does or decides to do. They have independent control over, and legal responsibility for, TSYP’s management and administration. They can exercise all the powers of the charity unless they are constrained by the law or restrictions set out in the Articles or by a special resolution. 

They are supported in delivering the charity’s work by a Management Team of six volunteer members, who are all experts in their particular field and who assist the Trustees in meeting the organisation’s aims and objectives. 

The Trustees/Directors met as a Board five times this year. They meet with the Management Team quarterly to review/discuss operational issues, progress, and proposed changes while the Trustees approve any policy and / or operational changes. 

The Trustees are grateful for the support from TSYP’s Legal Members who contributed knowledge and wise counsel to the organisation this year, especially during the process of achieving charitable status. 

## **Directors / Trustees’ Responsibilities** 

The directors/trustees are responsible for preparing the Trustees Annual Report and the financial statements in accordance with applicable law and regulations. Company law requires the directors to prepare financial statements for each financial year. Under that law the directors have elected to prepare the financial statements in accordance with United Kingdom Generally Accepted Accounting Practice (United Kingdom Accounting Standards and applicable law). 

Under company law the directors must not approve the financial statements unless they are satisfied that they give a true and fair view of the state of affairs of the company and of the profit or loss of the company for that period. 

The directors are responsible for keeping adequate accounting records that are sufficient to show and explain the company’s transactions and disclose with reasonable accuracy at any time the financial position of the company and enable them to ensure that the financial statements comply with the Companies Act 2006. 

We continue to implement the Charity Commission’s requirements that involved: 

- Reports, Policies and Procedures are updated, scrutinised and ratified on a rolling programme set out in line with the Strategic Plan. 

- Forward Plan for Governance and meetings drawn up to ensure statutory compliance. 

- Recording of Volunteer hours has been introduced. 

- Anti-Money Laundering policy has been put in place 

- A comprehensive Access Addendum to the EDI policy is being progressed. 

For the year 2024 accounts have been prepared in accordance with company law and the Charity Commission.  These will be delivered in accordance with the special provisions applicable to companies

subject to the small company’s regime. The profit and loss account has not been delivered to the Registrar of Companies.

## **ANNUAL REPORT** 

## **Chair’s Statement** 

2024 

We continue to demonstrate our determination to meet our strategic aims and objectives, and the past year has been one of steady progress, meeting our key objectives that were outlined in the previous year’s Annual Report. As a charity, we have provided the wider community, both directly in our many free offerings and indirectly through the pro-bono work of our teachers and therapists.  We have also provided financial support to a number of students on our Yoga teacher training and Vedic Chant teacher training courses. 

By the end of 2024 TSYP’s membership had changed from 235 to 239 of which 225 were paying members at the end of the year, compared to 221 at the beginning of the year, with 5 free accounts.  We continue to generate interest both from the UK and from countries around the world and welcome subscribing members who support our mission from Europe, North America, India and New Zealand. Their interest and engagement in our work has enriched both the life of our charity and the quality of activities we have been able to provide for public benefit. Members and non-members from around the world regularly register for our workshops and events, using the knowledge and skills gained to enhance their work for the benefit of their students and the care seekers who come to them. 

One of the highlights of the year was the joint on-site event with our sister organisation, the Association for Yoga Studies (aYs) in October 2024.   The theme was _The Power of Sound to Connect,_ and we were delighted to welcome R Sriram and Mekhala Desikachar as our plenary speakers.  This was our first major live event post-Covid and it was wonderful to see so many friends in person. 

We provided 22 free public events and were able to support 4 people with bursaries/financial assistance totalling £1,597, and interest-free loans to 2 students, one of whom has repaid in full, while the other is currently repaying 50% of that loan.  This has enabled them to continue/complete their training in time of need. In addition, the Trustees have been grateful that so many of our teachers see individuals for free or reduced cost and provide voluntary services in their communities. These involve care homes, hospices, and women associated with Refugee Action charity. 

In 2024, our Yoga Therapy course that started in 2023, received accreditation by the British Council for Yoga Therapists (BCYT).  Selected online modules of the yoga therapy course were offered as CPD qualifying short courses of eight or ten hours each to a wider audience.  Over the year we provided 6 online modules and 2 on-site training modules for our diploma course students.   The online modules covered a range of topics, including mental health issues, using yoga therapy tools therapeutically, and learning from case studies.   In total we provided 6 online modules over the year, with 40 registrants, some of whom were nonmembers. 

Supporting of all our activities are an amazing group of dedicated and hard working volunteers who give of their time and energy for free. We have approximately 30 people who help by planning and promoting our courses, events and workshops, writing articles and newsletters, providing IT support, or the detailed task of editing and updating the Vedic chants on our website.  They donated an estimated 3,250 hours in 2024. Without them TSYP would not be able to function, so thank you – you demonstrate the best qualities of a yogi. 

On this subject, it is with great regret that Helen Saaler has decided to step down as Treasurer.  She has been a great Treasurer, and we will miss her.  However, she has agreed to continue as a Trustee to ensure safe handover.  Thank you, Helen, you deserve a medal for all your hard work.  Other changes include Helen

Macpherson standing down as Head of Chanting and as a Legal Member and Andy Curtis-Payne, who has decided to step away from TSYP.  Andy was the first chair of TSYP and helped get it established in its early years. ## **Our Purpose** 

The Society of Yoga Practitioners is dedicated to improving the quality of life through the power of yoga. Our focus is on teaching you, the person in front of us, using all the tools of yoga including breath, meditation, sound and philosophy as appropriate. We deliver yoga and yoga therapy and offer all levels of training, workshops and events of the highest calibre 

TSYP is a not-for-profit yoga charitable organisation providing a community for all those who share the belief in yoga’s power to alleviate suffering. In this we build upon the principles laid by Professor Krishnamacharya, the ‘father of modern yoga’, and his son, TKV Desikachar and aim to promote the wider understanding and uptake of its benefits by the general public. 

## **Our Objectives and Public Benefit** 

The Trustees have considered the Charity Commission’s guidance on public benefit as set out in the Charities Act 2011 and believe that the requirements have been met at all times. We ensure that TSYP’s activities only serve the purposes (objects) set out in TSYP’s Articles and that our purposes and activities are for public benefit in compliance with charity law.  These include the need to: 

- Advance the practice of yoga in the tradition of Professor T Krishnamacharya and TKV Desikachar, adapting their philosophy and practices for current times to promote physical and mental health and alleviate suffering. 

- Promote wider understanding of the benefits of this tradition of yoga and increase its take-up by the general public. 

- Ensure the public have access to high quality teaching by fostering a community of appropriately qualified teachers and therapists, and by supporting the growth of individual and collective knowledge through study, research and professional development. 

## **What We Do** 

## **Public Events and Resources:** 

We provide a range of activities many of which are available to all and provide benefit to all.  In 2024 these included: 

- **11 free monthly chant sa ṅ ghas** that are open to all. 

- **Free chant resources** on our website that are available to all. 

- **11 free monthly āsana practices** that are open to all. Between 41and 87 people sign up for these āsana practices, with approximately 22% of them being non-members.  These practices were gifted for free to all email subscribers in December 2024. 

**Free teacher and student resources** via our website. 

**Bursary and Financial Assistance Provision** for all events and training.

## **Training Activities:** 

1. Training of the highest quality to Yoga Practitioners, those who wish to become Yoga Teachers, Yoga Therapists and Vedic Chant Teachers. 

2. Support to our teachers who research and publish books and/or papers. 

3. Mentoring and Supervision for our Trainee Teachers, Therapists and Teachers to maintain the highest level of yoga and support our aim of making it available to the general public. 

4. A community for teachers, therapists, students, practitioners, and others interested in TSYP’s approach to yoga. 

## **This year we also:** 

In April 2024 15 students successfully completed our first 2-year Vedic Chant teacher training course 

- Later in the year 4 students completed the Vedic Chant Foundation course 

- Our new, 500-hour yoga teacher training course passed its British Wheel of Yoga Qualifications (BWYQ) external quality assurance review with flying colours. The assessor provided a detailed report but was able to say that she could: ” _…confirm that the skills of the Tutors/assessors and the IQA[1] is of a high standard to deliver training for the BWYQ regulated Level 4 Qualification in Teaching Yoga.”_ 

## **Key Events in 2024** 

In addition to our free monthly chant and āsana practices, our programme of activities included: 

- **Mind Your Mind Guest Lecture Series** – a monthly series that began in October 2023 and ended in March 2024.  The lectures continued the theme from our online Conference in 2022, focusing on how yoga can support mental health.  The lectures were delivered by a group of eminent international yogis and ayurvedic practitioners with 79 registrants for the series, 8 of whom were non-members. 

- **Online workshops** – 58 people registered for workshops that studied classical yoga texts such as the Yoga Sūtra-s and Patanjali’s Philosophy. 

- **Yoga therapy training course –** 3 students enrolled for the full diploma course while 40 signed up for the six online modules that were delivered in batches of 4 weekly sessions over the year. 

- **Developing a meditative practice** – a series of 10 meditative practices that had 39 registrants, 7 of whom were non-members. 

- **Joint in-person event with aYs in October 2024** – 64 TSYP members and non-members registered to either attend or to pay for recording if they were unable to attend. 

## **Education and Training** 

We continue to offer a strong programme of education to disseminate the teachings of Professor Krishnamacharya and TKV Desikachar and increased the number of Yoga Teachers, Yoga Therapists and Vedic Chant Teachers offering these teachings.  These include: 

> 1 Internal Quality Assurance

- Continuation of our **new 500-hour Yoga Teaching Diploma** (BWYQ, Ofqual Level 4 accredited). 

- Completion of our two-year **Vedic Chant Teacher Training course** in April 2024, with 15 students successfully completing this course. 

- Continuation of our **new 700-hour Yoga Therapy diploma** (BCYT accredited).  This course is available both as a full Diploma course and as online modules that are open to both members and non-members. The three students who enrolled for the full diploma attend both the online tutorials and on-site trainings.  For the diploma course students, we delivered four modules comprising 16 full days of in person teaching. These modules were available as CPD and two of the modules were attended by a student not registered for the diploma. The online modules have attracted greater numbers than the full diploma course but enabled those already practising as yoga therapists to consolidate their knowledge. 

- Offered **Mentoring courses** for those who are teaching Yoga and working in Yoga Therapy. 

- One **Yoga Foundation Course** was delivered and completed in December 2024 with 11 learners receiving their Foundation Course Certificate. 

- The **Yoga Foundation Course syllabus** was reviewed and a revised syllabus made available for FC tutors 

## **Governance** 

Following our successful application for Charitable Status in November 2023 we are developing new outreach programme of activities in addition to our current offerings of free monthly āsana practices and chanting sessions.  Our new offerings will include free short āsana practices that will be available to all on YouTube. 

We ensure that: 

- TSYP’s activities only serve the purposes (objects) set out in TSYP’s Articles. 

- TSYP’s purposes and activities are for public benefit in compliance with charity law. 

- TSYP maintains its financial stability and an established Board of Trustee/Directors. 

## **IT and Support Activities** 

Following receipt of our charitable status, we applied to Microsoft’s Tech for Social Impact programme and were delighted to be accepted.  This enables TSYP to have free web-based access and usage of their MS 365 software and increased cloud-based storage capacity, using OneDrive and SharePoint.   In addition, the IT team are working to achieve tighter server and web security to protect our data.  We have now migrated our email accounts and are currently migrating our cloud-based documents to the new platform. 

Improving our website formed one of the key strategic priorities for 2024-2025 so that we can provide: 

- An open gateway to TSYP for the public and members alike. Clear messaging in plain English as well as accessible fonts. 

- Promotion of our Teachers and Therapists so that those seeking help can find someone easily.

Like most small, charitable organisations, obtaining volunteers with relevant skillsets is always a challenge. Our use of technology helps us reduce labour-intensive administrative tasks.  We therefore evaluated options for upgrading our database but decided to prioritise the re-development of our website.  Work began in 2024 but due to unforeseen circumstances, we had to change our website developer. This work is now in progress using in-house resources. 

## **Progress in Achieving Strategic Plans for 2024-2025** 

TSYP made huge progress in 2024 in delivering against our strategic objectives, that were agreed by the Management Team, Legal Members and Trustees initially in September 2022, and reviewed in 2023.  We are delivering against all of our strategic objectives.  These include: 

1. Financial assistance - In 2024 we provided financial assistance to 4 students who were accepted for our both our Yoga and Vedic Chant teacher training. In addition, support was provided to one student on a Foundation course and another who attended the series of lectures on the Yoga Sūtra-s. 

2. Outreach programme - We set up a sub-committee to explore further ideas to grow the range of activities we offer to the public in furtherance of our commitment to the community as a charitable organisation.  The first offering was a free series entitled _Yoga for Darker Times_ that was delivered between January to March 2025. 

3. Flexible training - Our yoga therapy diploma course is delivered both as a modular course and as a full diploma course. The aim was to make attendance more flexible to meet the needs of all, including those unable to undertake a full course or who just want refresher training.  This has been achieved, with 105 members and non-members participating in online modules in 2024. 

4. Co-operation with other organisations in our tradition - We held a very successful joint residential event with the Association for Yoga Studies (aYs), on The Power of Sound to Connect. The plenary speakers are eminent Vedic Chant teachers based in India, Europe and America.  Practical workshops were led by teachers from both organisations. The event was open to all and attended by 90 residential and 5 non-residential.  Of this number 45 were TSYP members and recordings were also made available to those unable to attend in person. 

5. Work is in progress to upgrade our website services, and we are migrating to a Microsoft environment to provide greater security and resilience to our technical environment. 

6. We agreed that we needed to seek ways to harness and grow our community support services.  In 2024 a small team was established to develop plans for our new, public outreach programme.  These began in 2025 with a series of free short practices, available to all through YouTube, with the theme of _Yoga for Darker Times_ .  These resources will also form the basis of a new outreach project to charities and other service providers who serve as intermediaries to the public, thus enabling us to reach a wider audience. 

## **Plans for 2025-2026** 

- Continued roll out of changes to ensure compliance with Company Law and Charitable Status requirements 

- Our new 300-hour Progression to Yoga Teaching diploma/Yoga Journey was postponed. The structure of the course has been reviewed and is now planned for commencement February/March 2026.

The current Yoga Therapy course will deliver 

- Three more online modules offered as CPD. 

- Online tutorials and additional theory teaching for diploma students. 

- Eight more in person days focusing on casework and involving a number of TSYP teachers/therapists who have not yet taught on the course. 

Deliver 500 hour Yoga Teaching Diploma from Autumn 2026 

Begin the next Yoga Therapy Diploma from Autumn 2026 

- Plans to deliver a Vedic Chant Foundation Course starting in March 2026 

- Review the Meditation CPD module for future delivery – it was postponed as the numbers were not viable to deliver in proposed format with residential aspect. 

International Association of Yoga Therapist (IAYT) accreditation is underway. 

- The next Yoga Foundation Course is scheduled to start in September 2025 with 7 students currently enrolled 

Further revision of Teacher Trainer Pathway. 

Work with Foundation Course Officer to deliver Foundation Course Tutor Training. 

Delivery of further Mentoring Training. 

A next online series of our Guest Lecture series will start in October 2025.  Six eminent international yogis have agreed to speak on a number of topics based on the key topic: _Dharma in the 21st Century – An Exploration of Our Responsibilities in the World Today._ ”

## **Financial Report from the Treasurer**

## **Treasurer’s Report** 

TSYP Ltd is a Company Limited by Guarantee and a Registered Charity. The Board has contracted John Rudkin BA ACA to finalise the 2024 accounts then file them with Companies House, the Charity Commission and with HMRC as appropriate. 

The TSYP Ltd company business bank account with Virgin Money was moved to a Charity account in 2024 to reflect the change in legal entity. A charity savings account will be opened in 2025 to hold the reserve. 

The previous accounts for the full year (1/1/23 – 31/12/23) were filed in September 2024. 

The 2024 accounts have to be filed by 31st December 2025 with Companies House. The accounts have been presented for the whole period from (1/1/24 – 31/12/24). TSYP Ltd became a charity in December 2023, so this year is the first year to file the accounts with the Charity Commission.  The accounts take the December 2023 transactions into account. See below. 

The Places and Training Fund balance has been reserved for future use for prospective students for free training and/or subsidising training for practitioners. This created alignment with the non-profit status of the organisation and was considered appropriate and prudent. 

Note that the Board is presented with more detail on the profit and loss account during quarterly General Meetings so that the Directors are aware of the ongoing financial status. 

The Joint Convention with the Association of Yoga Studies and the online short course events in 2024 ran according to budget (full cost recovery) or contributed to funds. 

The 2023 – 2025 Teacher Training course continued but the number of students is not sufficient to cover the total projected costs so is likely to make a small loss over the 3 years. The TSYP board has considered the course essential to work towards the organisation’s objectives so will subsidise the course from the Places and Training Fund. Future courses will need to take this learning and experience into account during the planning phase. 

The 2022-2024 Vedic Chant Teacher Training Course concluded in 2024 with 15 students successfully qualifying. It was budgeted on full cost recovery with this number of students but some of the costs escalated during the course and it made a small loss.  This loss was covered by the Places and Training Fund. Three students received bursaries from the fund which allowed them to complete the course. 

Concessions or instalment payments were given to all those who requested these according to TSYP policy. 

I will step down as Treasurer in July 2025 at the AGM and hand over to the newly elected Treasurer.  A Financial Assistant will be required to ensure the day to day transactions are progressed.  This may need to be a contracted position if no volunteer comes forward to take on the role.

I report to the charity trustees on my examination of the accounts of the company for the year ended 31 December 2024 which are set out on pages 14 to 23. 

## **Responsibilities and basis of report** 

As the charity trustees of the company (and also its directors for the purposes of company law) you are responsible for the preparation of the accounts in accordance with the requirements of the Companies Act 2006 (‘the 2006 Act’). 

Having satisfied myself that the accounts of the company are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of your company’s accounts as carried out under section 145 of the Charities Act 2011 (‘the 2011 Act’). In carrying out my examination I have followed the Directions given by the Charity Commission under section 145(5)(b) of the 2011 Act. 

## **Independent examiner's statement** 

I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe that in any material respect: 

1. accounting records were not kept in respect of the company as required by section 386 of the 2006 Act; or 

2. the accounts do not accord with those records; or 

3. the accounts do not comply with the accounting requirements of section 396 of the 2006 Act other than any requirement that the accounts give a ‘true and fair view’ which is not a matter considered as part of an independent examination; or 

4. the accounts have not been prepared in accordance with the methods and principles of the Statement of Recommended Practice for accounting and reporting by charities applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102). 

I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.

## **1. Accounting policies** 

- a) The financial statements have been prepared in accordance with Accounting and Reporting by Charities: Statement of Recommended Practice applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2015) - (Charities SORP (FRS 102)), the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) and the Companies Act 2006. 

The charity constitutes a public benefit entity as defined by FRS 102. 

In preparing the accounts, the trustees have considered whether in applying the accounting policies required by FRS 102 and the Charities SORP FRS 102 a restatement of comparative items was needed. 

## **Going Concern** 

The Trustees have reviewed the level of reserves and future plans and activities of the charity and are satisfied that the charity is a going concern. 

- b) Income is recognised in the period in which TSYP is legally entitled 

   - it is probable that the income will be received and 

   - ● the amount can be quatified with reasonable accuracy. 

- c) Expenditure is recognised in the period in which it is incurred. Resources expended include attributable VAT which cannot be recovered. Certain expenditure is directly attributable to specific activities and has been allocated to those cost categories. Where these costs are attributable to more than one activity, they have been apportioned to the individual activities on the basis of the time spent on those activities. Support cost, where applicable, have been allocated in accordance with the requirements of the Statement of Recommended Practice. 

Support costs are those costs incurred indirectly in support of expenditure on the objects of the charity and include organisational management and administration of the charity.

- d) Donated gifts and services are recognised as income when the charity has control over the item and the economic benefit can be measured reliably. Such goods and services are recognised on the basis of the value that the charity would have been willing to pay to obtain such services or facilities on the open market. 

- e)Depreciation is provided at rates calculated to write down the cost of each asset to its estimated residual value over its expected useful life. The depreciation rates in use are as follows: 

Equipment 33 ⅓% per annum Furniture and fittings 20% per annum 

Items of equipment are capitalised where the purchase price exceeds £1,000. 

- f) The charity has no employees and does not make any pension contributions. 

- g)Restricted funds are to be used for specific purposes as laid down by the donor. Expenditure which meets these criteria is charged to the fund together with a fair allocation of management and support costs. 

- h) Unrestricted funds are donations and other incoming resources receivable or generated for the objects of the charity. 

- i) Designated funds are unrestricted funds earmarked by the Trustees for particular purposes. 

- j) Transfers from unrestricted funds to restricted funds are made to compensate for shortfalls on activities not fully covered by specific funds. 

- k) Rentals payable under operating leases, where substantially all the risks and rewards of ownership remain with the lessor, are charged to the statement of financial activities in the year in which they fall due.

The key management of the charitable company comprise the trustees. The trustees do not receive any remuneration for this role.
