## **1. Reference and Administrative Details**

## **2. Structure, Governance and Management** 

The charity is governed by its Constitution (2023). The trustees are responsible for oversight and compliance, while day-to-day running is delegated to the Executive Committee. Members support through subscriptions, volunteering, and participation. The Priest-in-charge of St Tudwal’s Church serves ex officio as trustee or may nominate a representative. 

The Executive Committee met regularly during the year to coordinate fundraising and engagement activities, reporting to the trustees. 

## **3. Objectives and Activities** 

The charitable object is: 

“To maintain, repair, restore, preserve and develop, for the benefit of the community and general public, the fabric of St Tudwal’s, Llanstadwell and its grounds in the county of Pembrokeshire.” 

The Friends work in partnership with the Church Committee and local community to safeguard the building and enable wider use. 



Main activities in 2023–2024 included: 

- Establishing the charity’s governance, bank account, membership, and financial systems. 

- Launching a membership scheme and “Friends” supporter network. 

- Developing a fundraising strategy combining donations, merchandise, community events, and grant applications. 

- Organising annual and “pop-up” events to raise both funds and awareness. 

## **4. Public Benefit Statement** 

The trustees confirm that they have complied with the duty set out in section 17 of the Charities Act 2011 to have due regard to the Charity Commission’s guidance on public benefit. 

By preserving St Tudwal’s church building and its grounds, the charity benefits the public by: 

- Protecting a historic place of worship and heritage asset. 

- Providing a safe and sustainable venue for religious services, community events, and cultural activity. 

- Encouraging local engagement, volunteering, and community identity. 

## **5. Achievements and Performance** 

The first year of operating was all about setting in place the right governance structure to allow the charity to go forward. This included defining accountabilities of the charity, the communication protocols between the Charity, the church committee and the congregation, establishing the bank account and signatory process, creating the process for membership and launching the charity( this included the sale of the prints). We also had one quiz night at the then Alumchine. 

## **6. Financial Review** 

The charity’s first accounting period ran from 19 October 2023 to 31 December 2024. 

- Income: £3,679.85 

   - Membership fees: £1,430.00 

   - Donations: £1757.95 

   - Merchandise sales: £491.50 

- Expenditure: £891.55 

   - Merchandise: £750.00 

   - Printing & stationery: £81.43 

   - Event costs (piano tuning, raffle, etc.): £50 

   - Bank fees: £10.12 

- Net Income: £2,788.30 

- Closing Reserves at 31 December 2024: £2,788.30 



Reserves policy: The trustees aim to build a modest reserve to cover urgent fabric repairs, while ensuring the majority of funds raised are directed to preservation and enhancement projects. 

No grants were received during this first period; all funds were raised through local activity, donations, and membership.

## **7. Statement of Trustees’ Responsibilities** 

The trustees are responsible for preparing the Trustees’ Annual Report and the financial statements in accordance with applicable law and regulations. They must ensure that: 

- Proper accounting records are kept. 

- Financial statements comply with the Charities Act 2011. 

- Assets are safeguarded and used only for charitable purposes. 

## **8. Independent Examiner** 

As income was below £25,000, no independent examination was required for this reporting period. 

## **9. Declarations** 

The treasurer declares that they have approved the financial statements in this report.
