Mental Health Navigator CIO is a Charitable Incorporated Organisation whose only Members are the Trustees. The objectives of the charity and the powers of the Trustees are set out in the Constitution as are the regulations concerning the appointment of new Trustees. 

The trustees present their report with the financial statements of the charity for the year ended 31 October 2024. The trustees have adopted the provisions of Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019). 

The trustees are responsible for keeping proper accounting records which disclose the financial position of the charity with reasonable accuracy at any time and enable them to ensure that the accounts comply with the Companies Act 2006. 

They are also responsible for safeguarding the assets of the charity and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities. 

New trustees are appointed by a majority of trustees in office at that time. 

## Aims and Purposes 

Mental Health Navigator CIO ’s Board of Trustees has the responsibility of ensuring those who use our website are provided with quality mental health information - that which is up-todate and backed up by evidence. 

The Board of Trustees is specifically responsible for ensuring our website is easy to navigate, and that anyone experiencing or at risk of poor mental health is able to easily access information about mental health support and resources on our website. 

## Objectives and Activities 

The Board of Trustees is committed to relieving the needs of people experiencing or at risk of poor mental health through providing a mental health signposting service to find and access mental health support and mental health resources. Our signposting service is currently our website. We aim to enable as many people as possible to find and access quality mental health support and resources through both the Providers and Mental Health Resources pages of our website, respectively. In fulfilment of this charitable purpose between October 18, 2023 and October 31, 2024, we have ensured that both pages of our website are updated on a monthly basis, and have optimized the website for a simplified

user experience. We have also ensured that suggestions for additions to the website adhere to our strict inclusion criteria via a thorough vetting process. 

When planning our activities for the year, the Board of Trustees has considered the Charity Commission ’s guidance on public benefit and, in particular, the specific guidance on charities for the advancement of health or the saving of lives. We try to enable people to improve or maintain their health by accessing: 

Crisis support information; information about where to find support for mental health concerns in terms of community centres, self-help materials, and service providers (including psychologists and coaches); information about how to best make use of mental health support information; and information about where to learn to provide support to those experiencing mental health crises. Advocacy and outreach work. 

To facilitate this work, it is important that we maintain our website and relationships with our sources of information, as well as the community we serve. 

## Achievements and Performance 

## _The MentNav website_ 

Our website is https://www.mentnav.org/. Initially, we tried to provide a newsletter and blog as part of our website. However, these were not regularly maintained, and so we reorganized our website to make the blog posts written into helpful articles linked at appropriate points in the website and removed the newsletter. LinkedIn became our primary way of communicating website changes and announcements to our users. Our website headings now include an About Us section, a page dedicated to vetted service providers ( ‘Providers’), a page dedicated to vetted free or low-cost resources such as community centres and self-help materials ( ‘Mental Health Resources’), and a page dedicated to quickly accessible crisis support information ( ‘Crisis support info’), which has a quick access button visible on every page of our website. 

The Mental Health Resources section includes sub-sections for Finding Care (to signpost users seeking guidance on how to approach their mental health journeys), Providing Support (for users looking to best support those experiencing a crisis), and From the Effective Altruism Movement. This last subsection is a collection of resources created by members of the community that first sponsored our charity ’s development, and whose philosophy of providing evidence-based information we continue to follow and whose community members we continue to serve.

We also added resources such that we now have 294 vetted entries on our Mental Health Resources webpage, and 109 entries in our Providers webpage. 325 unique users from 52 countries accessed these resources between October 18, 2023 and October 31, 2024. 

In October 2023, per the recommendation of a user and volunteer, we invested in using Pory.io to simplify the user experience for our Mental Health Resources table, and make it less overwhelming for our users. We thought that moving from a grid view format to one that lists each entry as its own card with clickable links would make it easier to not only find resources but also access them. Unfortunately, the Pory.io integration became cumbersome and resulted in a presentation that was not easily filtered, so we discontinued our use of Pory.io and are instead now using the cards view in AirTable instead. The cards format is working well in terms of filtering capabilities and still provides clickable links as part of more easily digestible chunks of information for each mental health resource entry. 

## _Organisational Infrastructure_ 

Our first year as a charity largely involved setting up the administrative side of our organisation to function properly. This included opening a charity bank account, registering with HMRC, registering as a charity with Google for Nonprofits, onboarding Trustees, setting up a donation page, simplifying and protecting our abbreviated charity name (MentNav) via a trademark registration, and ensuring our Data Protection policies and information were upto-date. 

## _Advocacy and Outreach Work_ 

Our advocacy and outreach efforts between October 18, 2023 and October 31, 2024 were limited to our fundraising efforts, through which we raised £2,523 for the purposes of covering the costs associated with transitioning from a CIC to a CIO, setting up the administrative aspects of our charity, maintaining our website, registering a trademark, and preparing our accounts. 

We were approached about accepting grants for other organisations in order to help facilitate advocacy, but decided this was not an appropriate course of action, since (a) it was not clear how receipt and redistribution of these funds would serve our charitable purpose and (b) we are not registered as a grant-making charity.

## Financial Review 

Total receipts on unrestricted funds were £2,523, of which £2,494 was donated by Trustee Emily Jennings to ensure necessary costs of the charity ’s set -up, organization, and compliance with all regulations was covered. £175 was spent on the Pory.io subscription for the attempt at making our Mental Health Resources more user-friendly, as detailed above. £405 was spent on registering our abbreviated name MentNav as a trademark in the UK and £50 on registration with the Fundraising Regulator, bringing our total Legal and Professional Fees to £455. We had previously registered our correspondence address with Your Company Formations, and the fee for that was £187, though we eventu ally discontinued the use of this service. £601 was carried forward for sub scriptions paid for a secure consultations platform for an advisory service (discontinued because we could not afford to continuously train volunteers) and for our Wix website host subscription. £720 was paid to our accountant. 

The net result for the year was a balance of £0.23, or £0, as there was not an excess of receipts over payments. 

## Reserves Policy 

It is Board of Trustees policy to maintain a balance on unrestricted funds if possible, which equates to at least one year of unrestricted payments, equivalent to £200, to cover website maintenance costs that arise from time to time. The balance of £0.23, or £0, at the year end did not match this target. Due to the significant number of months it took to set up our charity bank account and register with HMRC between 18 October 2023 and 31 October 2024, we did not have an adequate structure to fundraise for long. We believe reaching our reserves target is more likely this year now that systems are in place to properly manage fundraising. 

## Volunteers 

We would like to thank our volunteers for their contribution to the continued maintenance and growth of information we provide to those we serve. In particular, we would like to thank Inga Grossman for her work with public outreach in the Effective Altruism community, Lynette Bye for her work on our Providers webpage, and Emily Jennings for her work on our administrative tasks and Mental Health Resources webpage. Our volunteers ensured that the charity was correctly established and its policies written, that our website was maintained and regularly updated, and that we provided a simplified user experience.

## Structure, governance, and management 

The method of appointment of new Trustees is set out in the Charity Constitution. At Mental Health Navigator CIO, the membership of the Board of Trustees consists of members of the public with interests in the promotion of good mental health for all. Two members are involved in the Effective Altruism community, which originally sponsored the development of the charity. All those who make use of our signposting service and are natural persons and above the age of 16 years are eligible for appointment to our Board of Trustees. 

The Board of Trustees is responsible for making decisions on all matters of general concern and importance to the community served, including deciding on how the funds of the Board of Trustees are to be spent. 

The full Board of Trustees met twice during the year with an average level of attendance of 100%. Responsibilities for maintaining the website, administrative tasks, and community outreach were divided evenly among the Trustees. Minutes were kept for each meeting and a running task list was regularly circulated and checked.

The charitable company is entitled to exemption from audit under Section 477 of the Companies Act 2006 for the year ended 31 October 2024 

The members have not required the company to obtain an audit of its financial statements for the year ended 31 October 2024 in accordance with Section 476 of the Companies Act 2006. 

The trustees acknowledge their responsibilities for : 

a) ensuring that the charitable company keeps accounting records that comply with Sections 386 and 387 of the Companies Act 2006 and 

b) preparing financial statements which give a true and fair view of the state of affairs of the charitable company as at the end of each financial year and of its surplus or deficit for each financial year in accordance with the requirements of Sections 394 and 395 and which otherwise comply with the requirements of the Companies Act 2006 relating to financial statements, so far as applicable to the charitable company.

## 1 **Basis of preparing the financial statements** 

These accounts have been prepared under the historical cost convention with items recognised at cost or transaction value unless otherwise stated in the relevant note(s) to these accounts. 

The accounts have been prepared in accordance with: 

•  the Charities SORP (FRS 102) 'Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019)', 

- Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' 

- and with the Charities Act 2011. 

The charity is a Charitable Incorporated Organisation and constitutes a public benefit entity as defined by FRS 102. 

The charity converted from a Community Interest Company to a Charitable Incorporated Organisation on 18 October 2023. 

## 2 **Accounting Policies** 

## **Income** 

Income is included in the Statement of Financial Activities (SoFA) when: 

- the charity becomes entitled to the resources; 

- it is more likely than not that the trustees will receive the resources; 

- the monetary value can be measured with sufficient reliability. 

## **Income from interest, royalties and dividends** 

This is included in the accounts when receipt is probable and the amount receivable can be measured reliably. 

## **Grants and donations** 

Grants and donations are included in the SoFA when the general income recognition criteria are met. 

In the case of performance related grants, income must only be recognised to the extent that the charity has provided the specified goods or services as entitlement to the grant only occurs when the performance related conditions are met. 

## **Tax reclaims on donations and gifts** 

Gift Aid receivable is included in income when there is a valid declaration from the donor.  Any Gift Aid amount recovered on a donation is considered to be part of that gift and is treated as an addition to the same fund as the initial donation unless the donor or the terms of the appeal have specified otherwise.

## **Expenditure** 

Expenditure is accounted for on an accruals basis and has been classified under headings that aggregate all cost related to the category. Where costs cannot be directly attributed to particular headings they have been allocated to activities on a basis consistent with the use of resources. 

## **Governance  and support costs** 

Support costs have been allocated between governance costs and other support.  Governance costs comprise all costs involving public accountability of the charity and its compliance with regulation and good practice. 

Support costs include central functions and have been allocated to activity cost categories on a basis consistent with the use of resources, e.g. allocating property costs by floor areas, or per capita, staff costs by the time spent and other costs by their usage. 

## **Taxation** 

The charity registered as a charity on 18 October 2023 and since that date has been exempt from corporation tax on its charitable trading activities. 

## **Fund accounting** 

Unrestricted funds can be used in accordance with the charitable objectives at the discretion of the trustees. 

Restricted funds can only be used for particular restricted purposes within the objects of the charity.  Restrictions arise when specified by the donor or when funds are raised for particular restricted purposes. 

Further explanation of the nature and purpose of each fund is included in the notes to the financial statements. 

## **Debtors** 

Debtors (including trade debtors and loans receivable) are measured on initial recognition at settlement amount after any trade discounts or amount advanced by the charity.  Subsequently, they are measured at the cash or other consideration expected to be received. 

## **Cash at bank and in hand** 

Cash at bank and cash in hand includes cash and short term highly liquid investments with a short maturity of three months or less from the date of acquisition or opening of the deposit or similar account.

## **Liability recognition** 

Liabilities are recognised where it is more likely than not that there is a legal or constructive obligation committing the charity to pay out resources and the amount of the obligation can be measured with reasonable certainty.
