## Chairman’s Report to the Annual General Meeting of the Trustees of Sedlescombe Village Hall CIO 

26[th] March 2026 

## 1 Annual Report to the Charity Commission 

I submitted the accounts and annual report of the Sedlesomcbe Village Hall Charitable Instituted Organisation to the Charity Commission before the October deadline as required by the Charity Commission. 

Please note that the old, unincorporated charity, entitled Sedlescombe Village Hall, is still in existence.  The annual report to the Charity Commission that I made this year records income of £0 and expenditure of £0. 

The old, unincorporated charity will be wound up as soon as we have received confirmation form the Land Registry that the title deeds to the Hall have been transferred to the CIO 

## 2 Hall Title Deeds 

The application to transfer the Title Deeds from the unincorporated charity to the CIO was submitted in August 2024.  On the first anniversary of the application, I rang the Land Registry to enquire on progress with the application and was told that no progress had been made. 

I have detailed the many phone calls and other correspondence made by me to the Land Registry, along with the work done by Rhona Vallender, a former trustee, to enable the application to make progress.  This correspondence includes a letter from Rhona pointing out the legal error made by the Land Registry consultant and 3 promises to expedite the application. 

In January this year I was told that a formal notice would be posted to the four trustees mentioned on the old title deeds for the hall: Isabel Fisher, Stella Brabants, Rhona Vallender and Andrea Hogwood.  Other notices were sent to check on the identity of me, and possibly others. Only two of these notices have been received,  I emailed the Land Registry to query the  nonarrival of the notices and received a call back just this Monday telling me that the notices would expire today (Thursday 26[th] March) and, assuming no objections were received by today’s date, the revised deeds to the hall showing Sedlescombe Village Hall CIO as the owners would be posted out on 27[th] March. 



## 3 Hall Car Park Lease 

Whereas Sedlescombe Village Hall CIO owns the freehold of the hall and the car parking spaces on the north side of the car park nearest the hall, the freehold of the car park is owned by the Parish council.  The 25-year lease is owned by the Parish Council, and this lease expired on 17[th] November 2025. 

The Trustees of the Hall issued a notice to the Parish Council in October 2024 stating that we would wish to renew the lease on the same terms.  However, the Parish Council objected to our allowing the FlexiBus to park their vehicles on the car park.  The Parish Council initially proposed that the Trustees should pay a proportion of the income from the car park to the council and we should request council permission before allowing use of the car park by people not using the hall.  Negotiations have continued and on 19[th] February I emailed the Parish Clerk to say that the Trustees would agree that: 

1. The Landlord’s (Parish Council) permission is not needed if the use is ancillary to the use of the hall or is by the school or church or residents for events that are not held at the village hall, for example a wedding at the church, providing no charge is levied or benefit received. Any use by a person or body that is not a resident and not using the hall must be approved by the parish council”. 

2. We are also happy to agree to include wording to the effect that, where a charge is levied by the Trustees for use of the Hall Car Park alone (i.e. without booking the Hall), permission shall be requested by the Tenant in advance from the Landlord. Where a charge would be levied or benefit received but the hall does not intend to give permission for use there is no need to consult the landlord.  The Trustees were happy to agree to this on the understanding that in practice the decision would be delegated to the Parish Clerk so that any required consultation should take no more than 3-4 days. 

3. The Trustees also agree that 50% of receipts from income for use of the car park would be passed to the Parish Council to be held in an earmarked reserve, on condition that this reserve be considered sacrosanct and solely for enhancing and/or maintaining the car park.  Such payments will be made quarterly, and we would assume that the Council would at regular intervals communicate to the Hall Trustees the balance in this reserve. 

We await receipt of a draft lease for our consideration. 

## 4 Fire Doors 

Since the start of 2025 two of the fire doors in the main hall have not operated properly.  This has meant that the doors could be opened in case of emergency but not closed again: Dave Brabants fixed tags to the doors which would break in case of an emergency. 

The doors were only installed in 2020, and we were told by the installers that the necessary parts were no longer available, and new doors would be needed, at considerable cost.  After an exchange of letters with the company including a threat of legal action, the installers finally informed us that they were, after all, able to source replacement parts and these parts have recently been installed such that the doors now appear to be working properly. 



## 5 Emergency Plan for Village and Hall 

I have been in negotiation with the Village School and the Parish Council about the use of the Hall as an emergency refuge in the case of the need to evacuate the school or any other part of the village in an emergency. 

I am told that the Parish Clerk plans to put forward an emergency plan and I am trying to set up an initial meeting to take this matter forward. 

## 6 Working Parties 

In previous years, we have been able to organise working parties of trustees, to which we have invited users, to undertake tasks such as stock-taking in the kitchen, undertake a deep clean in the kitchen, weed out broken chairs and so on. 

Due to the unavailability of many trustees and users, we have been unable to organise such working parties for over a year now.  Although it would be good to set these up again, we must recognise that we all lead busy lives with multiple commitments and that organising this kind of activity may no longer be a viable proposition. 

## 7 Redecoration of Committee Rooms 

Committee Room 1 which is used by the pre-school is badly in need of redecoration.  The Trustees have been unable to provide volunteers to do this task but have purchased paint for this task.  We had hoped that the pre-school would be able to do the redecoration last summer, but this did not happen, and it may be that we will have to pay for the work to be done. 

## 8 Going Forward 

The outlook for the hall is positive.  Our finances are in good state, and the hall is well-used by local groups and individuals wanting to host their events here – a total of 1041 bookings in the calendar year 2025, which comprised 694,230 minutes and an average of just under 3 bookings per day. As a relatively new building, the hall is in good state of repair and the installation last year of solar panels has helped reduce our costs.  The hall still provides a really valuable social centre for the village.  Nonetheless, we need to bear in mind: 

- The number of local clubs and societies has declined considerably in the last 25 years, partly as a result of an aging population.  A recent casualty has been the loss of the badminton club, and we need to be aware that the number of people who are fit and have the time to organise such activities seems to be in long-term decline 

- We have 10 trustees, including one (Jackie Saull-Hunt) who is formally the representative of the Parish Council.  Getting new trustees has not been easy and we remain grateful to those that we do have; however, it would be good to have a ready supply of new trustees 

- The cost of repairs continues to climb.  The recent problems we have had with the sewage pumps outside the hall (these are required to pump effluent up into the public sewer) is reflective of this, as was the risk that we might need to replace all our fire doors. 



- Similarly, some items are coming to the end of their expected life.  The number of damaged chairs continues to rise, and some tables have permanent marks on them as a result of continuous use over many years.  We have not replaced many of these items in recent years and we will need to consider doing this soon. 

One step that we are currently considering is setting up some earmarked reserves to mitigate against the financial shock of having to replace large items and to build up sufficient funds over a number of years such that we will be able to afford these items. 

## 9 Thanks 

As every year, I would like to express my thanks: 

- Firstly, to Nigel.  Nigel is our Treasurer and Bookings Manager.   The introduction of Hallmaster, the online system we use to handle these routine matters, has helped considerably.  Nigel is an incredible treasurer who handles the finances superbly well, produces informative reports and ensures that we remain on a financial even keel 

- Dave Brabants is our hall manager and cleaner.  He has incredible technical knowledge as well as detailed knowledge of how the hall operates and is always ready to jump into his car to come and sort out a problem.  He often has the jump of liaising with users, especially if there has been some kind of problem, and he also keeps the hall clean. 

- Dave and Eileen have recently taken on the running of Sedlescombe Screen which is an important social event for the village.  We are delighted that this will be continuing, and thank Dave and Eileen for their leadership of this monthly institution in the village 

- Andrea Hogwood keeps the minutes and ensures that our all our proceedings are properly recorded.  Thank you, Andrea 

- Some legacy thanks: in December, Mark and Isabel Fisher formally ended their association with the hall when they came to their last Sedlescombe Screen.  I presented them with a small gift at the December screening; the trustees are grateful to them for their many years of hard work in support of this important facility.  Rhona Vallender, who was a trustee until 2020, has continued to assist in pushing the Land Registry to get the title deeds changed, and the Trustees extend their thanks once again to Rhona for assisting us with this work 

- Finally, thank you to all trustees.  Regardless if they have a formal role, their attendance at meetings and their ideas and suggestions are always welcome.

## **Independent Examiner's Report to the Committee of Sedlescombe Village Hall** 

I report on the accounts of Sedlescombe Village Hall for the twelve month period ended 31 December 2025 which are set out on the previous pages. 

## **Respective responsibilities of committee & examiner** 

The charity's trustees are responsible for the preparation of the accounts. The charity's trustees consider that an audit is not required for this year under section 144 of the Charities Act 2011 (the Charities Act), and that an independent examination is needed. 

It is my responsibility: 

- to examine the accounts under section 145 of the Charities Act 

- to follow the procedures laid down in the General Directions given by the Charity Commission (under section 145(5)(b) of the Charities Act), and 

- to state whether particular matters have come to my attention 

## **Basis of independent examiner's report** 

My examination was carried out in accordance with the General Directions given by the Charity Commission. An examination includes a review of the accounting records kept by the charity and a comparison of the supporting documentation presented with those records. It also includes consideration of any unusual items or disclosures in the accounts, and seeking explanations from the trustees concerning any such matters. I report on the accounts of Sedlescombe Village Hall for the twelve month period ended 31 December 2025 which are set out on the previous pages. 

## **Respective responsibilities of committee & examiner** 

The charity's trustees are responsible for the preparation of the accounts. The charity's trustees consider that an audit is not required for this year under section 144 of the Charities Act 2011 (the Charities Act), and that an independent examination is needed. 

It is my responsibility: 

- to examine the accounts under section 145 of the Charities Act 

- to follow the procedures laid down in the General Directions given by the Charity Commission (under section 145(5)(b) of the Charities Act), and 

- to state whether particular matters have come to my attention
