## **Trustees Annual Report for the year ended 31 March 2025** 

The charity is run by trustees under the constitution dated September 2023. 

## **Objectives** 

The charity o�ers grants for building, developing and operating schools for primary education in Nigeria.  We aim to provide free education to pupils in economically challenged areas. 

## **Achievements in support of this objective** 

to build and operate the school.  Infinity Branch trustee Chukwuka Okwunwanne sits with other local directors on board of Aguleri Oaks Primary School Educations Ltd. 

In February 2025 land was granted by the local community to our local partner company and building started on a school building, which is due to be ready for primary school education by December 2025.  Aguleri Oaks Primary School Educations Ltd will apply for charitable status once the school is operational.

The charity intends to hold 3 months’ worth of operating costs as unrestricted reserves.  We estimate future annual operating costs in the UK of £1,000. 

Annual operating costs of the school in Nigeria are estimated at £6,000.  We aim to raise funds well in excess of this and in the long run to have a year’s worth of unrestricted reserves in cash to continue the operation of the school.

The trustees have given consideration to the funding for 12 months from the date of signing these accounts and confirm that the charity is a going concern. 

## **Structure, Governance and Management** 

The charity’s trustees are selected on the basis of competence relating to the charitable objective at hand.  The founding trustees have been appointed for a term of between 2 and 4 years.  Future trustees must be appointed at a trustee meeting. 

- Gustav Kulle has experience in leadership, fundraising and project management. 

- Chukwuka Okwunwanne, has project management experience and local knowledge of the Nigerian community targeted. 

- Charlotte Osterman, is a sustainable economics graduate with multiple years of experience in social impact. 

All decisions are made by the trustees and no employees are envisaged in the UK, in order to maximise donations to the school in Nigeria.

I report to the trustees on my examination of the accounts of Friends of Ferals (She�ield) for the year ended 31 March 2025. 

## **Responsibilities and basis of report** 

preparation of the accounts in accordance with the requirements of the Charities Act 2011 ('the 2011 Act'). 

I report in respect of my examination of the accounts carried out under section 145 of the 2011 Act and in carrying out my examination of the accounts I have followed all the applicable Directions given by the Charity Commission under section 145 (5) (b) of the Act.

Notes to the Accounts for the year ended 31 March 2025 

## **1. Accounting policies** 

These accounts have been prepared on a receipts and payments basis, in accordance with the Charities Act 2011. 

## **2. Related Party Transactions** 

Trustee Gustav Kulle made a donation of £9,000 to the charity and his employer William Blair & Company donated £6,860 in match funding.  The £9,000 donation represents an equal donations of £4,500 each by Gustav Kulle and Chukwuka Okwunwanne. 

Trustee Chukwuka Okwunwanne is a member of the board of directors of Aguleri Oaks Primary School Ltd which will receive grants from The Infinity Branch CIO for the construction of a school. 

There were no other Related Party Transactions which require disclosure.
