I. Background

Ipas UK is an independent charitable incorporated organization (CIO) and registered with the Charity Commission of England and Wales in July 2023. Ipas UK is a member of the Ipas Impact Network, which is committed to a shared vision and mission. Our mission is to ensure that all people have the right and ability to determine their own sexuality and reproductive health. We do this by working through effective, equitable, and intersectional partnerships and integrating abortion into the broader health, gender equality, and social justice movements.

The Charitable Objects of Ipas UK are the advancement of health by the promotion, support and facilitation of sexual and reproductive health services including abortion but not exclusively by:

II. FY24–25 Activities

All Ipas UK activities aim to advance the charitable objects outlined above in support of reproductive health and rights across Africa, Asia and Latin America. We collaborate closely with a range of stakeholders who align with the advancement of Ipas UK’s charitable objects to include but not limited to organisations, charities, foundations, academic institutions and government counterparts and individuals. We support partnerships between these institutions and the Ipas global network to accelerate the charitable objects. Ipas UK is a strategic partner and thought leader delivering information and consultation on the need for sexual and reproductive health care and rights to include abortion. FY25 was a year of significant growth in Ipas UK’s educational and informational work. The organization expanded its reach across the UK health, academic, and charitable sectors,

providing clear, accessible, and evidence-based resources on SRHR. Ipas UK strengthened its role as a trusted source of information and training, supporting UK stakeholders to better understand global SRHR needs, service delivery models, and international standards.

This is Ipas UK’s second annual reporting as a registered charity in England and Wales. During this reporting period, Ipas UK supported the Ipas network in the start-up of the Women’s Integrated Sexual Health 2 Project, which directly implements the objects of the Ipas UK charity in advancing information and education and training on sexual and reproductive health services. During this reporting period, Ipas UK collaborated with strategic and technical partners to expand advocacy and information about sexual and reproductive health and rights in new forums to include across Europe and UK in ecosystems outside of the SRHR community to achieve the objects of Ipas UK. Ipas UK collaborated with the UK government, civil society partners, philanthropies and academic institutions to convene and facilitate information and training on sexual and reproductive health and rights including abortion. Our activities aim to increase access to reproductive health and abortion care for women and girls in Africa, Asia, and Latin America. During this period, we provided information and education on SRHR through informative webinars and briefings, speaking at panels with governments, donors and partners to share increased awareness of SRHR. Together with the Global Advocacy and Policy team, we briefed and engaged governments, their development cooperation agency arms and All-Party Parliamentary Groups across the UK and in coordination with Ipas Europe.

III. Ipas Global Impact

As a member of the Ipas Impact network, we are pleased to present the summary of the Ipas global networks achievements for the inclusion in Ipas UK’s annual report to the Charity Commission. Ipas UK and our partners have made significant strides in expanding access to safe abortion and contraception, strengthening health systems, and building resilient, rights-based movements in 2024–2025.

We reached millions across the world with information on reproductive health

In Bolivia, Nepal, Nigeria, Myanmar and South Africa, our teams and Ipas-trained peer educators and volunteers reached 14,420 individuals with information on sexual and reproductive health and rights, including abortion.

Across Latin America and the Caribbean (LAC), 9,341,172 people were reached with information through Ipas LAC and Ipas Mexico Facebook pages and 1,854,724 through the Ipas LAC Instagram page.

In the Democratic Republic of Congo, Ipas teams reached 300,000 people through online campaigns and engaged over 1,300 participants in webinars. An Ipas-developed chatbot called Nurse Nisa attracted 16,513 new users, sharing information on gender-based violence, abortion and contraception.

IV. Governance

Ipas UK is governed by a Board of Trustees responsible for strategic oversight, financial stewardship, and compliance with the Charities Act 2011. Ipas UK is governed by a Board of Trustees. The Board of Trustees oversees the Executive Director, who leads and manages the organization’s operations. The trustees are responsible for preparing the Trustees report and the financial statements in accordance with applicable law and accounting standards. The law applicable to charities in England and Wales requires the trustees to prepare financial statements for each financial year which give a true and fair view of the state of affairs of the charity and of the incoming resources and application of resources of the charity for that period. In preparing this report, the trustees are responsible for keeping accounting records which disclose with reasonable accuracy the financial position of the charity and enable them to ascertain to ensure that the financial statements comply with the Charities Act 1993. They are also responsible for safeguarding the charity and hense for taking reasonable steps for the prevention and detection of fraud and other irregularities. The trustees are responsible for the maintenance and integrity of the charity.

In setting objectives for the charities activities, the Trustees have given due consideration to general guidance by the Charity Commission relating to public benefit and consider themselves to have met the requirements

All trustees and Directors remained in position throughout this fiscal year. No appointments or resignations occurred during the reporting period.

Trustee Recruitment—Trustees are recruited through a skills-based assessment aligned with governance, SRHR expertise, finance, and strategic leadership needs. Appointments follow due diligence and eligibility checks.

Board Meetings —The Board met twice during FY 2024–2025. All trustees and the Director attended both meetings.

Ipas Europe and Ipas UK are sharing priorities and opportunities and aim to strengthen coherence and focus, with the goal of achieving the Ipas UK charitable objects which are aligned with Ipas Europe and the rest of the Ipas global network. The teams are working closely to develop a joint Europe and UK strategy in consultation with teams across the Network.

V. Financial Information

Since its registration in 2023, Ipas US supported Ipas UK with its financial management. In fiscal year 2023-2024, initial Ipas UK costs were financed by Ipas US and payments were made through the financial systems of Ipas US. The required financial statements are below. Ipas UK is applying for a UK bank account for financial management in the UK. When Ipas UK secures an account, Ipas US and Ipas UK will enter a service agreement, and Ipas UK will receive funds in its own account. Ipas UK anticipates securing a UK account to have localised by the end of 2026. The financial management of Ipas UK is managed by the Ipas UK Board of Trustees.

The Trustees recognize that reserves represent unrestricted funds held to support the charity’s sustainability and manage financial risk. At present, Ipas UK does not maintain a functional local bank account and therefore is unable to hold any reserves. Consequently, the charity does not currently operate with a defined reserve level. The Trustees will establish a formal reserves policy, including an appropriate target level, once local banking arrangements are fully operational. Until such time, financial risks are monitored through existing central financial management arrangements.

In 2025 Ipas UK transitioned to Livonia FS for legal, financial and administrative support. Financial management is handled by Livonia FS, the Ipas UK Director and the Ipas UK Board. The financial statements of FY25 are attached to this report. During fiscal year 2025, Ipas US and Ipas UK entered a service agreement with a total value of £224,970 covering July 2024 through June 2025. Ipas UK secured funding for FY26 and entered into its second service agreement with Ipas US for this fiscal year.

YEAR ENDED 30 JUNE 2025

I report to the Trustees on my examination of the accounts of the charity for the year ended 30 June 2025.

Responsibilities and basis of report

As the charity trustees of the Trust you are responsible for the preparation of the accounts in accordance with the requirements of the Charities Act 2011 ('the 2011 Act').

I report in respect of my examination of the Trust's accounts carried out under section 145 of the 2011 Act and in carrying out my examination I have followed all the applicable Directions given by the Charity Commission under section 145(5)(b) of the 2011 Act.

Independent Examiner’s Statement

I have completed my examination. I confirm that no material matters have come to my attention in connection with the examination which gives me cause to believe that in, any material respect:

1 accounting records were not kept in accordance with section 130 of the 2011 Act; or

2 the accounts do not accord with those accounting records

I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in order to enable a proper understanding of the accounts to be reached.
