**Section B Structure, governance and management**

## **Description of the charity’s trusts**

Type of governing document

Constitution (amended 17 April 2023)

- (eg. trust deed, constitution)

Charitable Incorporated Organisation (CIO) How the charity is constituted

- (eg. trust, association, company)

Appointed by existing trustees in accordance with the constitution, Trustee selection methods considering skills and experience needed.

- (eg. appointed by, elected by)

## **Additional governance issues (Optional information)**

You **may choose** to include additional information, where relevant, about:

- policies and procedures adopted for the induction and training of trustees;

- the charity’s organisational structure and any wider network with which the charity works;

- relationship with any related parties;

- trustees’ consideration of major risks and the system and procedures to manage them.

The FOC is a CIO and has a constitution as its governing document. It was last amended on 17[th] April 2023. Additional policies cover Conflicts of Interest and Grant Making.

- The constitution allows for a minimum of 3, and a maximum of 7 trustees, who must be parents or carers of a current pupil at the Cavendish School in Camden.

- New trustees must meet the criteria set out in the constitution, and be appointed by the existing trustees with regard to the skills, knowledge and experience required for the effective administration of the charity. No new trustees were appointed during the reporting period.

- Decisions by the trustees must be taken at a meeting of the charity trustees; or by resolution in writing agreed by a majority of all the charity trustees as set out in the constitution.

- Trustees’ functions may be delegated to committees, on clear terms; during the reporting period the only such fucntion delegated was to an Events committee, which handled the planning and organisation of schoolbased community events.

While the charity does not have a formal risk management policy, trustees consider event-related risks as part of their planning process. For schoolbased events, trustees collaborate with the school’s designated health and safety staff to review appropriate measures, including attendance limits, required licenses, and safety protocols.

All meetings in the reporting period were held in person or virtually, with a quorum of trustees (two) present at all meetings.

## **Summary of the main achievements of the charity during the year**

## **Key Highlights:**

Delivered a successful and growing programme of community events, including a winter fair, anniversary fair, quiz night and uniform sales.

- Supported £5,336 of enrichment and educational activities for pupils, including a library renovation, a Christmas theatre experience and a science workshop.

- Issued a governance guidance note clarifying trustee appointment, step-down procedures and the distinction between trustee, meeting-chair and operational (events committee) roles — strengthening clarity and supporting orderly succession.

In its second year of active operation, and despite a backdrop of rising operating costs and cost-of-living pressures, the FOC successfully ran larger events than in the prior year and increased overall funds raised by approx. 23% from £13,900 to £17,200. The trustees continued to engage parents in the life of the school through inspiring events, and to make a difference to the experience of pupils through varied and stimulating activities supported by the charity.

## **Plans for Future Periods**

The trustees aim to continue delivering inclusive, community-focused events and supporting Cavendish School through fundraising and enrichment activities.

During the period, the trustees operated with reduced capacity, including a period running one trustee short, which limited the bandwidth available for governance development. As a result, the formalisation of certain written internal policies — namely a financial controls policy, a risk management procedure, and a trustee expenses policy — was not completed during the year.

The trustees remain aware of these gaps and will retain them as a standing item for future periods, seeking professional advice and progressing them as capacity allows. Building on the governance guidance note issued during the year, the trustees intend to keep strengthening the charity’s governance in a manner proportionate to its size and volunteer-led nature.

Any policies adopted will be proportionate to the charity’s activities and resources.
