Structure, Governance and Management
Humber Open Arms is a registered Charitsble Incorporated Organisation govemed by its
Constitution adopted on 29th March 2023, and ￿lSter&I as a charity on 3td May 2023.
If the CIO is wound up the members of the ao have no liability to contribute to its assets
and no personal responsibllity for settling its debts arKI liabilibes.
Recruitment and a

The trustees forn the Executive Comrnitt￿ of the charity. The members of the Executlve
Committee are elected at the Annual General Meeting by the members of the Charity. All
members are circulat&J with invitsttons to nominate trnstees in advan￿ of the AGM.
The Constitution of the Charity states that there must be at least three charity trustees,
wlth Ma￿muM limit of eight.

The board of Trustees manages the ￿arty and aims to consider only strategic decisior6
at Ets meetings. Trustees are aware that any conflitt of interest is declared and recorded,
and the person will be withheld from that part of the meeting and will not be able to vote
for that bit of discussion. The board holds an AGM every year, other than that any charity
trustee may call a meeting during the year, gi￿ng 14 days. notice.
Rlsk Mana
The major risks, to which the charty is expos￿, as identified by the Trustees, have b*n
reviewed and systems have been established to mitigate those risks. All systems and
procedures are reviewed regularly to ensu￿ they meet charity law our own
organisations aims and objectives.
Trustee Induction and Trainin
All trustees are prowded with the Thatty Commissions 'Roles and Responsibiltties of
TnJstees', the Constitution and the financial statements induding the Annual Retx)L Any
tralning requlred by the trustees may be requested at any poin¢ where it is considered
useful to their role as trustee.

Objectives and Activities for Public Benefft
As set out in the MenK)Rr￿jum of A￿ocIatIOn, the Chaiitys objects are:
l) To relieve poverty [or financial hardship] among refUg￿s, asylum ￿kers, migrant
workers their dependants Ilving in Kingston UFK)n Hull by providing Interpretingl
translating/advocacy/ health/lK)UStng advi￿ and education.
2) To promote social inclusion for the public benefit by preventing people from becoming
socially excluded, relieving the rEeds of those people who are socially exduded because of
language and finanaal barTiers and assisting them to integrate into K￿lety.
Achievements and Performance
This is our first trading year and ivs been exdling and challenging year for us at Humber
Open Arms.
We recelved our first gran¢ from the National Lottery Community Funds which is for two
years.
We have been able to set up a tharity website and other 9)aal media platfomis to spread
the charty awareness.
Flnancial Review
During the year the CIO recorded income of £20k. (restricted £20k, unrestricted Nil)
Reserves Policy
At this pre*nt tlme there is no finance re*rves p)licy in pla￿, but have suggested that
the charity should aim to keep 3 months running costs at all time.
Plans for Future periods
Our short-term plans and objectives for the next year are fr￿used on the growth of the
charity, we want to ensu￿ financial stability for the organisation and ralsing more
aWa￿neSS within Hull and East Riding of Yorkshire.

Trustees Responsibilities
The Charities Att requires the trust￿ to prepare finanaal ststements for each financial
year, In accordan￿ with the Charlty Commission Guidance the Trustees have eletted to
prepare the accounts on the R￿eipts and Pawts basis. This is an acceptable ft)rmat
for all non-company charities with an income below £250,CKIO.
The trust￿ are resFonsible for k￿pIng proper accountiw records whlth disclose with
reasonable accuracy at any time the financial p)sition of the charity and to enable them to
ensure that the financial Siatements comply with the Charltie5 Act 2011. The trustees are
also responsible for safeguarding the assets of the charity and hen￿ for taking reasonable
steps for the prevention arKI detection of fraLvJ and other irregularities.
Statement of disdosure of information ID Independent Examiner
The Charity has an income between £25,000 and £lm and therefore falls under the
Independent Examination regime. We, the Trustees of the Charlty who held Offi￿ at the
date of approval of these financial statements, each confimi so far as we are aware, that:

unaware. and
O we have trdken all the steps that we OLts3ht to have taken as Trustees in order to
make ourselves aware of any relevant information and to establish that the
Charity's Independent Examiner is aware of that information.

Humber Open Arnis
I report on the accounts of Humber Open Amis for the perfLxJ 3rd May 2023 to 31 July
2024, which are set (￿lt on pages 8 to 11.
Respective responsibilibes of t￿Stee5 and examiner
The charity's trustees are responsible for the prepardlion of the accounts. The chaiity's
trustees consider that an audit is not requir&J for this period under secbon 144 of the
Charfties Act 2011 (the Chaiities Act) atKI that an independent examination is needed.
It Is my responsibility to:
examine the accounts urKler settton 145 of the Charities Art.
to follow the procedures laid down in the Generdl Directions gtven by the Chaiity
Commissioners under sectlon 145 (5)(b) of Charities Act; and
to state whether partkuFar matters have come to my attention.
Basis of Independent examinerfs report
My examlnatlon ￿as carried out in accordan￿ with the General DI￿10nS given by the
Charity Commlssion. An examination includes a review of the accounting records kept by
the charity and a comparison of the accounts presented with those records. It also
Indudes consideration of any unusual ftems or disclosures in the accounts, and seeking
explanations from the trustees con￿mIng any such matters. The procedures undertaken
do not provide all the eviden￿ that would be required in an audit, and consequently no
opinion is given as to whether the accounts present a Irue and fairf view and the report is
limited to tho* matters set out in the statement below.

In connection with my examination, no material matters have come to my attention which

Taxation
Humber Open Arms CIO is a regi&ered charity. All the charities, income is
pplled to its charitable objectives and the charity is therefore exempt under
current legislation from most forn￿ of taxation.
The tharity is not VAT registered, and all expEndi￿￿ inclLKles Irr￿erable VAT.
Trustee Remuneration
No remuneration direcuy or indiredjy out of the funds of the Charity was paid or
payable for the period to any Trustee.
There was £200 worth of reimbur6ement of expenses to the four Trustee during
the year.
