## **SLACC-** _**tt**_ **Annual Report for Members For 2023**

SLACC tt unincorporated Charity No **1139474**

SLACCtt CIO (Incorporated) No **1202875**

## **1. Chair’s report**

Welcome to the annual report for 2023. This report covers both SLACC-tt organisations with Charity Commission numbers 1139474 and 1202875, as explained below.

2023 was a year of continued change and development for SLACC-tt. Our application to the Charity Commission to convert SLACC-tt from a Registered Charity (1139474) to a Charitable Incorporated Organisation was successful in April 2023 and so a new SLACC-tt with a new Charity Commission Number 1202875, with its own new constitution, came into being in April 2023. Subsequently, the Trustees have been focused on taking the necessary steps to set up the new organisation, and have now completed this for most of our activities and functions. There are some legacy issues which remain to be dealt with under the previous organisation. The Trustees provide governance over both organisations during this transition phase and will take steps to wind down the former SLACC registered charity in due course.

Meanwhile Trustees continue to oversee governance arrangements as required under each constitution, and remain committed to our objectives which are all for the public benefit. We hold our Trustee meetings every two months to plan and review progress plus take reports from our treasurer and nominated trustees who oversee our projects. Members and supporters are welcome to attend any Trustees meeting, by request. We ask for prior notice of matters attendees wish to raise for adding to the agenda.

This year we again reviewed all our policies to ensure they were up to date. In response to the growing activities of the Waste into Wellbeing project, we made updates to health and safety, incident response and the safeguarding policy. All volunteers are made aware of the policies, which are made available on our website. I would particularly like to thank our Trustee Angela Lovett who led us through a process of reviewing our financial controls, using Charity Commission Guidance. This was completed in November 2023, and resulted in a number of procedures being improved. A new finance sub-committee is being established, and the Trustees will continue to monitor financial governance arrangements on an annual basis.

We have been actively recruiting new trustees, by spreading the word among our members, other groups and contacts. We have developed a Trustee Recruitment Pack which is available for anyone interested in reading more about the role. We encourage anyone interested in becoming a Trustee to attend a meeting and talk with existing Trustees to better gauge whether becoming a Trustee is for them. We welcome new Trustees with all levels of experience–all we ask is that you bring a can-do attitude and share our values.

I would like to thank Sally Fleming who has been a Trustee for the past few years, and who is standing down at this AGM. Sally has brought valuable perspectives and expertise and ideas in this role, and we will miss her input.

The major focus during 2023 has been the development of Waste into Wellbeing, which is enjoying an exciting new phase. This is all due to the many people who generously give their skill, time and resources to create this very special communitybased activity in the heart of Kendal. While the primary purpose is to reduce waste food going into landfill, it delivers so much more in terms of building community and promoting awareness of sustainable living. Our campaign to challenge the Government’s approval for an application for a new coal mine in Cumbria remains live, but is currently waiting the progression of wider legal processes associated with planning and carbon emissions.

SLACC-tt’s work would not be possible without the dedicated support of volunteers, members and Trustees and effective teamwork. I am constantly impressed with people’s goodwill and generosity, all of which contributes to make our work successful and effective. Thanks to everyone involved.

## **2. Membership, Insurance and Constitution**

**Membership** We now have over 100 members, up from 94 in April 2023. Throughout 2023 our volunteer membership officer, Matthew Smithers, has managed our membership processes. We have a range of membership options, starting with a fee of £10 per year, and are collecting Gift Aid where possible. We thank Matthew for his very valuable work in this area

**Insurance.** We hold a policy with Zurich Policy No XAO 1220618953 This is valid till May 2024 when it will be renewed. This covers all our activities for third party risk and includes trustee insurance

**Constitution** Our Earlier CUO and current CIO constitution can be seen at https://slacc.org.uk/about/policies/

## **3. Treasurers report**

## Introduction

This is our report on SLACC-tt finances for the year 2023. It serves two purposes, namely for our membership at our Annual General Meeting and the annual reports to the Charity Commission.

## Achievements

- We are now two charities, the original SLACC-tt Charitable Unincorporated Organisation (CUO) number 1139474 and the new Charitable Incorporated Organisation (CIO) number 1202875, with the same name. All our funds, except those for the Coal Mine Campaign, have now been transferred to the SLACC CIO. The finances of both charities are administered within the same Quick Books On-line (QBO) accounting system, with separate bank accounts and separable reporting facilities.

- Through Waste into Wellbeing, we are one of the principal participants in the development of the Eddington Centre and its CIC (Community Interest Company).

- Our Cargo Bike project completed successfully, and Jo Haughton is pursuing related developments within the Eddington Centre CIC.

- For our Coal Mine campaign, in 2023 we have received £5,000 from Extinction Rebellion, £30,000 from Aurora Family Trust, and £2,000 from Friends of the Lake District.

- Our Waste into Wellbeing project has received grants from Cumbria County Council, The Freida Scott Trust, Hubbub and Kendal Town Council as well as regular contributions from many individuals. In addition we have received grants for expenditure in 2024 for the Eddington kitchen development from Westmorland & Furness Council, Zero Carbon Cumbria ( Cafs), The Lottery Community fund, Cumbria Community Foundation, Lakeland Ltd. The Cumberland BS Kinder Kitchen fund, Hubbub Community Fridge funds, Neighbourly, the Asda Foundation The Herdy fund, Neighbourly, Electricity and North West Ltd.

Supplementary Notes

SLACC-tt Charitable Incorporated Organisation No 1202875 In July 2023 we sought and received approval to establish this CIO charity. It retains the name of our existing unincorporated charity, South Lakes Action on Climate Change – towards transition. Due to ongoing legal action, we had to retain the funds for our Cumbria Coal Mine Campaign in our original organisation. Over the year, with the approval of our funders, we transferred the remainder of our funds into this organisation.

Signed

Alan Lovett, SLACC-tt Treasurer 6th April 2024
