2. Structure, Governance, and Management
The organisa�on is a Charitable Incorporated Organisa�on (CIO), governed by its Founda�on cons�tu�on registered on 17 April 2023. Under this structural model, the only members of the CIO are its trustees.
Governance framework
The charity was managed by its trustee board, which was responsible for strategic direc�on, financial oversight, safeguarding, and ensuring that ac�vi�es were carried out in furtherance of the charity's objects. During the period the board comprised two trustees. The trustees recognised that, given the small size of the board and the family connec�on between the trustees, careful management of conflicts of interest and decision-making transparency was important. The charity maintained basic internal financial controls and safeguarding procedures during the period. The trustees also noted the need to formalise wri�en policies on conflicts of interest, complaints handling and reserves should the charity con�nue opera�ng beyond the period covered by this report.
Trustee appointment and decision-making
As a Founda�on CIO, the charity's only vo�ng members are its trustees. New trustees may be appointed in accordance with the CIO cons�tu�on, taking account of the skills, experience and independence needed for effec�ve governance. During the period, decisions were made by the trustees collec�vely, with records retained of significant financial and opera�onal decisions.
3. Objec�ves and Ac�vi�es
The legal charitable objects of the CIO, as set out in governing document:

Ac�vi�es during the period
ac�vi�es intended to increase public understanding of Angelman Syndrome and to engage local supporters. The charity did not make grants to individuals or external organisa�ons during the period and did not provide direct clinical services or sponsor clinical research. The trustees acknowledge that the charity's ac�vi�es were limited in scale and that future delivery would have required a clearer programme structure, stronger governance capacity, and more sustainable fundraising.

4. Achievements and Performance
Review of ac�vi�es and impact
The charity operated on a very small scale during the 2024/2025 financial year. In addi�on to the trustees, the charity was supported by an es�mated two ac�ve volunteers. Ac�vi�es were primarily local awareness ini�a�ves and supporter engagement, rather than grantmaking, direct services or research funding.
they did not create a measurable increase in service delivery, clinical research funding, or long-term support provision for beneficiaries. The charity recorded no material change in service demand during the period. This assessment informed the trustees' later decision that the charity did not have the scale, capacity or opera�onal model needed to con�nue effec�vely.
5. Financial Review
The accounts have been prepared on a receipts and payments basis. The charity's income for the period was below £25,000. The trustees confirm that the financial informa�on in this report is consistent with the charity's accoun�ng records for the period.

The net surplus of £1,355 was retained to meet any final administra�on or closure costs, with any remaining funds to be applied for charitable purposes consistent with the CIO's objects.

Debts and liabili�es: The trustees are not aware of any outstanding debts or liabili�es at the date of approval of this report, other than any final administra�ve costs associated with closure.
6. Closure and Dissolu�on Statement
Following a review of the charity's scale, available trustee and volunteer capacity, fundraising prospects and ability to deliver its charitable objects effec�vely, the trustees concluded a�er the financial period that the CIO should be brought to an orderly close.
A General Mee�ng of the members was convened on 1 March 2026 in connec�on with the proposed voluntary winding-up of the CIO. The trustees record the following resolu�ons and

Dissolu�on: The CIO is to be voluntarily wound up and formally dissolved, subject to comple�on of the required statutory and regulatory steps.

Vo�ng threshold: The resolu�on to dissolve the charity was approved by the required 75% majority of eligible members.

Se�lement of liabili�es: liabili�es of the CIO had been se�led or otherwise provided for.

Applica�on of remaining assets: assets, including the balance brought forward from the 2024/2025 financial period, will be applied to registered charitable purposes that are the same as, or closely similar to, the purposes of the CIO.
This report serves as the final account of the historical 2024/2025 opera�onal period preceding the formal closure proceedings ini�ated in 2026.
