The organisa�on is a Charitable Incorporated Organisa�on (CIO), governed by its Founda�on cons�tu�on registered on 17 April 2023. Under this structural model, the only members of the CIO are its trustees.

Governance framework

The charity was managed by its trustee board, which was responsible for strategic direc�on, financial oversight, safeguarding, and ensuring that ac�vi�es were carried out in furtherance of the charity's objects. The charity did not make grants to individuals or external organisa�ons during the period and did not provide direct clinical services or sponsor clinical research. 6. Closure and Dissolu�on Statement

Following a review of the charity's scale, available trustee and volunteer capacity, fundraising prospects and ability to deliver its charitable objects effec�vely, the trustees concluded a�er the financial period that the CIO should be brought to an orderly close.

A General Mee�ng of the members was convened on 1 March 2026 in connec�on with the proposed voluntary winding-up of the CIO. The trustees record the following resolu�ons and

  1. Dissolu�on: The CIO is to be voluntarily wound up and formally dissolved, subject to comple�on of the required statutory and regulatory steps.

  2. Vo�ng threshold: The resolu�on to dissolve the charity was approved by the required 75% majority of eligible members.

  3. Se�lement of liabili�es: liabili�es of the CIO had been se�led or otherwise provided for.

  4. Applica�on of remaining assets: assets, including the balance brought forward from the 2024/2025 financial period, will be applied to registered charitable purposes that are the same as, or closely similar to, the purposes of the CIO.

This report serves as the final account of the historical 2024/2025 opera�onal period preceding the formal closure proceedings ini�ated in 2026.
