Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019).

OBJECTIVES AND ACTIVITIES

Objectives and aims

Topromotesuchcharitablepurposesforthepublicbenefitasthetrusteesshallthinkfit,includingbutnotlimitedto,therelief of
poverty,the advancementof education,the advancementof health,the advancementof citizenshipand community development,
theadvancementofarts,cultureheritageorscience,theadvancementofamateursport,theadvancementofhumanrights, the
advancementof equalityand diversity,the advancementof environmentalprotectionor improvement,the reliefof thosein need
by reasonofyouth,age,ill-health,disability,financialhardshipor otherdisadvantageand the advancementofanimalwelfare and
thepromotionoftheefficiencyofthearmedforcesoftheCrown,thepolice,fireandrescueservicesorambulanceservices or
other such purposes recognised from time to time by law as charitable.

Significant activities

Our third financial year saw a significant increase in income.
InSeptember2024anumberofDuncan&Toplisteammembers,theirfriends,familyandsomeprofessionalcontacts completed
the Yorkshire Three Peaks Challenge raising over £7,000 in sponsorship and donations for the Duncan & Toplis Foundation.
WewerealsoincrediblygratefultobeselectedbythemensandladiesclubcaptainsofWoodhallSpaGolfClubasoneof their
chosen charities for the year and through the various events and fundraising initiatives they organised we received £5,371.
WecontinuedtoreceivesupportfromDuncan&ToplisLimiteditselfwhoprovidedafurtherdonationtotheFoundation of
£15,000essentiallymatchfundingthe amountsraisedby team membersto that date.A further£5,000was donatedto the  charity
byDuncan&ToplisLimitedwiththespecificpurposeofpassingthistotheLincolnshireAgriculturalSocietytosupport their
educational centre.
Duncan&ToplisLimitedalsosetupapayrollgivingschemewiththeCharitiesTrustandasaresultanumberofteam members
have chosen to give monthlydonationsto the Foundationthrough this scheme. As at 30 April 2025 £600 had been donated through
this scheme.
OtherfundraisingactivitiesoccurredthroughtheyearincludingaSpookyBakeSale,aChristmasProfessionalQuizandone team
member who won a place to take part in the London Marathon to raise funds for the Duncan & Toplis Foundation.
WewouldliketothankDuncan&ToplisandallDuncan&Toplisteammemberswhomadeadonation,organised fundraising
eventsat their localoffices,or tookpart in eventsduring the year to raise moneyfor the Foundation.Your supportand fundraising
is hugely appreciated and we have been able to offer even more financial support to some fantastic organisations as a result.
Grants totalling£13,792were made to seventeencharitiesin our communitiesthat had submittedapplicationsfor fundingthat fell
within our focus areas for 2024/25. Our focus areas were:

FINANCIAL REVIEW

DuringtheperiodtheDuncan&ToplisFoundationreceiveddonationstotalling£39,704andprovidedgrantsof£13,792.At the
period end the Duncan & Toplis Foundation had £21,968 in cash at bank and £22,219 in free unrestricted reserves.
As the foundationhas no committedor expectedcostsit is not considerednecessaryto have a policyof maintaininga certain level
of reserves.
All costs of the foundation are covered by Duncan & Toplis Limited.

STRUCTURE, GOVERNANCE AND MANAGEMENT

Governing document

The charityis controlledby its governingdocument,which is its Memorandumand Articlesof Association,and constitutesa limited
company, limited by guarantee, as defined by the Companies Act 2006.

Recruitment and appointment of new trustees

The minimumnumberof trusteesas set out in the Charity'sArticlesis three.Theirare currentlysix trusteeswhichwere appointed
onestablishmentofthecharityandatthetimeofincorporation.Futuretrusteeswillberecruitedbasedontheirskills and
experienceand will receiveappropriatetrainingregardingtheir trusteesresponsibilitiesas well as being providedwith the relevant
Charity Commission Guidance.
Trustees are appointed by ordinary resolution.
ThisreporthasbeenpreparedinaccordancewiththespecialprovisionsofPart15oftheCompaniesAct2006relatingto small
companies.

Independent examiner's report to the trustees of The Duncan & Toplis Foundation ('the Company')

I report to the charity trustees on my examination of the accounts of the Company for the year ended 30 April 2025.

Responsibilities and basis of report

Asthecharity'strusteesoftheCompany(andalsoitsdirectorsforthepurposesofcompanylaw)youareresponsiblefor the
preparation of the accounts in accordance with the requirements of the Companies Act 2006 ('the 2006 Act').
HavingsatisfiedmyselfthattheaccountsoftheCompanyarenotrequiredtobeauditedunderPart16ofthe2006Actand are
eligiblefor independentexamination,I reportin respectof my examinationof yourcharity'saccountsas carriedout under Section
145oftheCharitiesAct2011('the2011Act').IncarryingoutmyexaminationIhavefollowedtheDirectionsgivenbythe Charity
Commission under Section 145(5) (b) of the 2011 Act.

Independent examiner's statement

I have completedmy examination.I confirmthat no mattershave cometo my attentionin connectionwith the examination giving
me cause to believe:

1. accounting records were not kept in respect of the Company as required by Section 386 of the 2006 Act; or

2. the accounts do not accord with those records; or

3. the accounts do not comply with the accounting requirements of Section 396 of the 2006 Act other than any requirement that the accounts give a true and fair view which is not a matter considered as part of an independent examination; or

4. the accounts have not been prepared in accordance with the methods and principles of the Statement of Recommended Practice for accounting and reporting by charities (applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102)).

1. ACCOUNTING POLICIES

Basis of preparing the financial statements

The financialstatementsof the charitablecompany,whichis a publicbenefitentityunderFRS 102,havebeen prepared in
accordancewith the CharitiesSORP (FRS 102) 'Accountingand Reportingby Charities:Statementof Recommended Practice
applicabletocharitiespreparingtheiraccountsinaccordancewiththeFinancialReportingStandardapplicableinthe UK
andRepublicofIreland(FRS102)(effective1January2019)',FinancialReportingStandard102'TheFinancial Reporting
StandardapplicableintheUKandRepublicofIreland'andtheCompaniesAct2006.Thefinancialstatementshave been
prepared under the historical cost convention.
The financial statements contain information about The Duncan & Toplis Foundation as an individual charitable company.
The financial statements are presented in £ Sterling and are rounded to the nearest pound.
The Duncan & ToplisFoundationis a privatelimitedcompany,limitedby guarantee,incorporatedin Englandand Wales. Its
registered office is 3 Castlegate, Grantham, Lincolnshire NG31 6SF
The charitable company is a public benefit entity as defined by FRS102.
The accounts have been prepared on a going concern basis which the trustees consider appropriate.

Income

All incomeis recognisedin the Statementof FinancialActivitiesonce the charityhas entitlementto the funds, it is probable
that the income will be received and the amount can be measured reliably.

Expenditure

Liabilitiesare recognisedas expenditureas soon as there is a legal or constructiveobligationcommittingthe charityto that
expenditure,itisprobablethatatransferofeconomicbenefitswillberequiredinsettlementandtheamountof the
obligationcanbemeasuredreliably.Expenditureisaccountedforonanaccrualsbasisandhasbeenclassified under
headingsthataggregateallcostrelatedtothecategory.Wherecostscannotbedirectlyattributedtoparticular headings
they have been allocated to activities on a basis consistent with the use of resources.
Grantsofferedsubjecttoconditionswhichhavenotbeenmetattheyearenddatearenotedasacommitmentbut not
accrued as expenditure.

Taxation

The charity is exempt from corporation tax on its charitable activities.

Fund accounting

Unrestricted funds can be used in accordance with the charitable objectives at the discretion of the trustees.
Restrictedfundscanonlybeusedforparticularrestrictedpurposeswithintheobjectsofthecharity.Restrictions arise
when specified by the donor or when funds are raised for particular restricted purposes.

10. RELATED PARTY DISCLOSURES

Duncan&ToplisLimitedisthesolememberoftheDuncan&ToplisFoundation.TheTrusteesofTheDuncan& Toplis
Foundation are also employees and in some cases shareholders of Duncan & Toplis Limited.
DuringtheperiodDuncan&ToplisLimitedmadegeneraldonationstotheDuncan&ToplisFoundationtotalling £15,000
(2024:£5,000).Therewerenoconditionsattachedtothesedonations.Inadditionafurther£5,000(2024:£5,000) was
donated for the specific purpose of being donated to the Lincolnshire Agricultural Society as shown in note 6.
NoneofthetrusteesreceiveanyadditionalremunerationfromDuncan&ToplisLimitedforanyworkcarriedoutfor the
Duncan& ToplisFoundationnor does the Duncan& ToplisFoundationpay Duncan& ToplisLimitedfor any of the trustees
time or for any other services provided.
Duncan& ToplisLimitedalso coveredthe costsof certainfundraisingeventsincludingthe YorkshireThree Peaks Challenge
whichamountedto£3,185.Thesecostshavebeenrecognisedasadonationintheaccountswiththe corresponding
expense recognised within costs of raising funds.
The accruedcostsof the independentexaminationof the accountsfor the year ended 30 April 2025 of £900 including VAT
willalsobepaidbyDuncan&ToplisLimitedandthereforeadonationforthisamounthasbeenaccruedand recognised
within debtors and donations in these accounts.
AsperCharityCommissionguidanceaclearconflictofinterestpolicyisinplacetoensurethattrusteesactinthe best
interest of the Duncan & Toplis Foundation as a separate entity at all times.
