Structure, Governance and Management
Constitution
The charity was incorporated on April 6th, 2023 and established under the constitution of a Charitable Incorporated Organisation (CIO). The only voting members are the trustees of the CIO.
Appointment of Trustees
The appointment of trustees is managed as required by the management board who identify candidates who have an interest in supporting the CIO and have the skills to complement the existing board members, or can fill any skills gaps on the board.
Objectives and Activities
Purpose
The charitable objectives of the CIO are the promotion of community participation in healthy recreation, for the benefit of all inhabitants of Cullercoats and the surrounding areas, by the provision of facilities for playing association football.
In setting objectives and planning for activities, the trustees have given due consideration to the guidance published by the Charity Commission, ‘Public Benefit: running a charity (PB2)’.
Main Achievements of the CIO
In April 2023, the Club established itself as a Charitable Incorporated Organisation. This is a major step forward in the Club’s long term development ambitions to obtain a lease on the land at Links Avenue, the key item in being able to redevelop the facilities on the site, with the support of the Football Foundation.
September 2023 saw the Club win the Safeguarding Club of the Year award at Northumberland FA’s Grassroots Football awards. This is a major achievement and demonstrates our ongoing effort and commitment to providing a safe environment for all our members to enjoy football.
The success of the Club’s mini-soccer development continued and hit new highs, successfully forming two teams at Under 7 which were fully recruited from our 4-6 year old FUNDAYs development sessions. This success was further enhanced by the Club’s first ever Female Under 7 team, led by the Club’s first all-female coaching team.
This year was the Club’s first year operating as a Charitable Incorporated Organisation. We’ve made great progress in developing the operations of the Club and building resilient processes, especially regarding financial management. The financial year of 23/24 was the first year in which the Club had prepared a budget for the season ahead, and reviewed its performance against the budget at the end of the year.
Financial Review
Financial Position
The CIO received £119,530 in receipts and made £100,377 in payments in the year, with a surplus of £19,153.
Reserves Policy
The trustees have examined the CIO’s requirement to hold reserves in order to continue to operate under unforeseen circumstances. The trustees review the CIO’s level of reserves frequently throughout the financial year. At the end of the financial period, unrestricted reserves were £64,362.
Trustees' responsibilities in relation to the financial statements
Charity Law requires the Trustees to prepare financial statements for each financial year which comply with the regulations set out in the Charities Act 1993. The Trustees have elected to take advantage of the provisions that apply to small charities and have prepared a Receipts and Payments Account and Statement of Assets and Liabilities.

On accounts for 31-May-24 Charity no 1202642 the year ended
Respective The trustees of the organisation are responsible for the preparation of responsibilities of accounts; they consider that an audit is not required for this year under trustees and section 144(2) of the Charities Act 2011 and that an Independent examiner Examination is needed. It is my responsibility to • examine the accounts (under section 145 of the 2011 Act), • follow the procedures laid down in the General Directions given by the Charity Commission (under section 145(5)(b) of the Act), and
- state whether particular matters have come to my attention.
Basis of My examination was carried out in accordance with General Directions independent given by the Charity Commissioners. An examination includes a review examiner’s of the accounting records kept by the charity and a comparison of the statement accounts presented with those records. It also includes consideration of any unusual items or disclosures in the accounts, and seeking explanations from the trustees concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit, and consequently I do not express an audit opinion on the accounts.

Independent In the course of my examination, no matter has come to my attention: examiner's 1. which gives me reasonable cause to believe that in, any material statement respect, the trustees have not met the requirements to ensure that:

Notes to the accounts, 2024
1. Accounting Policies
- a The financial statements have been prepared in accordance with Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2015) – Charities SORP (FRS 102), the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) and the Companies Act 2006
Cullercoats Football Club meets the definition of a public benefit entity under FRS 102. Assets and liabilities are initially recognised at historical cost or transaction value unless otherwise stated in the relevant accounting policy note(s).

b Grants received are accounted for on a received basis and credited to income.

c Voluntary income is received by way of donations and gifts and is included in full in the Receipts and Payments Account when received.

d Freehold property is stated at value, depreciation only listed when applicable. Fixtures & Fittings are depreciated at 15% reducing balance.

e The charity was incorporated on April 6th, 2023, funds from the pre-registered organisation (£45,209) were transferred into the charity on that date.
